MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is made and entered into in Cebu City, Philippines by and between: The
Anti-Cybercrime Group, a company duly organized and existing under and by the virtue of the laws of
The Republic of the Philippines, with business address at RACO7 Office, CCPO compound, Gaisano St.
Sudlon, Lahug Cebu City represented herein by its S/Insp Michael T. Virtudazo who is duly authorized
to represent it in this transaction, herein referred to as the PNPACG-VFU,
and
The UNIVERSITY OF SAN CARLOS, a private university with office address at P. del Rosario St.,
Cebu City, herein represented by FR. ANTHONY S. SALAS, SVD, who is duly authorized to represent it
in this transaction, hereinafter referred to as the UNIVERSITY,
WITNESSETH: That
WHEREAS, the PNPACG-VFU agree to accept students of the UNIVERSITY as trainees in its various
facilities in support of the Engineering-Industry Linkage Program of the UNIVERSITY;
WHEREAS, the UNIVERSITY, with the object of forging Industry-Academe Linkage to complement
existing engineering curricula to match industry demand, agrees to endorse their students and provide
participants in the said Engineering-Industry Linkage Program and train in the PNPACG-VFU.
NOW, THEREFORE, for and in consideration of the foregoing premises, the PNPACG-VFU and the
UNIVERSITY do hereby agree to stipulate the following:
A. The PNPACG-VFU shall:
1.

Formulate and provide a training plan that includes the contents of the training proper, the
schedule and the activities for each phase for the student-trainees in cooperation with the
concerned Department of the University;

2.

Deploy student-trainees to the different operating units of the PNPACG-VFU for a period of two
hundred forty (240) hours unless extended upon agreement of the PNPACG-VFU and the
UNIVERSITY;

Specifically, the PNPACG-VFU shall:

Expose the student-trainees to learn and experience the actual operations and management in
the field of quality assurance, production planning and scheduling and production system.
Orient the student-trainees to existing problems in the production.

Assign personnel who will serve as guide to the student-trainees. The student-trainees will be
assigned to practical and related works along their area of specialization;

4.

Involve the student-trainees in activities and tasks to develop their attitude and creative abilities to
become professional engineers;

5.

Accomplish the program evaluation forms and performance evaluation form of the studenttrainees required by the UNIVERSITY.

6.

Enforce rules that will govern the conduct of the Program in their premises. The said rules shall
include sanctions and monetary deductions for cases of material and monetary losses on the part of
the PNPACG-VFU. Furthermore, the PNPACG-VFU shall be allowed to impose disciplinary
action or dismiss student-trainees for violations of rules and regulations. These shall be made
known to the UNIVERSITY and student-trainees before the start of the training.

Be responsible for any use of any such results provided by the UNIVERSITY and accordingly the
PNPACG-VFU shall hold the UNIVERSITY harmless of any claims that may be made against
the UNIVERSITY arising out of the PNPACG-VFU use of such results.

B. the UNIVERSITY shall:


Recommend highly qualified and competent student-trainees who will undergo the exposure program
taking into consideration the requirements of the PNPACG-VFU in terms of qualification and
number of students;
Agrees to send its student-trainee listed below to the PNPACG-VFU for On-the-Job Training.

Designate a Program Coordinator who will be assigned with the following responsibilities:
a.

Orientation of the students about the rules, proper attitudes and behavior inside the job-site,
particularly towards the employees;

b.

Formulation of supervised training plan in cooperation with the PNPACG-VFU;

c.

Monitor attendance, activities, and performance of students during the exposure program;

Submit to the PNPACG-VFU whatever documents are required under the program;
Undertake insurance policy to cover accidental injuries to student-trainees;
Together with the parents concerned, the UNIVERSITY and the individual student renounce and waive
any claim against the PNPACG-VFU for any injury that the student-trainees may sustain or loss
that they might suffer, personal or pecuniary, arising from the negligence in the performance of
their duties and functions while under training. The waivers of the student-trainees and their
respective parents shall be indemnify the PNPACG-VFU for payment, fines and damages
incurred by the student-trainees and that the PNPACG-VFU shall be free and blameless from any
accident, negligence, loss or damage to PNPACG-VFU, which are attributable to the studenttrainees. The waiver shall be submitted to the PNPACG-VFU prior to the commencement of the
training.
Accede to the obligations of confidentiality set out in details as follows:
All technical or commercial information, e.g., concerning the business of the PNPACG-VFU
disclosed or to be disclosed to the UNIVERSITY by or in behalf of the PNPACG-VFU in
connection with this agreement will be received and held in confidence by the UNIVERSITY
and the student concerned unless and until the PNPACG-VFU gives written approval for
release of confidentiality.
The UNIVERSITY will take all reasonable necessary steps to prevent disclosure of the technical
or commercial information and other matters and drawings or other materials, to others and
will not disclose the same to others without prior written consent of the PNPACG-VFU.
The UNIVERSITY will not use nor allow or promote use of technical on commercial information
or other matters or drawings or other materials in or for any commercial operation, or for any
other purpose for which it was disclosed, without written consent of the PNPACG-VFU to
such use.
Hold the PNPACG-VFU free and harmless from any suits whatsoever in connection with this
memorandum.

C. Under this Memorandum of Agreement the following terms and conditions are likewise included:
1.

There will be no employer-employee relationship between PNPACG-VFU and the student trainee
of the UNIVERSITY;

2.

The student-trainees will be personally responsible for any and all liabilities for damage to
property or to injury to third persons which may be occasioned by their intentional or negligent
acts in the course of the training; and said monetary damages, shall be deducted from the trainees
training allowance or subsidy;

3.

The student-trainees and the UNIVERSITY shall abide by the rules and regulations of the
PNPACG-VFU and comply with those imposed for the program, otherwise, they shall be
excluded from further participation;

4.

The PNPACG-VFU reserves the right to discontinue the training of any student-trainee on
reasonable grounds upon a receipt of a fifteen (15) day written notice to the UNIVERSITY;

5.

The UNIVERSITY may pull out any student from the PNPACG-VFU on reasonable grounds
after receipt of a fifteen (15)-day written notice about such pull-out.

D. Duration:
This Agreement shall take effect immediately upon signing hereof and shall continue thereafter,
provided, however, that any provision of this Agreement may be amended by after a fifteen (15) day
written notice and consent by both parties, herein and provided further that the PNPACG-VFU or the
UNIVERSITY reserves the right to withdraw its participation in the Agreement upon a thirty (30)-day
written notice.
IN WITNESS WHEREOF, the parties hereto have signed these presences on this 3rd day of
