1.

THE PROJECT
1.1. Project Overview
INJAZ Development Co. has developed a landmark mixed use project
located on the coast halfway between Dammam & Al Khobar, Kingdom of
Saudi Arabia (KSA) called "ALMARINA" (M.P number: SH-D / 845) with an
area of 3,373,272 sqm. The 337-hectare development includes residential
villas, residential/office towers, hotels, shopping mall, public facilities, etc
to serve the current and future needs for the growing community.
The development will have a seafront location; its eastern boundary will
border the proposed waterfront Corniche with direct access to the beach.
To the north, the site is bordered by the An Nawras development, which is
zoned for two-storey residential use. To the south, the site is bordered by
the King Faisal University development and to the west by the King Faisal
Highway, which is currently being upgraded to a 6-lane highway.
1.2. Project Scope

The Tenderer shall keep confidential and shall not release to any third
party any of the foregoing items.
The Tenderer shall return the Tender Documents forthwith to the Owner
(marked for the attention of the Chairman of the Tender Committee) at:

3.

ADDENDA TO TENDER DOCUMENTS


3.1. The Owner may, at any time or times not being less than four (4) days
prior to the latest time stated in Paragraph 5.1. for the delivery of Tenders,
issue and dispatch to all Tenderers an addendum containing a variation,
addition, deletion, clarification and/or rectification to, from or of any of the
Tender Documents or of any earlier addendum issued under this
Paragraph 5.1. Any such addendum shall form part of the Tender and
shall be valid and binding on all Tenderers. Each Tenderer must
acknowledge by return the receipt of each addendum by fax to the Owner

with the reference number and date of issue of each addendum.

4.

CLARIFICATIONS, INTERPRETATIONS AND EXPLANATIONS


4.1. Should the Tenderer

require clarification, an explanation or an

interpretation in respect of any part of the Tender Documents or of any


addendum issued in accordance with Paragraph 5., the Tenderer must
request such required clarification, explanation or interpretation by fax to
the Owner on +966 3 809 6813 marked for the attention of the Chairman
of the Tender Committee so as to be received by the Owner not less than
five (5) days prior to the tender closing date stated in paragraph 7.1.
4.2. As soon as practicable after receipt of any such an appropriate response
request, the Owner will reply by a letter to all Tenderers.
4.3. No clarification, explanation, interpretation or rectification, (whether or not
following a faxed request from a Tenderer under Paragraph 6.2. above)
shall be binding or have any legal validity whatsoever unless the same be
made in writing by the Owner.

5.

SUBMISSION OF TENDERS
5.1. The original of all of the documents referred to in Paragraph 8.1. and three
copies of those documents referred to in Sub-paragraphs 8.1(a) and (d) must
be delivered by hand no later than 12:00 hours on 27th June 2016 (or such
later time as may be notified by an addendum issued in accordance with
Paragraph 5). to the Owner at Al Marina Development Project INJAZ Site
Offices, Dammam, KSA marked for the attention of the Chairman of the
Tender Committee. Any Tender received after the tender closing date will not
be considered. Save as aforesaid, the original and each copy shall be identical
but if, in default of this provision, there is any inconsistency the original shall
prevail.
5.2. The original set of the documents referred to in Paragraph 8.1. shall be clearly
marked ORIGINAL and signed and initialed manually. The three sets of copies

of the documents referred to in Sub-paragraphs 8.1. (a) and (d) shall be clearly
marked COPY and whose signatures and initialing may be photocopies.

5.3. The original and each of the three copies of the documents as described in
Paragraph 7.1. above shall be enclosed in a plain envelope or parcel with wax
seals and marked:

They must also be marked ORIGINAL or COPY as appropriate.

5.4. In each case a written receipt will be issued stating the time and date of
delivery.
5.5. Tenders submitted by mail will not be considered. A facsimile will not be
accepted in lieu of a sealed Tender nor will a facsimile of the sealed Tender be
accepted.
5.6. No Tender once delivered to the Owner may be added to, amended or
withdrawn at any time whatsoever save at the written request or with the written
consent of the Owner.
6.

TENDER DOCUMENTATION
6.1. In order to tender, the Tenderer must submit the following documents by the
time and in the manner stated in Paragraphs 5.1., 5.2. and 5.3. above, such
documents bearing the stamp of the Tenderer in the bottom right hand corner
of each page (as applicable):
(a)

The Form of Tender duly completed, signed and witnessed,


including the insertion in Paragraph 1 of the Tender Sum for each of
the components described in Paragraph 2.2. and alternatives if any,
for different packages (both in words and figures) and the insertion
in Paragraph 8 of the reference numbers and date of issue of each
addendum issued by the Owner in accordance with Paragraph 5.

authorised to sign tenders for and on behalf of the Tenderer. Each

page of the Form of Tender is to be initialed by the same person.


If the Tenderer is a joint venture between two or more
contractors, the Form of Tender must be signed by a representative
of each such contractor.
Save for insertion of the above information, the Form of Tender
must not be amended, added to or otherwise modified in any
manner whatsoever.
The Tenderer's attention is also drawn to the stipulation in Item 5
of the Form of Tender that in the event of a discrepancy between
any amount stated in words and in figures in relation to a single
entry, the amount inserted in words shall prevail and be regarded as
conclusive.
(b)

A signature authority in the form of a certified Board Resolution of


the Tenderer or a sealed Power of Attorney granted by the Tenderer,
in each case authorising the person(s) who signed the Form of
Tender and accompanying documents so to do.

(c)

The hard copy of the Breakdown for different packages provided as


part of the Tender Documents, duly priced and completed in
indelible ink, signed on the first page and initialed on each
subsequent page by the person(s) who signed the Form of Tender.

(d)

Each of the following Tender Documents, signed on their respective


first pages (or, in the case of Drawings, initialled in the bottom right
hand corner) and initialed on each subsequent page by the person(s)
who signed the Form of Tender:

(i)

Tender Bond in the form attached to these Instructions to


Tenderers as Appendix A which shall be issued by a local
registered bank in the Kingdom of Saudi Arabia. Such Bonds
shall be in the amount of one (1%) of the Total Tender Sum
inserted in paragraph 1 of the Forms of Tender.

(ii)

All Costs of obtaining and keeping in force the Tender Bonds


shall be borne by the Tenderer.

(iii)

The Tender Bonds shall when issued be valid for ninety (90)
days after the latest date by which Tenders have to be
delivered as stated in Paragraph 5.1. or, if it be earlier, and the
Tenderers Tender has been accepted, up to the date of
delivery of the Performance Bond to be delivered under the
Contract and issued by a local registered bank in the Kingdom
of Saudi Arabia.

(iv)

If the Tenderer whose Tender is accepted fails to provide the


above mentioned Performance Bonds issued by a local
registered bank and approved by the Owner for the purpose
within fourteen (14) days after the Commencement Date or if a
Tenderer withdraws its Tender before the expiration of the
validity of the Tender Bond or if the Tenderer whose Tender is
accepted fails to sign the Form of Agreement in accordance
with Paragraph 25.4., the full amount of the Tender Bonds
shall become payable to the Owner as compensation for such
default.

(f)

Addenda to the Tender Documents issued in accordance with


Paragraph 5. In each case shall be signed on the first page and
initialed on each subsequent page by the person(s) who signed the
Form of Tender.

NO ALTERATIONS TO TENDER DOCUMENTS

7.1. No erasure, alteration or addition shall be made by the Tenderer to the Tender
Documents or any addenda thereto issued in accordance with Paragraph 5.
Above other than completing, signing and witnessing the Form of Tender.

The documents referred to in Paragraph 6.1. Above shall not include copies of
the Tender Documents produced by scanning the originals thereof or re-typed
versions of the Tender Documents in lieu of the said originals.

8.

TENDER SUM
8.1. The Tenderer shall note that the Tender Sum for the Operations Services shall
be based on the monthly rate and annual rate as per the break down for each
of the section. For the purpose of partial days of payment, daily rate calculated
pro rata from the monthly rate shall be applied.
8.2. The Tenderers price shall be deemed to be the tender sum offered for the
operation and maintenance for the complete Works as defined in the Tender
Documents and included everything necessary to complete the Works to the
required quality standards and within the period for completion as stated by the
Tenderer.
8.3. The Owner may award one or multiple sections to Contractors.
8.4. By submitting a Tender and regardless of any information provided by the
Owner the Tenderer shall be deemed to have satisfied itself as to the
correctness and sufficiency of and all conditions and circumstances affecting
the Tender Sum. It also has accepted the site conditions and its surroundings,
the

climatic

conditions,

the

extent

and

nature

of

the

Works,

the

superintendence, the labour, the plant and Contractors equipment and all other
things, whether of a temporary or permanent nature, required for carrying out
and completion of the Works including risks and contingencies which may be
relevant to the performance and observance of all the Contractors Obligations
under the Contract. The rates and prices stated in the Tender sum break down
are fixed for the duration of the Contract and shall not be subject to any
adjustment in respect of rise or fall in the cost of labour, materials, plant,
contractors equipment, transport or any other matters affecting the cost of
execution of the Contract.

9.

CURRENCY OF TENDER
9.1. The sums and rates to be inserted in the Form of Tender shall be expressed in

10.

VALIDITY OF TENDER
10.1. The Tender shall be valid and binding upon the Tenderer for a period of
ninety (90) days from the tender closing date as described in Paragraph
5.1.

11.

DETAILS CONFIDENTIAL
11.1. All Tenderers receiving copies of the Tender Documents (whether a
Tender is submitted or not) shall treat the details of the documents as
private and confidential and shall not communicate any matter or thing
contained therein to a third party, except that which is accepted as normal
during the course of tendering procedures.

12.

LANGUAGE
12.1. All communications between the Owner and the Tenderer and all the
Tender Documents shall be in the English language and Clause 4.1
(Languages) of the Conditions of Contract shall apply in relation thereto.

13.

VISITING THE SITE


13.1. The Tenderer is advised to visit the site of Al Marina Development Project
(hereinafter called "the Site) and in any case shall be deemed to have
visited the Site and its surroundings or caused it to be visited on its behalf
by a competent and reliable person to obtain for itself all requisite
information relating thereto for the purpose of preparing a Tender and
entering into an Operations agreement. All costs incurred in connection
with such visits shall be borne by the Tenderer. Visits to the Site and its
surroundings shall be made at the Tenderers own risk and responsibility.
The Tenderer shall indemnify the Owner (including without limitation any
consultant, servant, agent or employee of the Owner) against any and all

losses, liabilities, costs, claims, actions or demands which it may incur or


which may be made against it as a result of or in connection with any loss,
injury (including death) or damage to persons or property which may

result from or occur in connection with such visits to the Site by the
Tenderer.
13.2. Arrangements for such visits which are to be made during the working
days (Sunday to Thursday) and during normal business hours of the
Owner (between 07:00-12:00) may be made by contacting the Owner by
fax on +966 3 809 6813, marked for the attention of the Chairman of the
Tender Committee. The Tenderer shall give the Owner two (2) working
days notice of such proposed visits.
14.

MATERIALS, LABOUR, EQUIPMENT AND SERVICES


14.1. The Tenderer must enquire and review the requirements for the Works
and the Authorities and satisfy himself as to the source of supply, means
of obtaining and processing all materials, labour, plant, equipment,
electricity, fuel, water and services necessary for the full and proper
operation and maintenance of the Works.

15.

PERMITS, DUES, CUSTOM DUTIES AND HANDING OVER


15.1. The Contractor shall be responsible for obtaining all necessary permits or
approvals or otherwise, from any Ministry or Municipality regarding any
matter concerning the Works.
15.2. The Contractor shall be responsible to obtain all relevant permits and
payments thereof in a timely manner, so as not to affect the time for
completion of the Works
15.3. The Contractor shall be responsible for handing over all the Works
executed to the required Standards to the relevant Authorities /Ministry or
Municipality.
15.4. The Contractor shall be responsible for payment of all government taxes,
fees, dues, custom duties, etc. as appropriate.

NON-INTERFERENCE WITH ADJOINING PROPERTIES

16.1. The Contractor shall not occupy or use any part of the adjoining properties
or interfere in anyway with road access, unless absolutely essential for the
execution of the works and then only with the written approval of the

16.2. The Contractor shall make good and reinstate any fencing or road works
or landscaping or other works of the any existing developments adjacent
to the site which is damaged or removed as a result of carrying out the
Works.
17.

TRASH RECEPTACLES
17.1. Not Applicable

18.

PERFORMANCE AND ADVANCE PAYMENT BONDS


18.1. The Tenderers particular attention is drawn to Clause 5.1 (Provision of
Bonds) of the Conditions of Contract in respect of the requirements for the
provision of a Performance Bond and an Advance Payment Bond.

19.

INSURANCE
21.1. The Tenderers particular attention is drawn to Clause 12.9. (Insurance) of
the Conditions of Contract.

20.

OPENING OF TENDERS
20.1. The Tenders will be opened in private by the Tender Committee of the
Owner after 12:00 hours of the tender closing date as per Paragraph 5.1.

21.

EVALUATION OF TENDERS
24.1. The Tenderer may be required, at its own cost, to visit the Owners offices
or other offices after the delivery of its Tender in order to discuss any
aspect of its Tender as required by the Owner and to answer any queries
raised by the Owner and its consultants.

24.2. The Tenderer shall take care not to make errors in the computation of its
Tender. If such errors are made then the Owner shall make the following
adjustments:

(a)

The errors shall be amended through to the total of the Bills of


Quantities.

(b)

If the amended total of the Bills of Quantities is higher than the


Tender Sum a correcting amount shall then be deducted from the
amended total of the said Bills to bring it back to the Tender Sum
and all rates and prices inserted by the Tenderer in the Bills of
Quantities shall be decreased in the same proportion as the
amended total of the said Bills.

(c)

If the amended total of the said Bills is lower than the Tender Sum
then the said amended total shall be deemed to become the Tender
Sum.

The Owner shall notify the Tenderer of the said adjustments and

the Tenderer shall confirm its agreement in writing to be bound by its


Tender, adjusted as aforesaid. The Owner reserves the right to call upon
and be paid the full amount of the Tender Bond(s) should the Tenderer fail
to so confirm.
22.

ACCEPTANCE OR REJECTION OF TENDERS


25.1. The Owner shall not be bound to accept the lowest or any Tender it may
receive and shall not be bound to give any reasons for non-acceptance of
any such Tender.
25.2. Any Tender submitted that is not in accordance with the Instructions to
Tenderers may be rejected at the Owners discretion.
25.3. Any Tender may be accepted during the period of its validity by despatch
to the Tenderer of a notice in writing from the Owner of such acceptance.
25.4. Thereafter, the Tenderer concerned shall, forthwith upon an engrossment
of the Contract Agreement (together with the documents referred to
therein) being presented to it, duly execute and deliver the same to the
Owner. The Form of Tender and the accompanying documents referred to
in Paragraph 6.1 (b) and (c) together with the Owners written notice of
acceptance thereof shall constitute a binding contract between the Owner

and the Tenderer valid from the date of the Owners written Letter of
Acceptance.

25.5. As soon as practicable after dispatch of a Letter of Acceptance to any


Tenderer, the Owner shall give notice in writing of such acceptance to all
other Tenderers who submitted Tenders and who have not previously
been given notice that their Tenders have not been accepted.
25.6. The Owner shall not be responsible for, or be liable to pay or reimburse
any Tenderer for, any costs incurred in connection with the evaluation of
the Tender Documents, the preparation or delivery of its Tender or any
subsequent attendance at post-Tender clarification meetings at the
Owners offices or elsewhere.
25.7. On notification by the Owner that the Tender of another company has
been accepted or that its own Tender will not be accepted, the Tender
Bond that was submitted by the Tenderer will be returned to him by the
Owner.
23.

PREVIOUS DISCUSSIONS AND DOCUMENTS SUPERSEDED


26.1. The contents of the Invitation to Tender, the Tender Documents and any
addendum thereto issued in accordance with Paragraph 5., supersede all
previous written or oral representations, warranties, discussions and
documents which may have been made to, or made available to any
Tenderer in connection with the Project and the Services.

24.

CONFORMITY
27.1. A Tenderer must conform to all the requirements of the Scope of Work,
the O&M Manuals and the terms, conditions and provisions of the Tender
Documents. The Tenderer shall give prompt notice of any error,
discrepancy or omission in the technical content of any Tender
Documents.

This Bond shall be valid from the date hereof in its full amount, namely Saudi Riyals
[words] (Saudi Riyals [figures]), and shall continue to be so valid in the full amount with
respect to any such written notice to us as is referred to above and as is received by us
not later than [insert the date ninety (90) days after the latest date for submission of the
Tender stated in the Instructions to Tenderers] or, if it be earlier and the Tenderer's
Tender has been accepted, the date of delivery to you of the Performance Bond to be
delivered to you under the Contract. This Bond shall not be valid with respect to any
written notice received by us after [ ] (or if it be earlier the date of delivery to you of the
Performance Bond to be delivered to you under the Contract) and shall thereafter be
null and void. When the validity of this Bond has expired, it must be returned to us for
cancellation but we shall be released from any such obligation hereunder even if, in
breach of this provision, such return has not taken place.
Any payment by us hereunder shall be in immediately available and freely transferable
Saudi Riyals free and clear of and without any deduction for or on account of any
present or future taxes, levies, imposts, duties, charges, fees, deductions or
withholdings of any nature whatsoever and by whomsoever imposed.
Our obligations hereunder are of a continuing nature, constitute direct, primary,
irrevocable and unconditional obligations which shall not require any previous notice to
or claim against the Tenderer or any other person, and shall not be discharged or
otherwise prejudiced or adversely affected by any time, indulgence or forbearance
which you may grant to the Tenderer, or by any unenforceability or invalidity of, or any
amendment, modification or extension which may be made to the Form of Tender or the
Contract or the work to be performed thereunder, or by any intermediate payment or
other satisfaction made by us, or by any change in the constitution or organization of
the Tenderer, or by any other matter or thing which in the absence of this provision
would or might have that effect except a discharge or amendment hereof expressly
made or agreed to by you in writing.
This Bond and all the rights and benefits thereunder shall be freely assignable by you
to any party to whom the Contract has been assigned, including by way of security, but
may not otherwise be assigned by you without our prior consent in writing, which
consent shall not be unreasonably withheld or delayed.
This Bond shall be governed by and construed in accordance with the laws and
regulations of, and from time to time applicable in, the Kingdom of Saudi Arabia.
