This Contract to Sell (Contract) is entered into this ____ day of

__________, 2017,by and between:

NAME, Filipino, of legal age, married, with residence

address at ________________, hereinafter referred to as the

___________________, hereinafter referred to as the Buyer.

(Hereinafter collectively referred to as the Parties and

individually as a Party).


WHEREAS, the Seller is the owner of a condominium unit at the

____Tower located at ______________, with an area consisting of _____ square
meters, more or less, and particularly identified as __________ with _____
bedrooms (Condominium Unit);

WHEREAS, the Buyer has offered to buy and the Seller has agreed
to sell the Condominium Unit.

NOW THEREFORE, for and in consideration of the foregoing

premises the Seller sells, transfers and conveys the condominium unit
subject to the following terms and conditions:

1. PURCHASE PRICE. The total purchase price for the condominium

unit is Eight Million Five Hundred Thousand Pesos

2. SCHEDULE OF PAYMENT. The purchase price shall be paid by

way of post-dated checks as follows:

3. POSSESSION OF THE PROPERTY. Upon payment of the amount of

Five Hundred Thousand Pesos (Php500,000.00) (Downpayment),
the Buyer shall be entitled to possession of the Condominium Unit.
The Buyer shall also be allowed to make the necessary repairs and

5. TRANSFER TAXES AND FEES. The Parties herein agree that the
amount due for the capital gains tax (CGT) shall be for the
account of the Buyer. Expenses for the documentary stamp tax,
transfer tax and all other taxes and fees necessary for the transfer
of the title to the name of the Buyer shall likewise be for the
account of the Buyer.

6. REGISTRATION AND TITLING. The registration of the transfer of

the Condominium Unit from the Seller to the Buyer, and the
issuance of new title for the Condominium Unit in the name of the
Buyer, and all incidents thereto, shall be the responsibility of the
Buyer. The Seller has the obligation to cooperate with the Buyer by
providing the Buyer such documents she may have in her
possession which the Buyer may reasonably require on connection
with such registration, issuance of title, and all incidents thereto.

for the sole account of the Buyer. Association dues and payments
for utilities upon turn-over and possession of the Buyer of the
Condominium Unit shall be for the account of the Buyer.

8. TERMINATION. The agreement by and between the Seller and the

Buyer may be terminated at any time in any of the following cases:
a. By mutual consent of the Seller and the Buyer;
b. By either Party by giving written notice to the other Party in
the event of failure by the other Party to comply with any of
its convenants and undertakings under this Contract;
For the avoidance of doubt, Seller expressly recognizes and
confirms that the covenants and undertakings of the Buyer
pursuant to this Contract shall pertain to: (a) remittance to the
Seller of the Downpayment; (b) remittance to the Seller of the
balance of the purchase price pursuant to the schedule in
Paragraph two (2); and (3) Payment of the necessary taxes and
fees during the effectivity of this Contract.

In the event the Buyer fails to pay any of the monthly

amortizations when due, the Buyer shall have fifteen (15) days
(Grace Period) from due date to cure such non-payment. Failure
to pay within the Grace Period shall cause the ejectment of the
Buyer from the Condominium Unit and the termination if this

In the event of termination of this Contract by the Seller for failure

of the Buyer to comply with what is incumbent upon her, the total
amount paid up to the current date, including the Downpayment,
shall be forfeited in favor of the Buyer.

9. GOVERNING LAW AND VENUE. The Parties shall exert

reasonable efforts to amicable settle all disputes arising in
connection with this Contract, as a condition precedent to the

filing of any suit before any competent court in the Philippines. All
disputes arising in connection with the Contract and to which
exclusive jurisdiction have not been vested in the appropriate
government agency, shall be finally settled in accordance with the
relevant Philippine laws and the exclusive venue of such any suit
arising from this Contract shall in _______ City.
