AGREEMENT FOR LEAVE & LICENCE

ARTICLES OF AGREEMENT made at Mumbai on this 13 th day of

July, 2014.

BETWEEN

MR. Rajendra Sankpal ,adult, Indian, A/1601, Berntwood Hiranandani Garden, Powai, Mumbai- 76,

hereinafter referred to as the “LICENSOR” (which expression shall unless it be repugnant to the context or

meaning thereof shall mean and include his heirs, executors, administrators and assigns) of the ‘ONE PART’.

AND

MR.Tarak Mehta, Adult Indian Inhabitants residing at , _______________________________________ Mumbai


400076 hereinafter referred to as the “LICENSEE” (which expression shall unless it be repugnant to the
context or meaning thereof shall mean and include his executors, administrators and assigns ) of the ‘OTHER
PART’.

WHEREAS the LICENSORS are seized and possessed of and well and sufficiently entitled to a Office bearing

no M001. situated at Gateway Plaza, near Pizza hut Hiranandani Gardens, Powai, Mumbai 400 076, on what

is popularly know as “Ownership basis” (hereinafter referred to as “THE SAID LICENSED PREMISES”).

AND WHEREAS the LICENSEE has requested the LICENSORS to allow the LICENSEE to occupy and use the

said Licensed Premises for 22 months.

AND WHEREAS the LICENSORS have acceded to the said request of the LICENSEE on the terms and

conditions mutually agreed upon by and between the parties hereto,

AND WHEREAS the Parties hereto are now desirous of reducing to writing the said terms and conditions in

the manner hereinafter appearing.

NOW THESE PRESENT WITNESSETH and it is hereby agreed by and between the parties hereto as under:

1) This agreement of Leave and License will commence and shall be deemed to have commenced on and

from the 13th day of July, 2014 in respect of the said Licensed Premises and shall be for a period of

Twenty Two Months (22) months and shall remain in force till 13 st day of May, 2016.

2) The LICENSORS shall continue to be in the sole and exclusive possession of the said Licensed

Premises during the said period of the Leave and License and in any event, the LICENSEE shall not

have or be in exclusive possession of the whole or any part or portion of the said Licensed Premises.

3) The Licensed Premised will be used by the LICENSEE only for Office / business use .

4) In consideration of the permission hereby granted to use the said Licensed Premises, it is agreed

that the LICENSEE shall pay to the LICENSORS an all inclusive license fees of Rs. 8,25,000/-

( Rupees Eight Lack twenty Five Thousand Only ) for the first License period of 11 months , the

LISCENSE shall Pay to the LICENSORS an all inclusive liscense Fees of Rs 8,25,000 ( Rupees Eight

Lack twenty Five Thousand Only ) on 13th June 2015 for the Liscense period of next 11 months.

5) The LICENSEE hereby agrees with the LICENSORS that during this period of Leave and License

granted hereinabove, the LICENSEE alone shall use the said premises for the bonafide purposes of

business only and shall not allow any one else to use or occupy the said Licensed Premises or any part

thereof.

6) The LICENSEE shall at all times during the continuance of this License, use the said Licensed

Premises given to him, with due diligence and precaution and without in any manner damaging or

injuring the Licensed Premises or any part thereof.

7) The LICENSEE shall comply with the provisions of the law for the time being in force, regarding the

user of the said Licensed Premises for his bonafide purpose of its Business and shall obtain necessary

Licenses, Permits, Sanctions, etc., as may be required for the said purpose. The LICENSEE shall not

do or permit or cause to be done in any part of the said Licensed Premises, anything whereby the

rights of the LICENSORS in respect of the same shall in any way be prejudicially affected or by reason

whereof the LICENSORS shall incur any liability or responsibility of any person or authority.

8) All the articles things etc., belonging to and found lying in the licensed Premises during the

continuance and determination / termination of the Leave and License hereby granted, shall be at the

sole risks and costs of the LICENSEE and the LICENSORS shall not be held responsible for the same.

9) The LICENSEE shall not acquire any right of tenancy, sub-tenancy or lease, any right whatsoever in

and upon the said Licensed Premises. This Agreement is in respect of the Leave and License granted

by the LICENSORS to the LICENSEE hereinabove for the purpose of allowing the LICENSEE to use the

said Licensed Premises as aforesaid. This Agreement does not create any right of tenancy or lease or

deemed to have created any other right of occupation or otherwise. The presence of any goods, articles

or things belonging to the LICENSEE in the Licensed Premises or any permits, licenses or sanctions

required to be obtained by the LICENSEE under provisions of any law for the time being in force at

the address of the Licensed Premises for the purpose of its Business and shall not mean and be

deemed to mean that the LICENSEE is put in exclusive use, possession and occupation of the

Licensed Premises or any part thereof or entitle the LICENSEE to claim any right in respect thereof,

other than what is available to his under this agreement of Leave and License.

The LICENSEE hereby explicitly undertakes that the Licensee and their servants; any agents shall

not / never claim tenancy or sub-tenancy or leasehold or any other right, title or interest in the said

Licensed Premises or any part thereof.

10) The License hereby granted is personal and shall not be assigned or transferred by the LICENSEE or

his officers, managers, servants and agents in any manner whatsoever. The above undertaking is

given by the LICENSEE as he is fully aware of the fact that what is granted to the LICENSEE under

this Agreement is only a License Fee to the LICENSORS as stipulated herein. Any breach of this term

shall be construed as a transfer or assignment or the Leave and License without obtaining Leave of the

LICENSORS and thereupon the License hereby granted shall stand revoked forthwith without any

recourse to the LICENSEE and the Consequences stipulated herein below shall follow automatically.

11) If the LICENSEE commits any breach in observance and performance of the terms and conditions of

this Agreement or if it is declared insolvent or upon winding up of his firm or business, then this

Agreement shall forthwith stand terminated and/or revoked without any notice and thereupon, it shall

be lawful for the LICENSORS to prevent the LICENSEE and his officers, managers, servants and

agents from entering into / upon the said Licensed Premises and for that purpose it shall be lawful of

the LICENSORS to remove the goods, articles and things etc., belonging to the LICENSEE kept in the

said Licensed premises, if the same are not removed by the LICENSEE though called upon to do so,

but without prejudice to the other rights and remedies of the LICENSORS to receive from the

LICENSEE, and the moneys due to the LICENSORS under this Agreement by way of arrears of

compensation or damages or otherwise.

12) The LICENSEE hereby covenants with the LICENSORS that the LICENSEE shall at all times hereafter

well and sufficiently indemnify and keep indemnified the LICENSORS and their executors,

administrators and assigns against any action, proceedings, claim or demand that may be filed, taken

or instituted or made against the LICENSORS in the event if the LICENSEE making any breach of the

provisions of any act or statutory regulation or any action or any Act, action or default of the

LICENSEE, his officers, servants, agents or workmen or any claim or demand of any nature

whatsoever made by them or any of them in respect of the Licensed Premises and against all costs,

charges, damages and expenses which the LICENSORS may have to pay, incur or sustain by way of

any such action or reason, proceeding, claim or demand or otherwise in relation thereto.

13) The LICENSEE agrees and undertakes not to make any additions, alterations or variations in the said

premises or any part thereof without the written permission of the LICENSORS, which shall be subject

to the permission granted by the concerned authorities. The LICENSEE shall furnish the LICENSORS

with the required plans, drawings, and other papers of any proposed alternations or variations in the

Licensed Premises.

14) The LICENSEE shall keep and maintain the Licensed Premises in good order and condition and upon

the expiration of the License, will leave the same and/or restore the same in the SAME condition as

they were in when taking charge of and make compensation for any damage or for any articles

missing.

15) The LICENSEE shall keep the said Licensed Premises in clean and decent condition and sanitary

system free from any rubbish.

16) The LICENSEE shall pay all charges for power supply consumed by the LICENSEE.

17) The LICENSORS shall bear and pay the present & future society charges and other outgoing like

maintenance charges, Municipal taxes, other taxes, cess, etc., payable in respect of the said Licensed

Premises to the Society or the concerned authorities.

18) The LICENSORS or their representative or agent shall have the right to visit the said Licensed

Premises after giving prior intimating written notice during reasonable hours in daytime to see to its

safety and other conditions.

19) On the expiration or sooner determination of this Agreement the LICENSEE shall remove himself along

with his officers, managers, servants, subordinates, representatives, workmen and agents and all

persons allegedly claiming or to claim by /from / through or under him and of his belongings from the

said Licensed Premises and at any rate on such expiry or determination of the License, the

LICENSORS shall be entitled to prevent the LICENSEE and his officers, managers, subordinates,

servants, workmen, representative and agents and all persons allegedly claiming or to claim by /

from / through or under him from entering the said Licensed Premises and further on expiry or sooner

determination of the License, the License shall automatically come to an end or shall stand revoked

and terminated forthwith and the LICENSEE, his officers, managers, servants, subordinates,

representatives, workmen and agents or any other person or persons allegedly claiming or to claim

by / from / through or under he shall not have any right whatsoever to enter into or upon the said

Licensed Premises or any part of / portion thereof or shall have no right to keep / store any articles or

things belonging to him in the said Licensed Premises and that the LICENSEE and ever such person

aforesaid shall remove the same before the expiry or sooner determination of this Agreement as

provided for herein.

20) The LICENSEE / Licensor shall have an option to terminate this agreement only after by giving (60)

days notice in writing to the other side on their intention to do so only after expiry of first term of six

months. ( 6 months Lock in period) The Stamp Duty and Registration Charges shall be equally borne

by the both the parties.

21] The Licensor has obtained the necessary NOC from the said Society. The Licensor shall commit no acts

or deeds that will lead to the society withdrawing the NOC.

22] The Licensee shall be at liberty to make, fix or install fixtures and fittings in the said premises including

air conditioners, shelves, screens, racks, sun blinds, kitchen equipment electrical installations fittings

and other conveniences reasonably required by them for or in connection with the use and occupation

of the said premises and on the termination of this agreement shall remove the same and make good

any damage which may be caused to the said premises by such removal.

23] (a) The Licensor hereby states that the Licensor is the owner of the said premises and all the
rights, title and interests in the said premises vests absolutely in the Licensor and the Licensor
is free and entitled to give the said premises on leave and license basis to the Licensee without
any hindrance whatsoever.

(b) The Licensor hereby states that the Licensor has not sold, assigned, encumbered, gifted, set
up a trust in or mortgaged, in any manner whatsoever, his right title or interest in the said
premises and that the same are unencumbered and free from any mortgage, charge, lien etc.
and agrees that during the license period the Licensor shall not do the same without prior
written permission of the Licensee.

(c) The Licensor avers that there is no court case pending in any court in India so as to
prejudicially affect the license granted to the Licensee for the entire duration of 36 months of
the agreement.

(d) The Licensor covenants within the Licensee that it has good and valid power and authority to
grant this license to the Licensee and to arrive at all suitable arrangements in respect of the
said premises or pertaining with the License.

24 The Licensor shall:

a. Pay and discharge all past, present and future dues, taxes, charges if any, including non-

occupancy charges, society repair charges, payable to the said society for letting out the

said premises on leave and license.

b. Refund the said security deposit on sooner determination / termination of this Agreement,

without adopting any dilatory methods.

c. the Licensor hereby gives its consent/no objection letter / permission to enable the

Licensee to carry on its business at the Licensed Premises and this agreement shall be

deemed to be the Licensors’ permission/consent to enable the Licensee to carry on its

business at the Licensed premises so as to enable the Licensee to obtain any

licences/permits from any concerned authorities like BMC etc.

d. The Licensor hereby agrees to give permission to the Licensee on the exterior wall of the

said premises for advertising and displaying their branch name for running the said

business.

25 It is expressly agreed and declared that notwithstanding anything herein contained, in the event of

any legislation, ordinance, proclamation, notification, judgment or order being/passed, made or

declared whereby this Agreement is prohibited or is to be treated as or is to be deemed to be an

agreement of tenancy between the Licensor and the Licensee or any one of them are to be governed

by the provisions of the Maharashtra Rent Control Act 1999 or any statutory modifications or

substitution thereof then in such event the Leave & Licence shall come to an end on the day

previous to the date on which the provisions of such legislation, ordinance, proclamation,

notification or order came into force and effect and this Agreement shall be null and void and the

provisions in respect of the termination or revocation conditions herein shall mutatis mutandis

apply. In such an event the Licensor shall refund to the Licensee the amount of Security Deposit

after retaining the sum of Rs. 50,000/- (Rupees fifty thousand only) towards unpaid electricity bill as

aforesaid and the Licensee shall hand over vacant and peaceful possession of the said premises to

the Licensor.

26 The provisions of Sec 24 read with the provisions of Chapter VIII of the Maharashtra Rent Control Act

1999 relating to the licences shall be applicable to and govern this Agreement of Leave and Licence.

27 It shall be the responsibility of the Licensor for getting this Agreement of Leave and Licence registered

as required by the Provisions of Sec 55 of the Maharashtra Rent Control Act, 1999 and the Licensee

shall on demand by the Licensor extend full co-operation and perform all reasonable acts, necessary to

get this Agreement duly registered under the provisions of the Indian Registration Act, 1908.

28 Any notice intended to be given to the parties hereto by each other shall be deemed to be properly and

validly given if it is delivered to or sent by registered post/courier or hand-delivery to the Licensor at

A/1601 Brentwood Hiranandani Gardens , Powai, Mumbai- 400 076.

29 In the event the Licensor refunds the Security Deposit amount by way of a cheque, the Licensee shall

hand back possession only on the cheque being cleared by the bank. In the event the Licensor refunds

the Security Deposit amount by way of a Pay Order/Demand Draft, the Licensee shall hand back

possession immediately.

SCHEDULE OF THE SAID PREMISES

Shop No. M001 on of building know as Gateway Plaza in Hiranandani Gardens, Powai, Mumbai - 400 076,

with an area admeasuring 600 Sq.ft. (Carpet area) approximately.

IN WITNESS WHEREOF the parties hereto have hereunto set and

subscribed their respective hands and seals the day the year first

hereinabove written.
