MEMORANDUM OF UNDERSTANDING

BETWEEN

Tigra Kft. (hereinafter referred to as “TIGRA” head office: H-1145 Budapest, Törökőr street

AND

Carpathia Tanácsadó Zrt. (hereinafter referred to as “CARPATHIA” head office: H-1055


Budapest, Falk Miksa street 6. Hungary, Company registration number: 01-10-044742,
represented by: Szabolcs NAGY, Chief Executive Officer)

MAGI is a fiber optic Network & data center infrastructure and telco service company,
entitle special NAP License from Minister of Telecommunication of Indonesia as a Network
Access Provider for International access. As an experienced system integrator MAGI
committed as a services company, consulting services and project management.

TIGRA is one of the key representatives of the Hungarian ICT sector with 20 years of
professional experience. Tigra can rely on professionals with wide range of expertise and
experience in the field of software development, system design, implementation and
integration, IT consultancy, organisational development and project management, IT
infrastructure planning and operation support, hardware and software licences sales and
data centre solutions.

CARPATHIA is a consultancy company operating in various profiles, providing financial


advisory service for its clients as well. Carpathia provides complete help for Hungarian
enterprises of different size and activity to capture the market opportunities outside of
Hungary. Due to its holistic view, Carpathia is able to prepare the landing of the Hungarian
enterprises on the foreign markets and lead them on their way to success.

For the purpose of promoting the trade and investment cooperation between Indonesian
and Hungarian companies and jointly work on the implementation of the land registration
and administration, and other IT related projects in Indonesia, MAGI, TIGRA and CARPATHIA
(hereinafter referred to as “Contracting parties”) have, on the basis of equality and mutual
benefit, concluded the present Memorandum of Understanding (hereinafter referred to as
“Memorandum”), the terms of which are as follows:

Article 1.
OBJECTIVE

The objective of the Memorandum is to engage a good business relation between


contracting parties. All Contracting Parties hereby agree to cooperate exclusively in a USD
220.000.000 (Two hundred Twenty million US Dolar) Project for Land Survey, Land record
and data centre Project for the Ministry of Agricultural and Spatial/BPN of Indonesia.

Article 2.
SCOPE

Contracting parties intend to jointly work on the implementation of the land registration and
administration project in Indonesia. Contracting parties have their own role and
responsibility such as :

1. TIGRA and CARPATHIA cooperate to search suppliers and technologies in Hungary


which operate in land registration and administration (including aerial mapping,
land data validation, parcel land digitalization, IT and data processing technology,
infrastructural maintenance and data center solutions).
2. CARPATHIA responsible to manage the loan funding process from Hungary
Government to the Ministry of Agricultural and Spatial/BPN of Indonesia.
3. TIGRA and CARPATHIA has a responsibility to execute the project are evaluated and
the related preliminary agreements with the producers, government organizations,
financing companies and other parties are prepared.
4. MAGI w i l l r e s p o n s i b l e in supply of goods, services or any resources for the land
registration and administration project in Indonesia.
5. MAGI will responsible to obtaining customers for the Hungarian producers in the land
registration and administration technology purchaser industry of Indonesia.
6. MAGI will responsible to manage the “blue book” and “green book” loan process for
the Project for the Ministry of Agricultural and Spatial/BPN of Indonesia.

Article 3.
COMMITMENT

Contracting parties agree once the project from the Ministry of Agricultural and Spatial/BPN
of Indonesia successfully awarded:
1. Contracting parties agree that TIGRA will become the only Main Contractor/the
winner for the Project awarded from the Ministry of Agricultural and Spatial/BPN of
Indonesia.
2. Contracting parties agree that TIGRA will only point MAGI as the only Legacy
Indonesia Local Partner to do the awarded Project from the Ministry of Agricultural
and Spatial/BPN of Indonesia.
3. Contracting parties agree to follow Organisation for Economic Co-operation and
development (OECD) rules for working the awarded Project from the Ministry of
Agricultural and Spatial/BPN of Indonesia.
4. Contracting parties agree will not change to any other parties

5. Contracting parties agree that if any party doing the violations stipulated in this
agreement, then the party that violated will replace the losses from the aggrieved
parties.

Article 4.
EXCHANGE OF BUSINESS INFORMATION

1. Contracting parties shall keep constant and close contact with each other, providing
each other with information as it is publicly available regarding trade, investment
opportunities, and economic cooperation, and exchanging publications.

2. Contracting parties shall commit themselves to regularly exchanging information


concerning business fairs and other important commercial events of their area of
competence.

3. Contracting parties agree to share market information as it is publicly available on


economic and trade issues with the aim to develop further trade and business
relationship between Indonesia and Hungary.

4. Contracting parties agree to keep disclose any exchange business information given.

Article 5.
FOSTERING OF BUSINESS CO-OPERATION

1. Contracting parties shall recommend and introduce to each other opportunities or


partners for trade and investment cooperation.
2. Contracting parties shall encourage and assist enterprises, from their respective
countries to establish and maintain various forms of cooperation with the counter
parts from the other country so as to promote the development of
cooperation between the Contracting parties.

Article 6.
VALIDITY

This Memorandum shall come into force on the date of its signing and shall remain in
force unless agreed written agreement is given by contracting parties for the
termination of this Memorandum within 30 days prior to the intended date of its
termination.

Article 7.
AMENDMENT

All amendments to the present Memorandum are invalid unless they are made in
written form and signed by duly authorized representatives of all sides.

Article 9.
GENERAL PROVISION

1. Contracting parties reserve the right to determine their own budget for the
purpose of implementing any program under this Memorandum.
2. This Memorandum of Agreement been signed on 30th of November2016, and made in
three (3) originals in English, one for each Party.
3. Since the subject Project is in Indonesia, any dispute will attempt to resolve in
Indonesia law.
