Pursuant to the 1992 Constitution of the Socialist Republic of Vietnam as amended by Resolution 51-2001-QH10 passed by Legislature X of the National Assembly at its 10th Session on 25 December 2001; This Law regulates tendering. This Law regulates tendering activities in order to select contractors for provision of consultancy services, for procurement of goods, and for construction and installation for tender packages belonging to the following projects: LuËt nµy quy ®Þnh vÒ c¸c ho¹t ®éng ®Êu thÇu ®Ó lùa chän nhµ thÇu cung cÊp dÞch vô t vÊn, mua s¾m hµng ho¸, x©y l¾p ®èi víi gãi thÇu thuéc c¸c dù ¸n sau ®©y: 1. Investment and development projects financed by the State as to thirty (30) per cent or more, comprising: Dù ¸n sö dông vèn nhµ níc tõ 30% trë lªn cho môc tiªu ®Çu t ph¸t triÓn, bao gồm: (a) New construction and investment projects, and upgrading and expansion of construction projects in which investment has already been made; Dự án đầu tư xây dựng mới, nâng cấp mở rộng các dự án đã đầu tư xây dựng. (b) Investment projects for procurement of assets including equipment and machinery not required to be installed; Dự án đầu tư để mua sắm tài sản kể cả thiết bị, máy móc không cần lắp đặt; (c) Projects for planning for regional development, planning for industry development, and planning for construction of urban and rural areas; Dù ¸n quy ho¹ch ph¸t triÓn vïng, quy ho¹ch ph¸t triÓn ngµnh, quy ho¹ch x©y dùng ®« thÞ, n«ng th«n; (d) Projects for scientific research, for development of technology, and for technical assistance; Dù ¸n nghiªn cøu khoa häc, ph¸t triÓn c«ng nghÖ, hç trî kü thuËt; (đ) Other projects for purposes of investment and development. C¸c dù ¸n kh¸c cho môc tiªu ®Çu t ph¸t triÓn; 2.Projects financed by the State for procurement of assets for the purpose of maintaining regular activities of State bodies, political organizations, socio-political organizations, socio-political-occupational organizations, social organizations, socio-occupational organizations and units of the armed forces. Projects financed by the State for procurement of assets for the purpose of renovation or major repairs to equipment, production lines, building works and factories of State owned enterprises in which investment has already been made. Dù ¸n sö dông vèn nhµ níc ®Ó mua s¾m tµi s¶n nh»m phôc vô viÖc c¶i t¹o, söa ch÷a lín c¸c thiÕt bÞ, d©y chuyÒn s¶n xuÊt, c«ng tr×nh, nhµ xëng ®· ®Çu t cña doanh nghiÖp nhµ níc. Article 2 Applicable entities §iÒu 2. §èi tîng ¸p dông 1.Domestic and foreign organizations and individuals participating in tendering activities for tender packages belonging to the projects stipulated in article 1 of this Law. Tæ chøc, c¸ nh©n trong níc vµ níc ngoµi tham gia ho¹t ®éng ®Êu thÇu c¸c gãi thÇu thuéc c¸c dù ¸n quy ®Þnh t¹i §iÒu 1 cña LuËt nµy. 2.Organizations and individuals involved in tendering activities for tender packages belonging to the projects stipulated in article 1 of this Law. Tæ chøc, c¸ nh©n liªn quan ®Õn ho¹t ®éng ®Êu thÇu c¸c gãi thÇu thuéc c¸c dù ¸n quy ®Þnh t¹i §iÒu 1 cña LuËt nµy. 3.Organizations and individuals with projects not within the governing scope of this Law may choose to apply this Law. Tæ chøc, c¸ nh©n cã dù ¸n kh«ng thuéc ph¹m vi ®iÒu chØnh cña LuËt nµy chän ¸p dông LuËt nµy. Article 3 Application of Law on Tendering, related laws, international treaties and international agreements §iÒu 3. ¸p dông LuËt ®Êu thÇu, ph¸p luËt cã liªn quan, ®iÒu íc quèc tÕ, tháa thuËn quèc tÕ 1. Tendering activities must comply with the provisions of this Law and other related laws. Ho¹t ®éng ®Êu thÇu ph¶i tu©n thñ quy ®Þnh cña LuËt nµy vµ c¸c quy ®Þnh cña ph¸p luËt cã liªn quan. 2. If there are any special matters on tendering stipulated in any other Law, then such Law shall apply. Trêng hîp cã ®Æc thï vÒ ®Êu thÇu quy ®Þnh ë luËt kh¸c th× ¸p dông theo quy ®Þnh cña luËt ®ã. 3. Tendering for projects using official development aid (abbreviated as ODA) shall be implemented on the basis of provisions in international treaties of which the Socialist Republic of Vietnam is a member or

Project means a set of proposals for implementing a part or the whole of works aimed at achieving an objective or requirement within a specified period of time and based on a specified financing source. Authorized person means the person with the right pursuant to law to make project decisions.hîp ®ång vµ ký kÕt hîp ®ång. Party calling for tenders means the investor or a professional organization with sufficient capability and experience in accordance with the law on tendering for the investor to hire in order to hold 5 . 9.

Consultancy tenderer means a tenderer participating in tendering for the supply of products. Supply tenderer means a tenderer participating in tendering for tender packages for the supply of goods as defined in clause 35 of this article. Nhµ thÇu t vÊn lµ nhµ thÇu tham gia ®Êu thÇu cung cÊp c¸c s¶n phÈm ®¸p øng yªu cÇu vÒ kiÕn thøc vµ kinh nghiÖm chuyªn m«n quy ®Þnh t¹i kho¶n 34 §iÒu nµy. Head contractor means a tenderer liable for its participation in tendering which gives its name to a tender. 14. c¸ nh©n cã ®ñ t c¸ch hîp lÖ theo quy ®Þnh t¹i §iÒu 7. ®øng tªn dù thÇu. Tenderer means any eligible organization or individual as stipulated in articles 7 and 8 of this Law. 12. Nhµ thÇu x©y dùng lµ nhµ thÇu tham gia ®Êu thÇu c¸c gãi thÇu x©y l¾p quy ®Þnh t¹i kho¶n 36 §iÒu nµy. Nhµ thÇu cïng víi mét hoÆc nhiÒu nhµ thÇu kh¸c tham gia ®Êu thÇu trong mét ®¬n dù thÇu th× gäi lµ nhµ thÇu liªn danh. A tenderer participating in tendering independently is referred to as an independent tenderer. EPC tenderer means a tenderer participating in tendering for the performance of an EPC tender package as defined in clause 21 of this 6 . Nhµ thÇu lµ tæ chøc. ký kÕt vµ thùc hiÖn hîp ®ång nÕu ®îc lùa chän (sau ®©y gäi lµ nhµ thÇu tham gia ®Êu thÇu).tendering. A tenderer participating in tendering jointly with one or more other tenderers to submit the one tender is referred to as a partnership tenderer. Nhµ thÇu tham gia ®Êu thÇu mét c¸ch ®éc lËp gäi lµ nhµ thÇu ®éc lËp. who satisfies the requirements on knowledge and professional experience stipulated in clause 34 of this article. 16. Construction tenderer means a tenderer participating in tendering for tender packages for construction and installation as defined in clause 36 of this article. 11.

EPC tender package means a tender package which comprises the entire work of design. 20. Domestic tenderer means any tenderer established and operating pursuant to the law of Vietnam. Foreign tenderer means any tenderer established and operating pursuant to the law of the country of nationality of such tenderer. Sub-contractor means a contractor performing part of the work of a tender package on the basis of an agreement or contract signed with the head contractor. 21. 22. The winning tenderer must provide a contract performance guarantee prior to the date on which the contract takes effect. 53 . The entities responsible for resolution of a protest made by a tenderer during the tendering process shall be the party calling for tenders. the investor and the authorized person. The authorized person shall resolve any protest by a tenderer regarding results of selection of contractor on the basis of a report from the Consulting Council for Resolution of Protests pursuant to article 73 of this Law. Article 73 Procedures for resolution of protests regarding tendering Quy tr×nh gi¶i quyÕt kiÕn nghÞ trong ®Êu thÇu 1. the tenderer shall have the right to lodge the protest with the authorized person for the latter's consideration and resolution in accordance with the provisions in sub-clause (c) of this clause. With regard to protests about relevant matters during the tendering process other than the results of selection of contractor.
