AGREEMENT FOR YES FOUNDATION MEDIA FOR SOCIAL CHANGE FELLOWS
PROGRAMME

We refer to the Welcome Letter dated __________ issued to the YES FOUNDATION Media
for Social Change Fellow Designate (‘YF Fellow Designate’) by YES FOUNDATION (‘YF’)
to confirm the YF Fellow Designate’s participation in the YES FOUNDATION Media for
Social Change Fellowship Programme (the ‘Programme’) an initiative of YES
FOUNDATION, the social development arm of YES BANK.

The Programme and the YF Fellow Designate participation thereof shall be subject to the
terms and conditions as stipulated herein below. The YF Fellow Designate shall comply with
the terms and conditions specified herein during the duration of the Programme and
subsequent to its completion as applicable.

1. TERM

The Programme shall be for a period of eight (8) weeks beginning on May 07, 2018 and
ending on June 29, 2018. The fellowship will include:

 Induction training – 1 week
 Placement with NGO – 7 weeks

The Induction training of 1 week will be considered as a period of probation for each YF
Fellow Designate and the participation of the YF Fellow Designate in the Programme will
only be confirmed after successful completion of this period.

A Code of Conduct shall be applicable to all participants of the Programme during the entire
course of the Programme and strict compliance to this Code is required.

2. ALLOCATED NGO

YF shall allocate to the YF Fellow Designate a Non-Profit organisation (‘Allocated NGO’)
with whom the YF Fellow Designate shall work for a duration (within the term of the
Programme) as specified by YF. The Allocated NGO shall appoint a reporting authority to
whom the YF Fellow Designate shall report for day to day work, training, and development
as the case may be.

The YF Fellow Designate shall perform the duties assigned to her/him by the Allocated
NGO in a competent, honest and efficient manner to the best of her/his abilities.

3. REIMBURSEMENTS

The YF Fellow Designate might be required to undertake travel (within the placement city)
for completing the tasks assigned by the allocated NGO. Reimbursement of travel expenses
shall be as per the policy of the allocated NGO in this regard.
The YF Fellow Designate will be required to undertake travel for the trainings and
mentorship workshops organised by YF periodically. No reimbursement of travel expenses
shall be entertained.

4. DISCLAIMER OF LIABLITY

The YF Fellow Designate hereby agrees and undertakes that YF shall not be liable either
jointly or severally for any loss or harm to life/injury/bodily harm/property/any other
losses occurring to the YF Fellow Designate during the course of the Programme.

5. STIPEND

To meet the living and accommodation expense, YES FOUNDATION will pay the YF Fellow
Designate a stipend of Rs. 10,000/- (Ten Thousand Rupees Only) from the beginning of the
NGO placement till the end of the Programme, i.e, a duration of 8-weeks, only at the end of
the Programme subject to the YF Fellow Designate having successfully completed every
phase of the Programme.

If the Fellow Designate is not able to complete the programme due to any reasons, no
stipend shall be given in this case.

6. CERTIFICATES

Training and Experience certificate(s) would be given to the YF Fellow Designate only at the
end of the Programme subject to the YF Fellow Designate having successfully completed
every phase of the Programme. A YF Fellow Designate leaving the Programme before the
completion of the term of the Programme, will disentitle such YF Fellow Designate from
being awarded any such certificate(s). YF may also withhold/refrain to issue any
certificate(s) based on breach of the terms herein by the YF Fellow Designate or if the YF
Fellow Designate has been disqualified from the Programme on any grounds by YF /the
allocated NGO from time to time for the Programme. Further YF may at any point of time
cancel any of the certificate(s) given to the YF Fellow Designate under this Programme in the
event of (i) termination of the YF Fellowship Programme by YF and (ii) breach of any of the
terms and conditions specified herein.

7. NON-COMPETE

During the term of the Programme the YF Fellow Designate will not carry on any business
or profession or enter, for any part of his/her time, in any capacity, the services of, or be
employed by or engaged with any other firm, company, organization, or any other person.
Any act in breach of the same would entail initiation of appropriate action as deemed fit by
YF including termination/withholding of the certificate specified in clause 7 herein.

8. CONFIDENTIALITY

The YF Fellow Designate will not at any time, unless prior written approval of YF have been
obtained, divulge to any party or publish information on procedures, particulars, or
documentation related to Programme or the affairs of YF and/or allocated NGO, their
subsidiaries or projects or any information made available to the fellow designate during the
course of the Programme by YF and/or allocated NGO. Any act in breach of this
requirement would entail initiation of appropriate legal action as deemed fit by YF.

9. NON-REPRESENTATION OF EMPLOYMENT
The YF Fellow Designate hereby agrees and understands that enrolment and participation in
the Programme does not entitle the YF Fellow Designate in any manner whatsoever to state,
represent or cause another to construe that the Fellow Designate is employed with YES
BANK Limited, YES FOUNDATION or Allocated NGO. The YF Fellow Designate hereby
agrees and understands that the YES FOUNDATION Media for Social Change Fellowship
Programme does not guarantee any job/placement and provides no assurances of future
prospects.

10. REPRESENTATION AND WARRRANTY

The YF Fellow Designate represents and warrants to YF that all personal information and
details provided for enrolment in this Programme is true, accurate and correct to the best of
their knowledge and ability. The YF Fellow Designate further represents and warrants that
as of the date of joining this Programme there are no pending civil or criminal case/s
instituted against the YF Fellow Designate. Furthermore the YF Fellow Designate
undertakes that during the course of the Programme, the YF Fellow Designate shall notify
YF immediately with details of civil or criminal case/s instituted against the YF Fellow
Designate in any Court of Law or any complaints/show cause notices/prosecution with/by
any Police Station or by any statutory authority, as also the YF Fellow Designate will notify
any outcome for such complaint like filing of
chargesheet/arrest/conviction/acquittal/discharge. Pursuant to the receipt of any such
notices specified herein the same would entail initiation of appropriate action against the
concerned YF Fellow Designate including termination of the YES FOUNDATION Media for
Social Change Fellowship as deemed fit by YF.

11. TERMINATION

YF shall have the right to remove any YF Fellow Designate effective immediately by YF at
any point of time during the course of the Programme, including specifically during or after
the Induction Period, midterm review of the first Allocated NGO assignment, completion of
the first Allocated NGO assignment and midterm review of the second Allocated NGO
assignment:
(i) Any breach of the terms and conditions as contained herein by the YF Fellow
Designate.
(ii) The YF Fellow Designate failing to meet the standards specified by YF in respect of
the Programme.
(iii) Any incorrect information furnished by the YF Fellow Designate like fake
qualification certificates, etc.
(iv) Suppression of any material information by the YF Fellow Designate.
(v) Any breach of any rules and regulations, Code of Conduct of YF and/or allocated
NGO by the YF Fellow Designate.
(vi) The YF Fellow Designate carries out any such act or otherwise, including any public
statement, which brings disrepute to or is against the Code of Conduct, other rules
and norms of the Programme and/or YF and/or allocated NGO.
(vii) Conduct, implication or being accused of any act, which is criminal, involving moral
turpitude or against national interest.
(viii) YF deciding to terminate the Programme.

12. Removal

Removal clause in YES FOUNDATION Media for Social Change Fellow Designate Contract
YF shall have the right to remove any of YF Media for Social Change Fellow Designate from
the Programme at any time during the Programme:
(ix) Any breach of the terms and conditions as contained herein by the YES
FOUNDATION Media for Social Change Fellow Designate.
(x) The YES FOUNDATION Media for Social Change Fellow Designate failing to meet
the standards specified by YES FOUNDATION in respect of the Programme.
(xi) Any incorrect information furnished by the YES FOUNDATION Media for Social
Change Fellow Designate like fake qualification certificates, etc.
(xii) Suppression of any material information by the YES FOUNDATION Media for Social
Change Fellow Designate.
(xiii) Any breach of any rules and regulations of YES FOUNDATION and/or allocated
NGO by the YES FOUNDATION Media for Social Change Fellow Designate.
(xiv) The YES FOUNDATION Media for Social Change Fellow Designate carries out any
such act or otherwise, including any public statement, which brings disrepute to the
Programme and/or YES FOUNDATION and/or allocated NGO.
(xv) Conduct, implication or being accused of any act, which is criminal, involving moral
turpitude or against national interest.
(xvi) YES FOUNDATION deciding to terminate the Programme.

For the above, decision is on case-to-case basis. A single occurrence is ground enough to
terminate the YF Fellow Designate.

The above parameters do not explicitly include non-performance though. If we ask the
Fellow to leave the programme due to non-performance, the below process is to be followed:
1. Mentor’s verbal communication on our expectations
2. Mentor’s written communication on not meeting expectations
3. Mentor’s 2nd written communication on not meeting expectations with Cc to
programme head. This mail should also set up a time when evaluation would be
undertaken to decide on the Fellow’s continuation in the programme
4. Final evaluation and decision on the Fellow’s participation in the programme

13. DISPUTE RESOLUTION

The terms contained herein will be subject to the exclusive jurisdiction of Courts of Mumbai.
Provided this clause shall only be to the benefit of YF.

14. ACCEPTANCE

Please confirm your acceptance of the terms herein by a copy of this letter duly signed by
you pursuant to which you shall be deemed to be bound by the terms contained herein.
