Articles of Partnership of Fruitinada

KNOW ALL THE MEN BY THESE PRESENTS:

That we, the undersigns, all of legal age and residents of the Republic of the Philippines have
this day voluntary bind ourselves together for the purpose of forming a partnership, effective as of this
date, under the terms and conditions herein after act forth, and subject to the requirement of existing
laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY:

ARTICLE 1

That the name of the partnership shall be Fruitinada.

ARTICLE 2

That the principal office of the partnership shall be located at Purok-4, Brgy V Daet, Camarines
Norte.

ARTICLE 3

That the names, residences and designation of the said partnership are as follows:

ARTICLE IV

The said partnership will operate for an indefinite period of time. However, practice, it can be
dissolve with the mere withdrawal, incapacity, or death of a partners.

ARTICLE V

That the purpose for which said partnership is formed are a follows:
 1. To introduce the Fruitinada in Daet, Camarines Norte.
2. To conduct and engage in business related to manufacturing and selling of Fruitinada.

ARTICLE VI

That the capital of partnership shall be Five Hundred Thousand pesos (Php 500,000) contributed
in cash by the partnes as follows:

ARTICLE VII

The profit and/or losses that the Enterprise will be earned shall be divided according to their
percentage.

ARTICLE VIII

That a partner may admit an additional general partner, provided that the other partner have
been duly nitified in writing five dahys before effectively of admission and duly concurred by all the
partners in writing.

ARTICLE IX

That the remaining general partner/partnes shall have the right to continue the business in case
of death, retirement, civil interdiction in sanity or insolvency of a general partner.

ARTICLE X

That the firm shall be under the management of Sia, Carlos Adam as acting General Manager of
the firm.
ARTICLE XI

That the partners willingly undertake to change the name of partnership immediately upon,
receipt of notice/directive from the securities and exchange commission that another partnership,
corporation, or person has been declared, misleading, deceptive, confusingly similar to a register name
or contrary to public morals, good costumes or public policy.
