WAIVER AND RELEASE

THIS AGREEMENT is entered into on this ______ day of

___________, 2005 by and between BAMBANG SUPRIYADI (the
“Heir”), the sole devisee and legatee of Sri Lestari, deceased, JULITA
ANDRIANA CHOWNING (the “Personal Representative”), Personal
Representative of the Estate of Sri Lestari, deceased, and the ESTATE OF
SRI LESTARI (the “Estate”).

WHEREAS, the Heir is a resident and citizen of Indonesia whose

sister, Sri Lestari, passed away on April 27, 2002. At the time of her
death, Sri Lestari was a resident of Tulsa, Oklahoma and owned property
located in Tulsa, Oklahoma;

WHEREAS, the Personal Representative at the request of the Heir

administered the Estate of Sri Lestari in probate proceedings occurring in
the District Court of Tulsa County, State of Oklahoma. The Heir retained
the law firm of Edwards & Mailath, L.L.P. (the “Law Firm”), formerly
Edwards & Huffman, L.L.P., to represent the Estate throughout the
probate proceedings.

WHEREAS, the Law Firm undertook the representation of the

Estate of Sri Lestari and worked with the Personal Representative in order
to wind up the affairs of the Estate of Sri Lestari;

WHEREAS, the Personal Representative may have caused

detriment to the Estate of Sri Lestari due to her actions and/or inactions in
handling the Estate funds;

WHEREAS, the Heir having been fully informed recognizes that it

will take additional time and expense to fully account for all funds of the
Estate.

NOW THEREFORE, in consideration of the mutual promises by

and between the Heir, the Personal Representative and the Estate, the
receipt and sufficiency of which consideration is acknowledged by the
parties hereto, it is agreed:

1. Julita Andriana Chowning was appointed Personal

Representative of the Estate of Sri
Lestari, deceased on October 28, 2002 with the permission and
acquiescence of the Heir. The Personal Representative had been a friend
of Sri Lestari during Sri Lestari’s residence in Tulsa, Oklahoma.
 2. It is believed that the Personal Representative may have
taken money and/or property
belonging to the Estate and used said money and/or property for her own
use and benefit. It is further believed that the Personal Representative has
returned a portion of the money to the Estate, but not all moneys have
been accounted for.

3. The Law Firm had no involvement in the Personal

Representative’s alleged
misconduct, and in fact, uncovered the alleged misconduct committed by
the Personal Representative and reported it to the Heir. The Law Firm has
diligently attempted to recover all monies and property belonging to the
Estate.

4. The Law Firm believes that any money and/or property

taken or misused by the
Personal Representative approximately equals the amount of her Personal
Representative’s fee permitted by law and that the Law Firm will decline
to pay any such fee to the Personal Representative due to her alleged
misconduct. The Personal Representative waives any such fees to which
she may be entitled.

5. The Heir desires for the Estate to be closed and for all
property of the Estate to be
distributed to him. The outstanding matters concerning the Estate involve
the decedent’s 2002 federal income tax refund and the sale of the
decedent’s vehicle. To the extent that the 2002 federal income tax refund
has not yet been issued, the Law Firm will forward any such funds to the
Heir. Upon receipt of the vehicle from the Personal Representative, the
Law Firm will also attempt to sell the decedent’s vehicle and forward such
funds to the Heir or the vehicle will be distributed to the Heir outright for
disposition as he chooses.

6. The Heir hereby waives, releases and discharges all claims,

actions, and demands whatsoever that now exist, or may hereafter accrue
against the Personal Representative, the Estate, and the Law Firm, their
heirs, successors and assigns, relating to the actions and/or inactions by
the Personal Representative and the administration and representation of
the Estate.
