Subcontractor, in consideration of final payment for the following:
Ed’s Construction INC hereby waives all mechanic’s liens and rights to file mechanic’s liens and generally releases,
and agrees to indemnify and save harmless, M3 Contracting and the aforesaid Owner, and their sureties, directors,
officers, employees, successors, and assigns, from all causes of action, suits, debts, contracts, change orders,
damages, judgments, decrees, claims, bond claims, demands, liens, and rights to assert liens, which Subcontractor,
its subcontractors and suppliers, their successors and assigns and any persons claiming through them or based upon
their acts or omissions ever had, now have or hereafter may have against M3 Contracting, the Owner, and any real
property or improvements of the Owner, in any manner relating to or arising in connection with the above referenced
contract, the above referenced project and any work, labor, materials, equipment or services provide to the project.
If Ed’s Construction INC has provided labor, services or materials on any other project which M3 Contracting has
contracted with the Subcontractor, M3 Contracting is given the express right to withhold or retain payments due to the
Subcontractor on any of said other projects and shall have a lien on any proceeds which may ultimately be owed to
the Subcontractor on said projects. This provision shall apply irrespective of whether the Subcontractor is in privity
with M3 Contracting LLC on such other projects.
Subcontractor represents that the final payment amount set forth above is correct and that this final payment will
promptly be applied to full payment of all outstanding amounts due from Subcontractor to others in connection with
this project.
Ed’s Construction INC certifies that the company is complying with all the laws and regulations governing the
Withholding, Deposit, Payment, and Reporting of:
• Income Tax Withheld from Employee’s Wages
• Employee and Employer Taxes under the Federal Insurance Contribution Act
• Employer Tax under Federal Unemployment Tax Act and any other Federal, State, and Local taxes
• The Davis-Bacon Act of 1931 and all Amendments
• Maryland Prevailing Wage Law and the State Apprenticeship and Training Fund Law
I hereby certify under penalties of perjury, that the information and representations set forth above are true and
accurate to the best of my knowledge, information, and belief.
