Freelance Service Contract

Freelancer Client

Julie Cotton, the freelancer, agrees to perform the services as set forth below:

Project Description:
Julie will assist the client with the development, revision and maintenance of the Peer Recovery/Addiction
Recovery Coach (PRAC) Pre-Training curriculum and the National Certified Peer Recovery Professional
(NCPRP) credential.

The freelancer will continue working for the client starting today and until all of her duties are considered to be
completed by both parties. Her designated days off will be Saturdays and Sundays, unless special assignments are
scheduled. In this case, either party must arrange for a schedule change at least 1 week in advance. The client will
give the freelancer a minimum of 12 hours’ notice for simpler tasks that take no more than 1 hour and that need to
be done within 24 hours. Otherwise, projects and/or tasks will be completed by the end of each work week on

Certain tasks with specific deadlines will be considered equivalent to milestones that are mutually agreed upon.
They will be designated as progressing toward the development and maintenance of PRAC curriculum and the
NCPRP credential process. This includes curriculum development, curriculum revision, data management and
the freelancer’s training.

Julie will assist the client with the online LMS, 3rd party vendors and online databases related to the PRAC
curriculum and the NCPRP credential. Julie’s exclusive responsibility will be for examinations and the NCPRP
certification application process. Any new responsibilities will be mutually agreed upon from both parties.

Additional Tasks:
Additional tasks will include the composition or editing of documentation that could be shared to the public
and/or online. This may include public relations or customer correspondence. The freelancer will get all the
relevant information needed from the client. Then, the freelancer will proceed to write the appropriate text or
complete the necessary revisions. Any text that would be shared with more than one individual will be
submitted to the client for final approval before the freelancer makes the final submission.
Julie will deliver her work within an email or through attached files in the form of Word documents or pdf files.

Contact between Involved Parties:

All other tasks requested by the client that do not fit within existing categories will be completed based on the
mutual agreement of both parties. If any task is considered outside of the freelancer’s authority, then the
freelancer will inform the client and they will come to a mutual agreement for future action.

If any important issues arise, then the freelancer will email the client regarding any issues that need a response
within 2 business days. She will contact the client through their mobile phone regarding any issues that may need
a response within the same day.

In connection with the performance of services described above, the freelancer agrees to be paid $11 per hour on a
weekly basis. The weekly totals will be based on submitted spreadsheet pages that breakdown the hours and
tasks in detail. An invoice from PayPal will be sent to the client in order to record and document financial
transactions between both parties.

In addition to the fees describes above, there may be disbursements, expenses, and other costs the freelancer may
incur in connection with this agreement. Such expenses will be discussed directly through email and mutually
agreed upon, such as registration fees for special online conferences or extra supplies.

You will be invoiced for all reimbursable expenses, together with appropriate documentation evidencing such
expenses through the PayPal invoices. Reimbursable expenses shall be paid by within 7 days of the date of

Late Payment Penalty

Julie Cotton reserves the right to impose an interest charge equal to 10% per month on any fees or invoiced
reimbursable expenses that remain unpaid after 14 days.

Conditions to Performance of Services

It is agreed that:
 A primary point of contact who is responsible for decisions and for answering and resolving
questions and issues is the following:

 The freelancer’s health condition will not initially impact the assignment of tasks to the freelancer.
The freelancer will notify Jorea if any accommodation may be needed. The freelancer asks that Jorea
keep their health condition confidential from others, including other employees. Jorea must get
permission from Julie’s emergency contact if an urgent situation arises regarding Julie's health

In order for the freelancer to perform services for PARfessionals, LLC in an effective and efficient manner, please
agree to the following:
 Provide all information and documentation that Julie Cotton may request from you or that may
otherwise be useful in connection with the performance of services.
 Immediately advise Julie Cotton of any changes to your operations or other information that may
require a change in the scope or particulars of the services.

If you want to increase or decrease the scope of the services described above, or want to add additional services,
Julie Cotton requires that any such changes be mutually agreed to in writing and attached to this agreement as an

Freelancer Status
You understand that you are engaging Julie Cotton as an independent contractor. This agreement is not intended
to create any partnership, joint venture, co-ownership, agency, or employment relationship between us.

This agreement will continue until completion of the services, unless terminated earlier by either party upon 30
days advance written notice. Should either party terminate this agreement prior to the end of the term, you will
pay to the freelancer the unpaid portion of fees for services that were performed, plus all unpaid reimbursable

Notwithstanding the previous paragraph, if you do not abide by these terms, and the situation is not resolved
within 10 days of receiving written notification from the freelancer, we reserve the right to end the project

Handling of Disputes
This agreement will be governed by and construed in accordance with the laws of the state of Georgia. Any
dispute that arises relating to this agreement shall be settled by arbitration in Muscogee County, Georgia, in
accordance with the rules of the American Arbitration Association, provided that discovery shall be governed by
the civil procedure rules of the state of New Jersey, or any successor statute, and judgment upon the award
rendered may be entered in any court having jurisdiction. You agree to waive any objection to the jurisdiction of
such venue.

Notwithstanding the preceding paragraph, with respect to the collection of past due monies that you owe to Julie
Cotton in accordance with the terms of this letter agreement equal to or less than the jurisdictional limit for small
claims court in NJ , Julie Cotton shall be permitted, based on her own sole discretion, to bring a summary
proceeding against you in such court and you agree to waive any objection to personal jurisdiction or venue, and
any right to a trial before jury, in any proceeding in these courts. You agree to pay all costs and expenses,
including but not limited to, reasonable attorney fees and court costs, for the collection and/or enforcement of any
obligation under this agreement, whether or not a lawsuit or arbitration is commenced.

This agreement shall only be amended upon the written approval of both parties. This agreement constitutes the
entire agreement between you and Julie Cotton with respect to the performance of the services set forth above.
This agreement supersedes any previous agreements between these parties relating to the performance of these
