AGREEMENT

This agreement is made on this day of 1st April 2019 at Karimnagar between Andhra Bank
Zonal Office, Karimnagar herein after referred to as the “Customer” (which expression shall
include its successors and assignees) of the ONE PART.

AND

M/s. VCARE TECHNOLGY, Karimnagar having its registered office at Ho No.8-4-


705,Street no 7,Thirumala Nagar Karimnagar -505001.

Where as the Customer is desirous of entrusting the Maintenance Contract for Desktop
Computers and Peripherals of here under referred to as EQUIPMENT.

AND whereas VENDOR has agreed to undertake comphrehensive maintenance, of the


equipment as per the following terms and conditions.
Terms & Conditions:

1. Our Scope of maintenance is onsite includes replacement of defective spares free of


cost. In case of major failures which need replacement of unit, the same shall be
replaced with equivalent V CARE TECHNOLOGY Part/Model.
2. SLA
a) In city (I) Response Time - Within 4 Hrs. (II). Resolution Time - Within 24 Hrs.
b) Out City (I) Response Time – Next Business Day (II). Resolution Time –Within
72 Hrs.
3. Taxes Extra (As per Govt. Norms).
4. The following items are treated as consumable and are not covered under the scope of
the contract.
a. (A) For PCs: LCD Monitor screen Lining and bubbling Problems
b. (B) For Keyboards, Mouses: Beyond repair cases shell be suggested to
purchase new.
c. All OEM Declared consumables - Like Printer Heads, Plastic parts, Pressure
Rollers, gears, teflons, toner cartridges, Encoder Strips, Knobs, Fuser
Assemblies, Cables, Mylar strips, Photo Sensors, converters, connectors,
Scanner Lamp, Glass, Belts & Power adapters.
d. Defect arising due to site related problem such as Rat Rodent, Improper
Earthing and Electrical Short circuits.

5. All the systems and its associated peripherals should be complete working condition
at the time of entering into maintenance Contract. Otherwise Service charges on
actual will be charged extra.
6. The contract period shall be for a period of One Year from 01.04.2019 TO
31.03.2020.
7. With Regards to support of software (Operating System) the media for the same shall
be provided by customer.
8. LIABILITY: V CARE TECHNOLOGY shall not be liable for any kind of data loss,
which may take place during repairs/service of the Equipment. To avoid such
situation, V CARE TECHNOLOGY recommends regular backups of data to be
maintained by the Customer. In no event the cumulative total liability of V CARE
TECHNOLOGY in respect of all events shall exceed such value of Services billed
and money received by V CARE TECHNOLOGY in respect of affected Equipment
under this Agreement calculated on pro-rata basis for the affected period of service
which gives rise to the claim. The Customer shall indemnify V CARE
TECHNOLOGY and keep V CARE TECHNOLOGY fully and effectively
indemnified on demand against any loss of or damage to any property or injury to or
death of any person caused by any negligent act or omission or willful misconduct of
the Customer, its employees, agents or sub-contractors.
9. In case the vendor is unable to provide service as per the service level agreement
mentioned in point 4 ,may lead to breach of contract between the either parties and
the vendor is liable to pay the revenue loss occurred to that extent for not discharging
the duties.
10. Removal of Virus is not covered under the scope of AMC and V CARE
TECHNOLOGY shall not be responsible for the data loss due to virus attack beyond
the control of V CARE TECHNOLOGY.
11. The AMC charges are quoted based on configuration given by You, Any additional
configuration added to or remove shall be worked out on pro-data basis.
12. Failure occurring due to fluctuation in the electricity, lightning, theft and other
abnormalities shall not be covered under the scope of the AMC.
