25.

EXTENSION OF TIME
Upon it becoming reasonably apparent that the progress of works is delayed, the Sub-
Contractor shall forthwith give written notice of the cause of delay to the Architect, and if
in the opinion of the Architect the completion of the works is likely to be or has been
delayed beyond the Date of Completion stated in the appendix to the Conditions or
beyond any extended time previously fixed under this clause:
(a) By reason of the Sub-Contractor not having received in due time necessary
instructions, drawings, details, or levels from the Architect for which he
specifically applied in writing on a day which having regard to the Date of
Completion stated in the appendix to these Conditions or to any extension of
time then fixed under this clause was neither unreasonably distant from nor
unreasonably close to the date on which it was necessary for him to receive
the same, or
(b) By delay on the part of the nominated sub-contractors or nominated suppliers
which the Sub-Contractor has taken all practical steps to avoid or reduce, or
(c) By delay on the part of artisans, tradesmen or others engaged by the Employer
in executing work not forming part of this Contract, or
(d) By reason of opening up for inspection of any work covered up or of the
testing of any of the work materials or goods in accordance with clause 7 (3)
of these Conditions ( including making good in consequence of such opening
up or testing), the inspection or test showed that the work materials or goods
were not in accordance with this Contract, or
(e) Force majeure, or
(f) By reason of exceptionally inclement weather relevant to the period of
occurrence of delay, or
(g) By reason of civil commotion, communual disturbance, or lockout affecting
any of the trades employed upon the works of any of the trades engaged in the
preparation, manufacture or transportation of any of the goods or materials
required for the works, or
(h) By reason of Architect’s instruction issued under clause 3 (2), 13 (1) , or 23
(2) of these Conditions:
Then the Architect shall so soon as he is able to estimate the length of delay beyond the
date or time aforesaid make in writing a fair a nd reasonable extension of time for
completion of the works, provided always that the Sub-contractor shall use constantly his
best endeavours to prevent delay and shall do all that may reasonably be required to the
satisfaction of the Architect to proceed with the works.

The making of an extension of time by virtue of this clause shall not entitle the Sub-
contractor to any additional payment unless he is entitled under any of the specific
provisions of clause 26 of these Conditions.

26. LOSS AND EXPENSE CAUSED BY DISTURBANCE OF REGFULAR


PROGRESS OF THE WORKS.
The Sub-contractor shall be entitled to additional payment if:
(a) By reason of the Sub-Contractor not having received in due time necessary
instructions, drawings, details, or levels from the Architect for which he
specifically applied in writing on a day which having regard to the Date of
Completion stated in the appendix to these Conditions or to any extension of
time then fixed under this clause was neither unreasonably distant from nor
unreasonably close to the date on which it was necessary for him to receive
the same, or
(b) The opening up for inspection of any work covered up or of the testing of any
of the work materials or goods in accordance with clause 7 (3) of these
Conditions ( including making good in consequence of such opening up or
testing), the inspection or test showed that the work materials or goods were
not in accordance with this Contract.
(c) Any discrepancy in or divergence between the Contract drawings; or
(d) Delay on the part of artists, artisans, tradesmen, or others engaged by the
Employer in executing work not forming part of this Contract;
(e) Architect’s instructions issued in regard to the postponement of and work to
be executed under the provisions of this Contract.

(3) The provisions of this Condition are without prejudice to any other rights and
remedies which then Sub-Contractor may possess.

27. DETERMINATION BY EMPLOYER


(i) If the Sub-contractor breaches one or more Conditions of this Contract, the
Employer reserves the right to terminate the contract, after written requests must
have been made by the Employer or the Architect on his behalf to the Sub-
Contractor for rectification of defects or performance of obligations. Such request
or notice to rectify and make good shall be given in writing allowing 14 days for the
Sub-Contractor to respond. At the expiration of 14 days, and if the sub-contractor
has failed to rectify the defect or perform the obligation, or give a written
commitment to do so, the Employer may then issue a Notice to Terminate the
Contract giving 30 days’ notice to determine the Contract if such defects are not
rectified or performance of Sub-Contractor’s obligation is not affected.
(ii) The Sub-Contractor is obliged to notify Employer if it becomes bankrupt or
there is an order for composition, liquidation or winding up, voluntary or
involuntary, and the Employer shall terminate this Contract forthwith without notice
or recourse to arbitration.
(iii) In the event of the employment of the Sub-Contractor being terminated under
this clause, the Employer may employ and pay other persons to carry out works and
he or she may enter upon the works and us e all temporary buildings, plant, tools,
equipment and goods intended for and delivered for the benefit of the works.
(iv) The Sub-contractor shall, if so required assign to the Employer without
payment the benefit of any agreement for the supply of materials or goods and/or
for the execution of any work for the purposes of this Contract.
(v) The Sub-Contractor shall as when required in writing by the Architect so to
do, remove from the works any temporary buildings , plant, tools, equipment, goods
and materials belonging to or hired by him. If within a reasonable time after any
such requirement has been made the Sub-Contractor has not complied therewith,
then the Employer may,(but without being responsible for the loss or damage)
remove and sell any such property of the Sub-Contractor , holding the proceeds less
all costs incurred to the credit of the Sub-Contractor.
(vi) The Sub-Contractor shall pay to the Employer such amount of money
sufficient to mitigate any economic loss to the Employer.

28. DETERMINATION BY SUB-CONTRACTOR


Without prejudice to any other rights and remedies which the Sub-Contractor may
possess, the Sub-Contractor may be entitled to terminate the Contract if :
28 (1) (i)The Employer not pay to the Sub-contractor within 45 days, the amount due on
any certificate after the Period of Honouring Certificates provided for in the appendix to
these Conditions.
(ii) The employer interfered with or obstructs the issue of any certificate due under
this Contract, or
(iii) The carrying out of the whole or substantially the whole
