1 Large-format fermacell Gypsum Fibreboard is an excellent product for prefabricated
elements used in timber-frame constructions. 2 fermacell Vapor, the vapour barrier-
inhibiting board is the one we recommend for the inside application of exterior walls in
timber-frame buildings. As a result of the existing vapour barrier in the board, this product
can be installed very efficiently. 3 The fermacell Powerpanel HD is the perfect choice for

Handling
Please note that special handling
and storage equipment is required
for non standard large format
boards as they are not delivered
on pallets.

use of mechanical board lifters
n For full size boards we recommend
the use of board lifters/clamps.
Storage
Where possible, fermacell Boards
should be stored on a flat level base.
They should be protected from moistu-
re; wet boards should be allowed to dry
out completely on a level surface before
use. The stacking of boards on their
edges can lead to deformation of the
boards and damage to the edges.
Boards should generally be carried
upright and the use of board lifters is
advised when fitting boards to ceilings.
Delivery
Our basic terms of delivery are FCA ,
Incoterms 2010. Where desired or
mandatory we also offer to coordinate
deliveries with deviating Incoterms
2010. From our plants goods may gene-
rally only be collected by trucks (cur-
tain-sided vehicle). Special security
guidelines must be complied with. The
Container Loading procedure for over-
sea deliveries is to be made by the
forwarding agent. Since production and
shipping time are dependant on desired
product, distance to warehouse and
transport mode, delivery time is to be
confirmed upon receipt of order.
Board Sizes
The offered board sizes are a selection
by us. Further standard sizes are availa-
ble Where not limited by constraints
independant of our influence (e.g.
logistics) we can produce our Gypsum
Fibreboards in 10, 12.5, 15 and 18 mm
and in any size up to a mximum of
6000 x 2540 mm (Tapered Edge up to
3600 x 1250 mm) and a mimimum size of
500 mm. Powerpanel Wallboards are
limited to the size of 3010 x 1250 mm.
Special cuts or special packaging accor-
ding to your desire is possible upon
request at a mimimum order amount of
300 m² and might cause additional
charges.

Overseas Packaging
In order to use the maximum capacity of
oversea containers (20', 40' or 40' HC)
our board packaging might slightly
differ from standard packaging shown
in this Export Trade List.
Embargoes
We are urged to consider all current
embargoes as well as international
sanctions lists. This is done before an
order confirmation is sent out and
before the delivery is released. This
might lead to delays or even cancellati-
on of delivery.
Duty of Reprimand
The buyer is obligated to inspect the
purchased item immediately for recog-
nisable defects and obvious transport
damage. The buyer's warranty rights
assume that he will immediately notify
defects in writing and photographically
after their discovery, in the case of
recognisable defects and damages
within 1 day of delivery of the
purchased item.

1. Definitions
1.1 In these terms and conditions the following expressions shall have the following
meanings and related expressions shall be construed accordingly:
a) “Business Day” means a day (other than a Saturday, Sunday or public holiday)
when banks in London are open for business,
(b) “the Buyer” means the person or firm who purchases the Goods from
the Seller,
(c) “these Conditions” means the terms and conditions herein set out (as amended
from time to time) which shall govern the purchase and sale of the Goods,
(d) “the Contract” means the contract of sale concluded by the placing of an Order
which is accepted by the Seller in accordance with these Conditions,
(e) “the Goods” means the items or articles set out in the Order,
(f) “the Order” means the order placed by the Buyer with the Seller for the supply
of the Goods in the Buyer’s purchase order form, the Buyer’s written acceptance
of the Sellers quotation, or overleaf, as the case may be,
(g) “the Seller” means Fermacell GCC, Jebel Ali Free Zone, P.O. Box 263227, Dubai,
UNITED ARAB EMIRATES a branch of Fermacell GmbH (a company incorporated
in Germany whose address is Dammstrasse 25, 47119 Duisburg, GERMANY).
1.2 In these Conditions, the following rules apply:
(a) a person includes a natural person, corporate or unincorporated body (whether
or not having separate legal personality);
(b a reference to a party includes its personal representatives,
successors or permitted assigns;
(c) a reference to a statute or statutory provision is a reference to such statute or
provision as amended or re-enacted;
(d) a reference to a statute or statutory provision includes any subordinate
legislation made under that statute or statutory provision, as amended or
re-enacted;
(e) any phrase introduced by the terms including, include, in particular or any
similar expression shall be construed as illustrative and shall not limit the sense

2. Basis of Contract
a) The Contract and all agreements from time to time entered into between the Seller
and the Buyer which provide for the sale of any Goods by the Seller to the Buyer
shall be deemed to incorporate these Conditions which represent the complete
agreement of the Seller and the Buyer with regard to the Goods except as may be
otherwise specifically agreed in writing by the Seller. These Conditions shall override
any terms and conditions stipulated, incorporated or referred to by the Buyer in any
Order, correspondence, negotiations or in any other way.
(b) No Order is binding on the Seller until accepted by the Seller in writing by the issue
of the Seller’s official Order confirmation notwithstanding any act or statement of
the Seller prior to such issue.
(c) Without prejudice to the foregoing acceptance of delivery of the Goods by the Buyer
shall be deemed to constitute acceptance of these Conditions to the exclusion of all
other terms and conditions whatsoever.
(d) The Buyer acknowledges that it has not relied on any statement, promise or
representation made or given by or on behalf of the Seller which is not set out in
the Contract. Any measurements, weights, colours, samples, drawings, descriptive
matter or advertising issued by the Seller and any descriptions or illustrations
contained in the Seller’s catalogues or brochures are issued or published for the sole
purpose of giving an approximate idea of the Goods described in them. They shall
not form part of the Contract or any other contract between the Seller and the Buyer
for the sale of the Goods.
(e) A quotation for the Goods given by the Seller shall not constitute an offer. A quotation
shall only be valid for a period of 30 Business Days from its date of issue.
3. Delivery
a) The Seller shall deliver the Goods ex works or, or such other location as the parties
may agree as confirmed in the Order confirmation. Wherever delivery takes place,
delivery to or collection of the Goods by a carrier for or on behalf of the Buyer shall
constitute delivery to the Buyer.
(b) Delivery of the Goods shall be made at the Seller’s earliest convenience and is
dependent on the Seller’s suppliers effecting proper and prompt delivery to the
Seller. Any time or date for delivery that may be given by the Seller is an estimate
only and may be cancelled or revised at the Seller’s option. Time for delivery by
the Seller shall not be of the essence of the Contract and is conditional upon full
clarification by the Buyer of all aspects of Order and complete performance of the
Buyer’s obligations e.g. obtaining official licenses, provision of guarantees or letters
of credit or making on account payments.
(c) The Buyer will accept delivery of the Goods when tendered by the Seller provided
such delivery is tendered at the Buyer’s place of business within usual business
hours or at such other place as may be agreed between the Seller and the Buyer.
The date of dispatch or the date when the Buyer is notified that the goods are ready
for dispatch from the Seller’s factory or warehouse is the date of delivery.
(d) The Seller shall not be liable to the Buyer for any loss or damage suffered directly or
indirectly by the Buyer from any delays in delivery howsoever arising.
(e) If the Seller fails to deliver the Goods, its liability shall be limited to the costs
and expenses incurred by the Buyer in obtaining replacement goods of similar
description and quality at the cheapest market available, less the price of the
Goods. The Seller shall have no liability for any failure to deliver the Goods to the
extent that such failure is caused by a Force Majeure Event (defined below) or the
Buyer’s failure to provide the Seller with adequate delivery instructions or any other
instructions that are relevant to the supply of the Goods.
(f) A Force Majeure Event means any event beyond the Seller’s reasonable control,
which by its nature could not have been foreseen, or if it could have been foreseen,
was unavoidable, including strikes, lockouts or other industrial disputes (whether
involving its own workforce or a third party’s), failure of energy sources or transport
network, Acts of God, war, terrorism, riot, civil commotion, interference by a civil
or military authority, national or international calamity, armed conflict, malicious
damage, breakdown of plant or machinery, nuclear, chemical or biological
contamination, sonic boom, explosions, collapse of building structures, fires, floods,
storms, earthquakes, loss at sea, epidemics or similar events, natural disasters or
extreme adverse weather conditions, or default of suppliers or sub-contractors.
(g) If delivery is delayed due to a Force Majeure Event by a period in excess of 6 months
the Seller may cancel the undelivered portion of the Contract by notice in writing.
(h) When Goods are made to the Buyer’s order for call-off and no delivery dates are
specified then any Goods not called-off within three months after the date of the
Seller’s confirmation of Order may be deemed by the Seller in its absolute discretion to
have been called-off and payment will become due in respect of such Goods.
(i) Where the Seller has agreed to delivery by way of call-off the Buyer agrees to call
off in roughly equal instalments; failing this the Seller will exercise its discretion as
to the amount of any instalment.
(j) If the amount of Goods called-off exceeds the amount the Seller has contractually
agreed to supply, the Seller may but is not obliged to effect delivery. If the Seller
elects to supply such additional Goods they will be supplied at the prices prevailing
at date of delivery.
(k) The Seller reserves the right to make delivery by instalments.
(l) When delivery is to be made by instalments or the Seller exercises its right to
delivery by instalments under clause (k) hereof the Buyer shall not be entitled to
treat the Contract as repudiated or to damages by virtue of any instalment or any
part of any instalment not being delivered in accordance with the Contract.
(m) The Buyer shall not be entitled to reject the Goods by reason only of short
delivery thereof.
(n) The Buyer shall not be entitled to reject the Goods if the Seller delivers up to and
including 10% by value more or less than the quantity of Goods ordered, but a pro
rata adjustment shall be made to the Order invoice on receipt of notice from the
Buyer that the wrong quantity of Goods was delivered.
4. Payment
a) Payment of the price of the Goods shall be made net in € in cleared funds within
(30) days of invoice date (“the Due Date”) time for payment being of the essence of
the Contract.
(b) If the Buyer fails to make any payment due to the Seller under the Contract by the
due date for payment (“due date”), then the Buyer shall pay interest on the overdue
amount at the rate of 4% per annum above National Westminster Bank’s base
lending rate from time to time. Such interest shall accrue on a daily basis from the
due date until the date of actual payment of the overdue amount, whether before or
after judgment. The Buyer shall pay the interest together with the overdue amount.
(c) Payment shall be made to the bank account nominated in writing by the Seller.
(d) All costs of transfer of monies or bank charges must be paid by the Buyer.
(e) The Buyer shall pay all amounts due under the Contract in full without any
deduction or withholding acceptance required by law and the Buyer shall not be
entitled to assert any credit, set-off or counterclaim against the Seller in order to
justify withholding payment of any such amount in whole or part. The Seller may
at any time without limiting any other rights or remedies it may have, set off any
amount owing to it by the Buyer against any amount payable by the Seller to
the Buyer.
(f) Any agreed discounts are only applied if payment is effected within the time
stipulated and the Buyer owes no other monies to the Seller whatsoever.
(g) The Seller reserves the right to suspend further deliveries, to demand security for
payment and to cancel any allowance of further credit in the event of:
(i) any payments under the Contract (or any other Contract with the Buyer) not
being made when due, or
(ii) the Seller in its sole discretion at any time considering that the financial condition
of the Buyer has ceased to justify any such terms being permitted.
5. Price
(a) Unless otherwise agreed, the price applicable is that shown in the Seller’s pricelist
at the date of the conclusion of the Contract.
(b) The Seller reserves the right to alter its prices if before delivery any costs expenses
or charges which form part of the Seller’s calculation of its prices (such as cost of
materials, salary or fuel) increase or if any new costs, expenses or charges arise. The
Seller may also increase the price of the Goods to reflect any increase in the cost of
the Goods that is due to;
(i) any request by the Buyer to change the delivery dates, quantities or types of
Goods ordered, or
(ii) any delay caused by any instructions of the Buyer or failure of the Buyer to give
the Seller adequate or accurate information or instructions.
(c) The price of the Goods is exclusive of the costs and charges of packaging, insurance
and transport of the Goods.
(d) The price of the Goods is exclusive of amounts in respect of value added tax (VAT).
The Buyer shall, on receipt of a valid VAT invoice from the Seller, pay to the Seller
such additional amounts in respect of VAT as are chargeable on the supply of
the Goods.
(e) The Seller may invoice the Buyer for the Goods on or at any time after the
completion of delivery.
6. Delivery and risk
Risk in the Goods shall pass to the Buyer on delivery of the Goods. If the Buyer requires
postponement of delivery beyond the projected delivery date, the Seller may elect to
store the Goods until delivery takes place, and charge the Buyer (and the Buyer shall
pay) for all related costs and expenses (including insurance).
7. Retention of title
a) Notwithstanding delivery title in the Goods shall not pass to the Buyer until:
(i) the Buyer has paid in full the price of the Goods; and
(ii) until the full price of any other delivered Goods the subject of any other
business transaction between the Buyer and the Seller has been paid. Such
price and the price of the Goods shall hereinafter together be called the “value”
and shall where the context so permits include in addition thereto any costs of
repossession incurred pursuant to clause 7(c) (iv).
(b) Until the value has been received by the Seller the Buyer will hold the Goods as
bailee on behalf of the Seller and the Buyer hereby acknowledges that there shall
accordingly subsist a fiduciary relationship in respect of the Goods between the
Buyer and the Seller.
(c) Subject thereto:
(i) the Buyer will store the Goods on its premises separately from its own goods or
those of any other person in such a way that they can be readily identified as
the goods of the Seller;
(ii) until payment as aforesaid the Buyer will take all necessary measures for the
protection of the Goods including the insurance thereof against all usual risks
with an insurance company approved by the Seller for the full replacement
value of the Goods. The Buyer will procure that the interest of the Seller is
noted upon any policy of insurance effected pursuant hereto and that a copy of
the same is supplied to the Seller on the creation thereof;
(iii) the Buyer is authorised by the Seller to agree to sell on the Goods at a price
which shall nevertheless be no less than the purchase price of the Goods
hereunder subject to the express condition that the entire proceeds thereof are
held in trust for the Seller and are not mingled with other monies or paid into
any overdrawn bank account and shall be at all time identifiable as the Seller’s
money. The Buyer shall keep records (to be produced to the Seller whenever
required) of the name and address of any such sub-purchaser and the date
and contract price of each delivery and shall if the Seller so requires in writing
assign such claims as the Buyer has against such sub-purchasers as emanate
from this transaction;
(iv) the Seller may, at any time if payment is overdue in whole or in part without
prejudice to any other right arising pursuant to or consequent upon the
Contract, for the purpose of recovery of the Goods, enter upon any premises
where the Seller reasonably believes Goods are stored and may repossess the
same. All costs and expenses reasonably incurred by the Seller in connection
with such recovery shall be paid by the Buyer;
(v) if before title to the Goods passes to the Buyer, the Buyer becomes subject
to any of the events listed in Clause 15 or the Seller reasonably believes that
any such event is about the happen and notifies the Buyer accordingly then,
provided that the Goods have not been resold or irrevocably incorporated into
another product, without limiting any other right or remedy, the Seller may
have, the Seller may at any time require the Buyer the deliver up the Goods
and, if the Buyer fails to do so promptly, enter any premises of the Buyer or any
third party where the Goods are stored in order to recover them;
(i) the Buyer may admix the goods with other property not belonging to the
Seller. However if goods the property of the Seller are admixed with goods
the property of the Buyer or are processed with or incorporated therein
the product thereof shall become and/or shall be deemed to be the sole
and exclusive property of the Seller. If Goods the property of the Seller are
admixed with Goods the property of any person other than the Buyer or
reprocessed with or incorporated therein the product thereof shall become or
shall be deemed to be owned in common with that other person;
(ii) the provisions of Paragraph iii) of Clause c) hereof shall apply mutatis
mutandis to the proceeds of sale of any product referred to in Paragraph i) of
this Clause;
8. Warranty of title
The Seller warrants that it has title of the Goods or will have such title at the time when
property in the Goods is to pass to the Buyer under the Contract and warrants that in
all other respects it is able to satisfy its obligations to the Buyer under Section 12 of the
Sale of Goods Act 1979.
9. Exclusion of further warranties
(a) Save as expressly stated in these Conditions all warranties and conditions whether
express or implied by statue (including in particular Sections 13, 14 and 15 of the
Sale of Goods Act 1979) usage, trade custom or otherwise relating to the quality
or nature of the Goods or their life or wear or fitness for any particular purpose or
use under any specific conditions are, to the fullest extent permitted by law, hereby
expressly excluded.
(b) These Conditions shall apply to any repaired or replacement goods supplied by
the Seller.
10. Claims
(a) Any Goods alleged by the Buyer in writing to be damaged or not of satisfactory
quality shall not form the subject of any claim for work done by the Buyer or for any
loss damage or expense whatsoever arising directly or indirectly from such alleged
defects, but provided the Goods are returned to the Seller or made available for
its inspection in accordance with these Conditions and are accepted by the Seller
as damaged or not of satisfactory quality either the Goods shall be replaced as
originally ordered or at the sole discretion of the Seller an appropriate credit note
will be issued to the Buyer provided always that the Buyer has otherwise complied
with the Conditions.
(b) No claim will be accepted by the Seller where:
(i) the Buyer makes any further use of the Goods after notifying the Seller in
accordance with Clause 10(a); or
(ii) the defect arises because the Buyer failed to follow the Seller’s oral or written
instructions as to the storage, commissioning, installation, use and maintenance
of the Goods or (if there are none) good trade practice; or
(iii) the Buyer alters or repairs such Goods without the written consent of the Seller;
or
(iv) the defect arises as a result of fair and wear and tear, wilful damage, negligence
or abnormal storage or working conditions.
11. Damage in transit/shortages
The Buyer shall inspect the Goods immediately they are delivered and the signature
of the Buyer or of any person acting on its behalf on the delivery note shall be
deemed to be acknowledgement on the part of the Buyer that the Goods are of
satisfactory quality, undamaged and in accordance with the Contract and the Seller

shall not replace the Goods nor be under any liability to deliver any missing part
thereof, unless the Buyer a) states on the delivery note that the Goods or part thereof
are either damaged or missing and b) notifies the Seller in writing within 3 days
of the delivery of the Goods of the extent to which the Goods are damaged and/
or missing.
12. Inspection/return
a) No claim under clause 10 will be entertained by the Seller unless, in addition to
the Buyer’s compliance with clause 12 the Buyer makes the Goods available for
collection or inspection by the Seller so that the Seller can determine whether a
claim will be accepted.
(b) No Goods will be accepted for return without the prior agreement of the Seller
and returned Goods must be properly and securely packed by the Buyer and
accompanied by a detailed list giving the reasons for their return and the date and
number of the Seller’s invoice in which the Goods were charged.
13. Limit of liability
(a) Nothing in these Conditions shall limit or exclude the Seller’s liability for:
(i) death or personal injury caused by its negligence, or the negligence of its
employees, agents or subcontractors (as applicable);
(ii) fraud or fraudulent misrepresentation; or
(iii) breach of the terms implied by section 12 of the Sale of Goods Act 1979; or
(iv) defective products under the Consumer Protection Act 1987; or
(v) any matter in respect of which it would be unlawful for the Seller to exclude or
restrict liability.
(b) Subject to Clause 13(a):
(i) the Seller shall not be liable to the Buyer, whether in contract, tort (including
negligence), breach of statutory duty, or otherwise, for any loss of profit or
indirect or consequential loss arising under or in connection with the Contract;
and
(ii) the Seller’s total liability to the Buyer in respect of all other losses arising
under or in connection with the Contract, whether in contract, tort (including
negligence), breach of statutory duty, or otherwise, shall not exceed 100% of
the price of the Goods.
14. Appropriation of payments
Any payments made by the Buyer generally on account and not otherwise appropriated
by the Seller shall be appropriated to the Seller’s unpaid invoices in their numerical
order beginning with the lowest number.
15. Insolvency of Buyer
(a) If the Buyer becomes subject to any of the events listed in Clause 15(b), or the Seller
reasonably believes that the Buyer is about to become subject to any of them and
notifies the Buyer accordingly, then, without limiting any other right or remedy
available to the Seller, the Seller may cancel or suspend all further deliveries under
the Contract or under any other contract between the Buyer and the Seller without
incurring any liability to the Buyer, and all outstanding sums in respect of Goods
delivered to the Buyer shall become immediately due.
(b) For the purposes of Clause 15(a), the relevant events are:
(i) the Buyer suspends, or threatens to suspend, payment of its debts or is unable
to pay its debts as they fall due or admits inability to pay its debts or (being a
company) is deemed unable to pay its debts within the meaning of section 123 of
the Insolvency Act 1986, or (being an individual) is deemed either unable to pay
its debts or as having no reasonable prospect of so doing, in either case, within
the meaning of section 268 of the Insolvency Act 1986, or (being a partnership)
has any partner to whom any of the foregoing apply]; or
(ii) the Buyer commences negotiations with all or any class of its creditors with a
view to rescheduling any of its debts, or makes a proposal for or enters into any
compromise or arrangement with its creditors [other than (where the Buyer is a
company) these events take place for the sole purpose of a scheme for a solvent
amalgamation of the Buyer with one or more other companies or the solvent
reconstruction of the Buyer]; or
(iii) (being an individual) the Buyer is the subject of a bankruptcy petition or order;
or
(iv) a creditor or encumbrancer of the Buyer attaches or takes possession of, or a
distress, execution, sequestration or other such process is levied or enforced
on or sued against, the whole or any part of its assets and such attachment or
process is not discharged within 14 days; or
(v) (being a company) an application is made to court, or an order is made, for
the appointment of an administrator or if a notice of intention to appoint an
administrator is given or if an administrator is appointed over the Buyer; or
(vi) (being a company) a floating charge holder over the assets of the Buyer has
become entitled to appoint or has appointed an administrative receiver; or
(vii) a person becomes entitled to appoint a receiver over the assets of the Buyer or
a receiver is appointed over the assets of the Buyer; or
(viii) any event occurs, or proceeding is taken, with respect to the Buyer in any
jurisdiction to which it is subject that has an effect equivalent or similar to any
of the events mentioned in Clause 15(b)(i) to Clause 15(b)(vii) (inclusive); or
(ix) the Buyer suspends, threatens to suspends, ceases or threatens to cease to
carry on all or substantially the whole of its business; or
(x) the financial position of the Seller deteriorates to such an extent that in
the opinion of the Buyer the capability of the Seller adequately to fulfil its
obligations under the Contract has been placed in jeopardy.
16. Assignment and subcontracting
(a) The Seller may at any time assign, transfer, charge, subcontract or deal in any
other manner with all or any of its rights or obligations under the Contract.
(b) The Buyer may not assign, transfer, charge, subcontract or deal in any other
manner with all or any of its rights or obligations under the Contract without
the prior written consent of the Seller.
17. Notices
(a) Any notice or other communication given to a party under or in connection with
the Contract shall be in writing, addressed to that party at its registered office
(if it is a company) or its principal place of business (in any other case) or such
other address as that party may have specified to the other party in writing in
accordance with this clause, and shall be delivered personally, sent by pre-paid
first-class post, recorded delivery, commercial courier, fax or e-mail.
(b) A notice or other communication shall be deemed to have been received: if
delivered personally, when left at the address referred to in Clause 17(a); if sent by
pre-paid first-class post or recorded delivery, at 9.00 am on the second Business Day
after posting; if delivered by commercial courier, on the date and at the time that
the courier’s delivery receipt is signed; or, if sent by fax or e-mail, one Business Day
after transmission.
(c) The provisions of this clause shall not apply to the service of any proceedings or
other documents in any legal action
18. Waiver
A waiver of any right or remedy under the Contract is only effective if given in writing
and shall not be deemed a waiver of any subsequent breach or default. No failure or
delay by a party to exercise any right or remedy provided under the Contract or by
law shall constitute a waiver of that or any other right or remedy, nor shall it preclude
or restrict the further exercise of that or any other right or remedy. No single or partial
exercise of such right or remedy shall preclude or restrict the further exercise of that or
any other right or remedy.
19. Severance
(a) If any court or competent authority finds that any provision of the Contract (or
part of any provision) is invalid, illegal or unenforceable, that provision or part-
provision shall, to the extent required, be deemed to be deleted, and the validity
and enforceability of the other provisions of the Contract shall not be affected.
(b) If any invalid, unenforceable or illegal provision of the Contract would be valid,
enforceable and legal if some part of it were deleted, the provision shall apply with
the minimum modification necessary to make it legal, valid and enforceable.
20. Variation
Any variation to the Contract, including the introduction of any additional terms and
conditions, shall only be binding when agreed in writing and signed by both parties.
21. Third party rights
A person who is not a party to the Contract shall not have any rights under or in
connection with it.
22. Governing law and jurisdiction
The Contract, and any dispute or claim arising out of or in connection with it or its
subject matter or formation (including non-contractual disputes or claims), shall
be governed by, and construed in accordance with, English law, and the parties
irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
