‘The Hospital Community Board of St. Mary Medical Center, Long Beach is established and appointed
by the Board of Directors of Dignity Health. The Amended and Restated Bylaws of the Hospital
Community Board of St. Mary Medical Center, Long Beach (“Bylaws”) define and describe the
functions and duties of the Hospital Community Board (“HCB").
Under the Bylaws, the HCB is charged with being fully engaged in supporting the healing ministry of
Dignity Health. In addition, the HCB is responsible to oversee all quality assessment and
improvement activities and all medical staff matters, among other duties.
1 am aware that the HCB has been working collaboratively with the hospital leadership and the
Medical Staff on some challenging issues related to hospital based physician contracting. 1 am also
aware of the HCB's efforts to work collaboratively with the Medical Staff and hospital to respond to
the Medical Staff's proposed changes to the Medical Staff Bylaws.
Ihave been advised that on May 21, 2019 the Medical Staff conducted a vote that resulted in a request
for a change in hospital leadership. Under Section 1.5 of the Bylaws, as President & Chief Operating
Officer of CommonSpirit Health, lam delegated the authority to appointand remove the local hospital
President. This memo is to affirm my continued support, and the support of Julie Sprengel, SVP &
Divisional Leader for the Southern California Service Area of CommonSpirit Health, and the
leadership of the local hospital, President Carolyn Caldwell.
We remain confident that Carolyn Caldwell will continues to provide the leadership necessary for St.
Mary Medical Center, Long Beach to achieve the patient care and healing ministry goals for the
hospital and its surrounding community. We ask that you continue to collaborate current issues and
work collectively to continue to provide compassionate and quality care at St. Mary Medical Center,
Long Beach.
