1. Subcontract Agreement

This Subcontract is entered into on 10th December, 2018 (“Effective Date”) by and
between:

CHINA PETROLEUM PIPELINE ENGINEERING CO. LTD – ABU DHABI, having


its registered office at Office 701, Business Avenue Tower, Al Salam and 9th Street,
Abu Dhabi, UAE (hereinafter referred to as “CPP - Abu Dhabi” or Contractor);

and

YI BANG CONSTRUCTION GROUP - ABU DHABI, a company incorporated in the

United Arab Emirates, having its office at Office No.208, MZ2 Floor, Al Hana Tower,

Abu Dhabi, UAE (hereinafter referred to as “Subcontractor”).

WHEREAS:

A. CPP - Abu Dhabi has entered into a Subcontract with SK Engineering and
Construction Co. Ltd. (hereinafter SKEC) for CMEI construction works for
above ground surface facilities awarded from ADNOC (hereinafter referred to
as M Project);

B. CPP - Abu Dhabi wishes the Subcontractor to provide Architecture works,


namely, RC building and shelter, under the M Project, and complete the works
in professional manner as defined in this Subcontract and related documents;

C. The Subcontractor warrants and represents that it has all capabilities and
resources and experience to carry out and complete the work as per the
specifications, scope of work and other instructions that may be provided,
from time to time, by CPP - Abu Dhabi during the term of this Subcontract.

NOW, THEREFORE, the Parties hereto agree as follows:

I. In this Subcontract, words and expressions shall have the same meaning as are
respectively assigned to them in the Terms and Conditions hereof;

II. The following documents and their attachments shall together constitute the
agreement between CPP - Abu Dhabi and the Subcontractor.

III. In consideration of payments to be made by CPP - Abu Dhabi under this


Subcontract, the Subcontractor hereby covenants to execute, complete the
Work and remedy all defects in conformity, in all respects, with the provisions of
this Subcontract.

IV. In consideration of execution, satisfactory completion and remedying defects of


the works and services under this Subcontract, CPP - Abu Dhabi hereby
covenants to pay the Subcontractor in the manner prescribed in Exhibit 3 -
Price and Payment, subject to all relevant articles of the Subcontract.

V. This Subcontract constitutes the entire agreement between CPP - Abu Dhabi
and the Subcontractor with respect to the performance of the work and
services and supersedes all prior negotiations, representations or agreements
relating thereto, whether written or oral, except to the extent that they are
expressly incorporated in the Subcontract.

VI. This Subcontract is signed by both parties in two (2) original copies: CPP - Abu
Dhabi holds one (1) copy, and the Subcontractor holds one (1) copy.

VII. In Witness Whereof the Parties hereto have caused this Contract to be
executed in their respective names and by their duly authorized
representatives as of the Effective Date.

EXHIBIT 1 – TERMS AND CONDITIONS

ARTICLE 1 – OBLIGATIONS

1.1 CPP - Abu Dhabi shall, unless otherwise required, for reasons specified
elsewhere in this Subcontract, make the payment of Subcontract Price or part
thereof to Subcontractor for satisfactory performance and in the manner specified in
the Exhibit 3.

1.2 Subcontractor shall be responsible for mobilisation and demobilisation of their


personnel and equipment at their own cost.

1.3 Subcontractor shall supply their personnel with all required PPE (Personal
Protective Equipment) and all required insurances at its own cost.

1.4 Subcontractor shall be responsible for supply the accommodation and food to
its workers at its own cost, CPP - Abu Dhabi will supply assist.

1.5 CPP – Abu Dhabi will supply the main materials of steel structure, concrete,
doors and windows and furniture.

1.6 Subcontractor undertakes to perform the service in such a manner so as not to


cause damage to the surrounding area. Any part that suffers damage or loss
attributable to Subcontractor shall be repaired or replaced at the cost of
Subcontractor. The repair or replacement shall be carried out by Subcontractor,
unless CPP - Abu Dhabi requires that it be carried out by others.

ARTICLE 2 – REPRESENTATION & WARRANTIES

2.1 Subcontractor guarantees and warrants that all articles, equipment and work
furnished by Subcontractor and used in the performance of the Work shall be new
or in excellent working condition, shall be in accordance with Subcontract
specification requirements and are without defect, deficiencies and/or omissions
and are fit for the purpose intended. All vehicles and / or equipment used by
Subcontractor must have a third party inspection / test certificates, where
applicable, to ensure its good condition for the work. Failure to provide such quality
certificate may lead to termination of the Subcontract at Subcontractor’s default.

2.2 Subcontractor warrants that if any article, equipment, or work furnished fails to
conform to the purpose expressly specified or manifestly implied in this Subcontract,
then Subcontractor shall promptly correct or replace the deficient article or
equipment, service delivered to CPP – Abu Dhabi at Subcontractor's sole expense.
Such replacement and / repair or rework shall be provided at work site immediately.

2.3 All articles, materials or work supplied by Subcontractor hereunder shall be of


good quality and free from any defects. All materials supplied by Subcontractor
shall in accordance with ADNOC specifications for the Project. However, CPP - Abu
Dhabi's failure to inspect or reject any article, material or work shall not relieve
Subcontractor of any warranties or obligations provided hereunder.

2.4 All costs towards replacement and / or rectification works under this warranty
clause shall be solely borne by Subcontractor. Replacement under warranty clause
shall be made by Subcontractor free of all charges including freight, insurance and
other incidental charges.

2.5 Nothing in this guarantee and warranty shall relieve Subcontractor of his
responsibilities to provide correct services, equipment, vehicles and application of
materials to meet and satisfy the performance guarantees and all other
requirements of this Subcontract.

ARTICLE 3 –– EVENTS OF DEFAULT & REMEDIES

3.1 The following amongst other events will constitute a breach in terms of this
Subcontract and will constitute an event of default (“Event of Default”):

a.If Subcontractor fails to deliver services hereunder within the time period(s) (work
completion time) specified in this Subcontract or other relevant document.

b.If the works performed do not meet the technical specifications or requirements of
other relevant document making part of this Subcontract.

c. If Subcontractor fails to perform any obligation(s) and / or responsibilities under


the Subcontract; and

d. If Subcontractor, in either of the above circumstances, does not remedy its failure
within a period of three days (or such longer period as CPP - Abu Dhabi may
authorise in writing) after receipt of a Default Notice through email / phone call /
letter from CPP - Abu Dhabi.

3.2 On the occurrence of an Event of Default, CPP - Abu Dhabi may, at its sole
discretion, exercise any or all of the following options or a combination thereof:

a. Without prejudice to any other remedy provided for in this Subcontract, by written
notice of default (“Default Notice”), sent to Subcontractor, terminate this
Subcontract in whole or in part, which will amount to a termination as per terms
of Article 7 of this Subcontract.

b. Stop any payment towards the Subcontract Price as set out hereinabove, no
payments shall be made therefrom to the Subcontractor.

ARTICLE 4 – INDEMNITY

4.1 Subcontractor hereby agrees to indemnify and keep fully and effectively
indemnified and saved harmless CPP - Abu Dhabi, SKEC and ADNOC, their
directors, officers, employees, agents, authorized representatives, successors and
assigns from and against all claims, suits, actions, legal and other proceedings,
demands, damages, liabilities, interest, attorney fees, costs, expenses and
consequences of whatsoever nature of any kind including those arising out of,
anywise relating to or in any manner caused or occasioned, directly or indirectly or
contributed in whole or in part by reason of non-compliance of the clauses herein
contained and non-compliance of statutory obligations.

4.2 Subcontractor shall bear and pay all expenses including, for the avoidance of
doubt, legal costs incurred by CPP - Abu Dhabi in responding to and defending all
such claims, demands and actions. Subcontractor shall bear and promptly pay all
penalties, interest, damages, claims and liabilities imposed, claimed or levied or
assessed against CPP - Abu Dhabi, the subsidiaries, directors, officers, employees,
agents, authorized representatives, successors, assigns and against all other
persons claiming by through or under CPP - Abu Dhabi.

ARTICLE 5 – CONFIDENTIALITY

5.1 Parties agree that certain information, data and material of a confidential nature,
both technical and financial, may be transmitted from one Party to another. Any
such information, data and material disclosed by the Parties, including the terms of
this contract will be deemed to be confidential information of the disclosing Party,
and the recipient Party agrees that it will treat such information as confidential using
the degree of care that it would normally use in protection its own confidential
information. The recipient Party further agrees not to:

a. Disclose such confidential information, copies thereof or notes made on the basis
thereof, to any person;

b. Use such confidential information for any purpose whatever, other than for the
purpose of the performance of this Subcontract without the prior written
permission of the disclosing Party. The foregoing restrictions on use, discussion
and disclosure in respect of confidential information shall not apply;

c. If such information is or becomes available to the public from a source other than
the recipient Party;

d. If such information was previously known by the recipient Party;

e. If such information is disclosed with a written approval of the disclosing Party of


the Company, as the case may be;

f. If the recipient Party lawfully obtained or obtains such information from a third
party without restriction or under circumstances permitting its disclosure by the
recipient Party to others;

g. If such information is independently developed by the recipient Party without


recourse to any confidential information provided under this Subcontract; and
Upon termination of this Subcontract, all documents containing proprietary
information and all copies made thereof in the Parties' possession shall be
returned to the Respective Party entitled thereto and in any case any soft or
electronic copies of such information shall be deleted and/or destroyed and
notified to the Respective Party.

ARTICLE 6 – FORCE MAJEURE

6.1 None of the Parties shall be considered to be in default for any failure or delay in
performing its obligations under this Subcontract where such failure or delay is due
to an event of Force Majeure which shall include war or the effects of war, revolution,

civil commotion, acts of God, epidemics, fire, floods, bombings, terrorists attacks or
any other such cause beyond the control or without the fault or negligence of the
defaulting party provided that the notice of the event of Force Majeure is issued by
the affected Party within 7 (seven) days of happening of such an event.

6.2 It is expressly agreed that any strike(s) under no circumstances shall count as
FORCE MAJEURE.

ARTICLE 7 – TERM AND TERMINATION

7.1 This Subcontract shall be valid from 31 December, 2018 to 31 January, 2021. In
case CPP - Abu Dhabi requires extension of the Subcontract, the Subcontractor
agrees to extend it on the same terms, conditions and rates as specified in the
Subcontract documents.

7.2 CPP - Abu Dhabi and Subcontractor understand that workload of this
Subcontract is based on CPP - Abu Dhabi’s Project location (Fujairah). For
whatever reasons, if CPP - Abu Dhabi project is terminated before completion date
of this Subcontract, CPP - Abu Dhabi is entitled to terminate this Subcontract with
the Subcontractor. In such situation, CPP - Abu Dhabi will give 7 (seven) days
written notice to Subcontractor.

7.3 Notwithstanding the above, this Subcontract shall be terminated also on the
occurrence of the following events:

a. If Subcontractor is in default of any provision of this Subcontract and such breach


is not remedied within 7 (seven) days of notice of such breach having been
served by CPP - Abu Dhabi.

b. Any material representation made or warranty given by Subcontractor is or is


found to be false or misleading.

c. Subcontractor engages in or knowingly allowing any of its employees, agent or


representative to engage in any activity prohibited by law or which constitutes a
breach of or an offence under any law, which has or is likely to have a Material
Adverse effect.

d. Subcontractor is unable or refuses to make any statuary payments or any


payment of the Applicable Taxes due and payable by them which has or is likely
to have a Material Adverse effect.

e. For the purposes of this Subcontract, the term ‘Material Adverse Effect’ means
any event, occurrence, fact, condition, change, development or effect that is or
may be materially adverse to manufacture of the Final Products, operations,
prospects, results of operations, conditions (financial or otherwise), properties
(including intangible properties) or the material impairment of the ability of
Subcontractor to perform any of its obligations under this Subcontract or having
or capable of having a materially adverse financial impact on any of the Parties
or the material impairment of the ability of CPP - Abu Dhabi to undertake the
works / materials under the Project.

7.4 This Subcontract may be terminated by Subcontractor by giving written notice of


30 days to CPP - Abu Dhabi only in the event CPP - Abu Dhabi defaults in making
payment for a consecutive period of 45 working days and fails to remedy such
breach within thirty days of receipt of notice in writing from Subcontractor specifying
the reason.

7.5 This Subcontract may be terminated by either party:

a. by giving to the other Party ten (10) days written notice if any distress or
attachment is levied, or any receiver is appointed in respect of the business or a
substantial part of the property or assets of the other Party, or if it takes any
similar action in consequences of debt; or

b. by notice in writing to the other Party if any direction or order from any authority in
the UAE or any change in applicable statutes, rules and regulations or
Government is issued, which prevents or significantly impairs the
implementation of this Subcontract or directly or indirectly so restricts the scope
and exercise of the right of either Party such as to render the objectives of this
Subcontract effectively impossible; or

c. Where an event of Force Majeure continues without remedy for a period of 30


days from the date on which such Force Majeure Event first occurred.

7.6 CPP - Abu Dhabi shall not be liable to Subcontractor for any claim for loss of
profits or anticipated profits or any consequential or indirect losses arising from
termination of this Subcontract.

ARTICLE 8 – INSURANCE

8.1 Subcontractor is responsible to provide for its employees, equipment and


vehicles all insurances required by laws and regulations of the United Arab
Emirates, at Subcontractor’s own cost. Medical insurance of Subcontractor’s
workers and employees shall cover whole UAE, including the Emirate of Fujairah. In
case of need of any possible emergency medical aid, there shall be no obstacle for
providing necessary medical help.

8.2 Subcontractor’s minimum insurance requirements

Along with all the insurance requirements stipulated in this Subcontract and by UAE
laws, the Subcontractor shall provide and maintain at all times, at its own sole cost,
the following insurances, whenever applicable:

8.3 Workmen’s Compensation / Employer’s Liability Insurance

The Subcontractor shall obtain insurance which covers in respect of injury or illness
or death to the Subcontractor’s employees as required by Laws of the Country and
of any other country applicable to those employees and, where employees may
have an option to sue under any laws.

8.4 Constructional Plant, Tools and Equipment Insurance

The Subcontractor shall obtain insurance which insurance covers for the full
replacement value, against all loss or damage from whatsoever cause arising in
respect of Constructional plant, tools, and equipment and other items or properties
including spare parts, temporary buildings, office equipment owned, hired, used or
brought onto or destined for the Site and for use in the Subcontractor’s execution of
the Work. This insurance shall provide for an insurer’s waiver of subrogation in
favour of CPP – Abu Dhabi or SKEC.

8.5 Pollution Liability Insurance

The Subcontractor shall obtain insurance which covers the risk of any pollution
emanating/originating from the Constructional equipment.

8.6 Automobile Insurance Liability

In the event of the use of any automobile in connection with the execution of the
Work, there shall be Automobile Insurance Liability Policies provided by the
Subcontractor and shall be according with the Country’s Laws or other applicable
laws and regulations and cover all owned, non-owned and hired vehicles and
equipment. In the event that a claim is made that is greater than recoverable from
insurance, the Subcontractor shall pay for such excess to its account and the
Subcontractor indemnifies and holds harmless and defends the Contractor and the
Company and their officers, employees, agents and representatives, from and
against such excess accordingly.

8.7 Lower-Tier Subcontractor Required Insurance

The Subcontractor shall cause each Lower-Tier Subcontractor of any tier to


maintain similar insurance when applicable in respect of its plant and equipment,
liability to its employees, motor vehicles, and materials.

8.8 Subcontractor shall abide by the law of UAE especially Fujairah Emirate.

ARTICLE 9 – MISCELLANEOUS

9.1 No modification or amendment of this Subcontract and no waiver of any of the


terms or conditions hereof shall be binding unless made specifically in writing duly
executed by the authorized representatives of the Parties.

9.2 This Subcontract constitutes the entire agreement between the Parties and
supersedes all previous agreements between the Parties in this regard.

9.3 The Parties acknowledge that they have entered into this Subcontract solely
upon the terms contained herein and not in reliance upon any other representation
made by any other Party.

9.4 Qualified Supervisor shall be assigned to inspect the works from time to time.
Such supervisor shall be properly trained, Authorized & qualified to do inspection.

9.5 During execution of works, if Subcontractor considers that certain part of the
work is not under the scope of this Subcontract, and represents variation, a notice
to that effect shall be served to CPP – Abu Dhabi, providing the details.

Subcontractor shall carry out such work only after written confirmation of CPP – Abu
Dhabi and SKEC. No payment shall be made for unconfirmed part of the work.

9.6 This Subcontract shall be executed in two counterparts and each counterpart
shall be deemed an original; CPP - Abu Dhabi holds one (1) copy, and
Subcontractor holds one (1) copy.

ARTICLE 10 - SUSPENSION

10.1 CPP Abu Dhabi shall have the right to suspend at any time, at its sole option,
the performance of all or any portion of the Work by giving prior written notice
specifying the Work to be suspended and the effective date of suspension.

10.2 Such suspension of the Work shall be made without prejudice to the claims of
either Party in respect of any antecedent breach of the terms of this Subcontract.

10.3 During the period of suspension, the Subcontractor shall use its best efforts to
utilize its personnel in such a manner as to mitigate and minimize the cost
associated with the suspension.

10.4 Upon receipt of any such notice, the Subcontractor shall, unless the notice
requires otherwise:

a. immediately cease the performance of the Work to the extent specified in the
notice;

b. properly protect and safeguard parts of the Work already performed; and

c. promptly suspend the performance of Lower-Tier Subcontractors upon terms


satisfactory to CPP - Abu Dhabi to the extent such performance relates to
portions of the Work suspended.

10.5 The Work or any part thereof so suspended shall be resumed by the
Subcontractor as soon as practicable after receipt of a written notice from the CPP
Abu Dhabi to proceed therewith.

ARTICLE 11 – HSE REQUIREMENT

11.1 Subcontractor shall take all necessary measures, at his own cost, in relation to
the Subcontract work in such way as to comply at all times with the provisions of all
applicable public authority and / or statutory rules and regulations and all other
enactments in force from time to time relating to safety, health, security and
environment.

11.2 Subcontractor shall provide all necessary safety measures including warning
signs, barriers and flagmen at worksites and other necessary security service for
the work at his own cost.

11.3 Subcontractor personnel shall follow all Laws and project requirements of CPP
- Abu Dhabi, SKEC and ADNOC all the time, in order to execute the WORK in safe
manner.

11.4 Subcontractor shall provide its employees with appropriate safety and security
guidance and education and personal protective equipment (PPE) at its own cost.
Subcontractor shall take all necessary safety, security and other precautions to
protect all property and persons from damage or injury arising out of the
performance of the work or security issues. All requirements for PPEs and HSE
specifications of CPP and ADNOC shall be strictly followed by Subcontractor and its
lower-tier Subcontractors, if any.

11.5 Subcontractor shall be responsible for and indemnify CPP - Abu Dhabi from
any loss or damage caused to CPP - Abu Dhabi from any noncompliance under the
applicable environmental laws or labour laws.

11.6 Subcontractor shall strictly obey the HSE requirements and specifications of
the M Project. CPP - Abu Dhabi has the right to issue NCR (Non-conformance
Report) against any failure of complying with such HSE requirements and
regulations, which shall be construed as material breach of Subcontract.

11.7 Subcontractor shall follow the Permit to work system of the Project and all
other permission requirements as provided by CPP – Abu Dhabi.

11.8 Subcontractor shall follow all emergency procedures and emergency response
chart should be displayed at site all the time.

11.9 Subcontractor shall use standardized manufacturer made tools and equipment.
Homemade tools and equipment are not allowed at work site. Subcontractor shall
engage only trained and competent workers. Subcontractor must provide the copies
of training certificates to CPP - Abu Dhabi, when required.

11.10 Subcontractor must follow the red tag and green tag procedure. It is strictly
prohibited to throw the tools from height.

11.11 Mandatory HSE Induction from CPP - Abu Dhabi, SKEC and / or ADNOC
may be conducted where applicable.

11.12 All personal shall be medically fit to work – medical report shall be provided
by physician, as required at project site.

11.13 A qualified and experienced HSE supervisor shall be assigned and be


present on site on a constant basis during performance of works. Absence of such
HSE supervisor shall be considered material breach under this Subcontract.

11.14 All HSE and safety requirements of M Project, which will be communicated by
CPP - Abu Dhabi, from time to time, during validity of this Subcontract shall be
observed and fulfilled by Subcontractor without fail.

ARTICLE 12 – SUBCONTRACTOR TO INFORM ITSELF

12.1 Subcontractor hereby declares that it is fully aware of and has obtained all
necessary information about the geographic, geomorphic, hydrological and
subsurface condition of the Work Site, including but not limited to: soil properties,
possibility of stones, underground water, any climate phenomenon, heave rain,

storm, drought, snow and so on. Subcontractor waives its right to claim for any
extension of time or cost for stoppage of work due to any of the above conditions.

12.2 Subcontractor hereby declares that it is fully aware of and has obtained all
necessary information about the social and political conditions of the Work Site,
including but not limited to: any and all national or religious holidays, neighboring
local community / villagers relations, political orders and other social conditions that
may have an impact on the Work. Subcontractor waives its right to claim for any
extension of time or cost for stoppage of work due to any reason. In this regard,
should other Subcontract document contradict with the provision of this sub-clause -
12.2, this sub-clause shall prevail.

12.3 The price and work schedule provided by Subcontractor has been made based
on full consideration of all the above information, and the technical documents and
/or drawings provided by CPP - Abu Dhabi. Any cost or time caused by the above
site conditions are deemed to be already included in the Subcontract unit price and
work schedule. Subcontractor hereby waives any and all rights related to extension
of time and /or claim for additional cost due to any of the above information that are
deemed to be known to Subcontractor.

ARTICLE 13 – WORK SCHEDULE

13.1 Subcontractor shall start mobilization of all its required personnel, tools and
equipment immediately after signature of this Subcontract. Full mobilization shall
finish within 7 (seven) days.

13.2 Within 7 days after signature of this Subcontract, Subcontractor shall submit a
detailed schedule of works to CPP - Abu Dhabi for approval. Such schedule should
include all the works, start & completion time of each work in details.

13.3 The Work shall commence on the day of full completion of mobilization of
qualified team members required as per this Subcontract. Based on the Scope of
Work and the declaration above, Subcontractor represents and agrees to complete
all the Work as per the requirements of this Subcontract and approved schedule,
and to full satisfaction of CPP - Abu Dhabi within 10 days after commencement of
the Work.

ARTICLE 14 – LIQUIDATED DAMAGES

14.1 If Subcontractor fails to execute the Work within the period and/or dates
required by CPP - Abu Dhabi in Article 13 above, Subcontractor shall be liable for
and shall pay CPP - Abu Dhabi, as liquidated damages and not as a penalty, a sum
equal to 0.5% of the Subcontract price for every day of delay in achieving the
completion date. The cumulative maximum limit of liability for the liquidated
damages is 10% (ten percent) of the total Subcontract price.

14.2 Subcontractor recognizes and acknowledges that given the nature of CPP -

Abu Dhabi’s business and operations, the long lead time involved in the Work and
the day to day changes in economics, that a delay in completion of the facilities as
described in the Subcontract will likely cause CPP - Abu Dhabi to suffer damages.
Subcontractor and CPP - Abu Dhabi therefore have agreed upon the above
amount(s) of compensation as reasonable liquidated damages and not as penalty.

14.3 The payment of liquidated damages is in addition to and not in lieu of or


substitution for any other remedies that may be available to CPP - Abu Dhabi in the
event of a delay in the completion of the Work.

14.4 CPP - Abu Dhabi shall be entitled to the liquidated damages notwithstanding
that it shall have terminated the Subcontract and has hired other Subcontractor(s)
to complete the Work.

ARTICLE 15 – BACK CHARGES

15.1 If, under the provisions of this Subcontract, the Subcontractor is notified by
CPP Abu Dhabi to correct defective or non-confirming Work, and the Subcontractor
states or by its actions indicates that it is unable or unwilling to proceed with
corrective action in a reasonable time, CPP Abu Dhabi may upon written notice,
accomplish the repair, rework, or replacement of non-conforming Work by the most
expeditious means available and back charge the Subcontractor for the cost
incurred.

15.2 CPP - Abu Dhabi shall separately invoice or deduct from payments otherwise
due or to become due to Subcontractor the costs as provided herein. The right of
CPP - Abu Dhabi to back charge is in addition to any and all other rights and
remedies provided in this Subcontract or by applicable Laws. The performance of
back charge work by CPP Abu Dhabi shall not relieve the Subcontractor of any of its
obligations and responsibilities under this Subcontract including, but not limited to,
contractual liabilities and indemnities.

ARTICLE 16 - GOVERNING LAW AND DISPUTE RESOLUTION

16.1 This Subcontract shall be construed and governed by the laws of England and
Wales.

16.2 Any disputes arising out of or in connection with this Subcontract, including any
question regarding its existence, validity or termination, if is not resolved amicably
within thirty (30) calendar days by the senior management of the parties, shall be
submitted to the DIFC-LCIA Arbitration Centre (“DIFC-LCIA”) and finally resolved by
arbitration in accordance with its Arbitration Rules of the time being in force, and
these Rules are deemed to be incorporated by reference to this Subcontract.

16.3 The arbitration proceedings shall take place in Dubai, UAE, and shall be
conducted in the English language. The appointing authority shall be the DIFC-LCIA

Arbitration Centre (“DIFC-LCIA”).

16.4 The decision of the arbitrators shall be final and binding on the Parties. Neither
Party shall seek recourse to a law court or other authorities to appeal for revision of
the decision. Unless otherwise provided in the arbitration award, the costs of the
arbitration, including reasonable attorney’s fees, shall be borne by the losing Party.

ARTICLE 17 - COMPLIANCE WITH MAIN CONTRACT

17.1 The Subcontractor shall execute and complete the Subcontract Works and
remedy any defects in such good time and in such a manner that no act or omission
of his shall constitute, cause or contribute to any breach by the Contractor of any of
his obligations under the Main Contract. The Subcontractor shall promptly give
notice to the Contractor of any ambiguity or discrepancy which it discovers when
reviewing the Subcontract or executing the Subcontract Works.

EXHIBIT 2 – SCOPE OF WORK

2.1 SCOPE OF WORK - GENERAL

2.1.1 Subcontractor shall provide at its own cost and expense all manpower,
equipment and supervision required for performance of the works, as well as
mobilisation and demobilisation of these necessary resources. Mobilisation by the
Subcontractor shall be completed within 7 (seven) days after written confirmation of
acceptance from CPP - Abu Dhabi of its commercial offer / quote. Any delay to
completion of works due to late mobilisation of Subcontractor shall entitle CPP -
Abu Dhabi to execute its right for Liquidated Damages under this Subcontract.

2.1.2 Subcontractor shall issue any and all necessary permits, licenses,
qualifications, passes, visas and documents of the like, at its sole cost and expense,
to be able to carry out the work at the construction site and to comply with the
applicable laws of UAE. Any consequences that arise due to lack of any permit,
license, qualification, visa etc., shall be borne solely by Subcontractor. If the work
stops due to Subcontractor’s lack of proper permit, CPP - Abu Dhabi reserves the
right to deduct payment to recover the damages caused by Subcontractor’s inability
to work due to lack of such permits.

2.1.3 Subcontractor shall take care of, and look after all its equipment and tools at
site.

2.1.4 Any and all equipment shall be properly licensed, cleaned and maintained and
meet government and provinces safety standards, in a safe operating condition.
Subcontractor shall ensure that the equipment and tools are in perfect working
condition during execution of works.

2.1.5 Subcontractor shall take effective safety measures to protect the Equipment,
persons and materials thereon from any damages and injury and theft during the
work.

2.1.6 Subcontractor shall obtain and maintain at his cost all necessary Equipment
insurances required by relevant UAE laws and regulations of CPP - Abu Dhabi as
well as Company- ADNOC.

2.1.7 If and when applicable, Subcontractor is obligated to pay Taxes, Equipment


Interest and any financial liability for the Equipment to the UAE Government.
Subcontractor shall guarantee there are no legal restrictions of any kind in the
Equipment and / or manpower.

2.1.8 Subcontractor shall provide professional, qualified and well-trained workers


and supervisors requested by CPP - Abu Dhabi.

2.1.9 The workers shall be properly licensed, qualified, experienced, and the team
leader/supervisor of workers can speak English. Subcontractor shall provide
licenses, identification certificates, and valid heath certificates of the workers.

2.1.10 Subcontractor workers shall obey all the rules and reasonable orders of CPP
- Abu Dhabi, which are in compliance with local regulations and laws of UAE, to
avoid any dangerous situations and / or damages to the property. Subcontractor
shall indemnify and hold CPP - Abu Dhabi harmless from such losses; CPP - Abu
Dhabi has rights to request Subcontractor to replace the unqualified workers.

2.1.11 Scope of work shall also include but not be limited to activities listed below:

a) Obtaining all required licenses, approvals, and Permits to Work (PTW).

b) Maintaining daily reports in agreed formats to be submitted to CPP – Abu


Dhabi.

c) Inspection, storage, conservation, handling and management of all equipment


and materials at the SITE.

d) Protection of all adjacent properties, facilities and environment against damage


by construction and erection activities.

e) Detection and Protection of all underground and aboveground facilities within


working areas and Protection of all underground and aboveground facilities
within access areas, if any.

f) Preparing and performing good housekeeping practices and procedures at all


areas, including but not limited to: keeping area clean; keeping roads clean and
emergency exits clear.

g) Providing Inspection Reports prepared by a qualified construction inspector.


The reports shall be in the format required by CPP – Abu Dhabi.

h) Daily and Weekly Reports, showing the progress of works.

Note A:

1. The Scope of Work provided above may change at a later time and CPP – Abu Dhabi is not obliged

3. Concrete materials shall be used from ADNOC approved supplier.

4. SUBCONTRACTOR will provide THIRD PARTY testing laboratory for civil, soil, asphalt, concrete and
etc., materials testing and analysis.

5. All of tests and inspections shall be performed by SUBCONTRACTOR in strict accordance with the
project specification in order to assure quality of works, and results & its QA/QC documents shall be
delivered to CPP – Abu Dhabi for getting QC certificate for proceeding with next step.

Note C:

1. This Detailed Scope of Work shall be considered and included in the unit price to be quoted by
Subcontractor unless specified as “reimbursable” by CPP – Abu Dhabi.

2. All expenses and costs for subcontractor’s scope of work are to be included in the subcontract
amount

EXHIBIT 3 - PRICE AND PAYMENT

3.1. Subcontract Price

3.1.1 Formation of Subcontract price shall be based on unit rates provided in the
quotation of Subcontractor (Exhibit 6 - Subcontractor’s commercial Proposal), and
accepted by CPP - Abu Dhabi, subject to Exhibit 4 - Method of Measurement for
Works and other relevant provisions of this Subcontract.

3.1.2 The Subcontract price shall include all direct and indirect costs, fees related to
mobilisation and demobilisation, accommodation of personnel, including but not
limited to Materials, Transportation, Tools / Tackles, Safety Gear (adequate PPE for
the job), Skilled & Certified Manpower, their visa costs, training, proper medical
check-up certificates, CICPA, as per ADNOC requirements and all other possible
costs.

3.1.3 The unit rates are inclusive of but not limited to all costs, taxes, fees, catering
and accommodation of Subcontractor’s personnel and workers, all insurances, etc.
Except for the Subcontract price calculated based on actually fulfilled and accepted
work, no any other payment shall be made to Subcontractor.

3.2 Invoicing

3.2.1 The invoices submitted shall be accompanied with all supporting documents,
including measured quantum of work completed as per requirements of the
Subcontract and accepted by representatives of CPP - Abu Dhabi project team.

3.2.2 All invoices shall be in a format satisfactory to CPP - Abu Dhabi and shall be
signed by authorized personnel of Subcontractor.

3.2.3 In the event that CPP - Abu Dhabi disputes any invoice issued by
Subcontractor, CPP - Abu Dhabi shall notify Subcontractor of the amount(s) under
dispute within 10 (ten) days of receipt of an invoice. The Parties shall negotiate in
good faith to attempt to resolve the dispute promptly. Where only part of an invoice
is disputed, the undisputed amount shall be paid on its due date, after submission of
corrected invoice.

3.3 Payment Terms

3.3.1 After receiving the correct invoice in both content and format, and supporting

documents from Subcontractor, subject to any deductions, Liquidated Damages, if


any applied, payment shall be made within 45 (forty-five) working days after CPP -
Abu Dhabi receives the payment from SKEC for that portion of work. In the event of
any necessary supporting document not accompanied with the invoice, the 45 days’
period shall not begin until such information is received. Payments shall be made in
instalments, as provided in the table below.

3.5. Currency of Payment

Payments under this Subcontract shall be made in the currency of US Dollars


(USD).

3.6. Performance Bond

Subcontractor shall at its own expense provide CPP - Abu Dhabi with a
performance bond issued by a first class bank in Abu Dhabi in the form and for the
sum of 10% of Subcontract price.

The Performance Bond shall come into effect within 5 days from the Effective Date
and shall be valid until expiry of the Warranty Period stipulated in Clause 3.6 above.
In no event shall CPP - Abu Dhabi be obliged to make any payments to the
Subcontractor under this Subcontract before having received the duly signed
performance bond.

The Subcontractor shall ensure that the performance bond is amended periodically
to reflect any approved extension of the Subcontract or the Warranty Period and
shall submit the revised original of such document to CPP - Abu Dhabi. All costs in
amending such documents shall be for the Subcontractor's account.

CPP - Abu Dhabi shall have the right, without limitation, to call the performance
bond for non-compliance with the terms of this Subcontract which the Subcontractor

fails to remedy within the period stated in the notice issued by CPP - Abu Dhabi
advising the Subcontractor to remedy the non-compliance.

The amount of Performance Bond could be changed to warranty bond (5% of the
Subcontract Price) after completion and acceptance of all the works hereunder.

3.7. Warranty Period

3.7.1 Warranty Period for the works and services under this Subcontract is 18
(eighteen) months from issuance of a Certificate of Acceptance for the completed
portion of the works / services. The Subcontractor guarantees that any Services
and works in respect of which a Certificate of Acceptance has been issued by CPP
– Abu Dhabi shall be free from defects, and other deficiencies, including but not
limited to deficiencies due to poor or faulty design, where applicable, poor or faulty
workmanship, other than deficiencies shown to be attributable to CPP - Abu Dhabi,
a Force Majeure Event or third parties.

3.7.2 In the event that during the Warranty Period, in the opinion of CPP - Abu
Dhabi, it appears that the Services or works or any part thereof suffers from any
defect, failure, interruption or deficiency as described in Clause 3.6.1 or is required
to be re-performed, rectified or replaced, CPP - Abu Dhabi shall so notify the
Subcontractor, stating the defect, failure, interruption or deficiency which the
Subcontractor shall promptly rectify at its own expense.

Should the Subcontractor fail promptly to take any action required to rectify the
deficiency, CPP - Abu Dhabi shall be entitled to take such action or to have such
action taken involving other parties and the costs thereof and/or relating thereto
shall be reimbursed by the Subcontractor within 10 days of receipt of such invoice
from CPP - Abu Dhabi.

In the event that the rectification of the deficiency involves the replacement or
modification of any part of the Services the Warranty Period for such replaced or
modified part of the Services shall be extended by a period equal to the original
Warranty Period, if necessary repetitively.

Subcontractor guarantees that the new replacement items as furnished in


accordance with this specification will be capable of sustained operation at the
conditions outlined under process requirements for a period of eighteen (18)
months after acceptance. Similarly, Subcontractor also guarantees the entire
replacement items or works and all components entering its construction against
defects in design, where applicable, material and workmanship for eighteen (18)
months (the Guarantee Period).

Should any defect in material, workmanship or operating performance develop

during the Guarantee period, the Subcontractor agrees to make any and all
alterations or replacements required in part or as required without cost to CPP - Abu
Dhabi. Any replacement of equipment shall be subject to the same eighteen (18)
months from acceptance of the original material or works.

1. PURPOSE

The purpose of this Price Definition is to clarify the content, scope of work of each
item, and measurement system related to the unit prices of all the Architecture
Work activities performed by the Subcontractor according to the assigned work
scope.

2. DIRECT COST CONTENT AND MEASUREMENT SYSTEM.

2.1 General.

The Subcontractor's Unit Prices include and confirm the following scope of
work but not limited to all the provisions and activities to perform the work.

The measurements shall be theoretical quantities based on drawings,


specifications and standards for construction and/or as-built drawings if
required.

The quantity shall be considered net quantity and all materials and activities
necessary to perform and complete the work shall be considered built-in on the
Contract Unit Prices. No claims of allowance and additional quantity shall be
made for loss, wastage, conveniences, etc.

Final quantities will be based on As-Built Drawings. However, if requires


necessary, field measurements shall be performed to verify the actual works
done but its final value will be governed by As-built drawings, unless otherwise
agreed by both parties.

2.2 Temporary Works

The value of Temporary work includes the value of Material and Labor of
Architecture work which is not a permanent work wherein reuse of materials
shall be considered. All Temporary (ex. Scaffolding, line marking, etc.) work
except Steel Support shall be included in relevant other Architecture work.

2.4.1 Excavation By the drawings, it shall be dug up to the required depth, and M3

the bottom shall be horizontal otherwise directed. If it is dug

up more than required, it shall be refilled with good soil and

hardened in the similar manner of the near bottom. It

includes excavation, backfill, disposal, etc. The excavation is

used by machine but manual excavation should be

conducted for final leveling.

Dewatering Work will be treated by Contractor or could be

done by Subcontractor. In case it will be done by

Subcontractor, Contractor shall compensate the cost for it,

which will be agreed between both parties. However,

CONTRACTOR will not accept any change orders

for the dewatering rain waters.

2.4.2 Backfilling It shall be cleaned out backfilling area, before backfilling. M3

backfilling, 1 layer of backfill is no more than 30cm.

2.4.3 Disposal It shall be include loading & unloading excavated soil to M3

Demolition work is to dismantle the buildings because they are not used anymore.

3. INDIRECT COST CONTENT AND MEASUREMENT SYSTEM.

3.1 General.

The original indirect costs shall be adjusted due to changes of direct cost. Refer to the

contract for this provision. In line with the Scope of Indirect work, below details are

categorized as follows:

3.2 Supervision and indirect labor cost.

Supervision and indirect labor costs are deemed to include all the Subcontractor's costs associated

with personnel, other than direct labor necessary to execute the WORKS. These costs are split into:

1. Supervision staff (i.e. management, field supervision, project control staff, accountant,
discipline engineers, etc.)

2) Indirect personnel involved in logistics, secretarial works, warehousing, maintenance of


equipment, and the like (except personnel involved in temporary site and camp facilities
construction, operation and dismantling).

Such costs shall cover salaries and burdens (for normal working time, overtime, lost time, strikes
and other), certification, induction, qualification, training, legal holidays, vacations, travel,
transport, accommodation, allowance, premiums, contributions to funds, taxes and charges due
by the Subcontractor under the applicable laws and regulations.

3.3 Temporary Facilities cost (Staff Office & Workshop)

Temporary facilities costs are deemed to include all Subcontractor 's costs for the supply,
installation and dismantling of the Subcontractor's temporary facilities (excluding camp) such as,
but not limited to:

1) Site furnished offices,

2) Equipped warehouse and storage areas,

3) Fabrication and maintenance workshops,

4) Temporary networks (electricity, industrial water, drinking water, air, sewers,


telecommunications, etc.),

5) Secondary benchmarks necessary to set up of the works,

6) Canteen facilities,

7) Sanitary facilities,

8) First aid facilities,

9) Temporary tracks and roads, fencing and parking,

10) Gas, fuel and water storage installation,

11) Safety devices,

12) Works associated with the execution of the temporary site facilities, their dismantling and site

3.4 Temporary Facilities cost (Camp & Catering / Transportation).

Temporary facilities costs are deemed to include all Subcontractor's costs for the supply,

installation and dismantling of the Subcontractor's temporary facilities such as, but not limited

to the following:

1) Catering and Camp operation cost

2) Personnel and goods transportation (vehicles and relevant running costs)

3) Temporary networks (electricity, industrial water, drinking water, air, sewers,

telecommunications, etc.), for camp

4) Canteen facilities,

5) Sanitary facilities,

6) Works associated with the execution of the temporary site facilities, their dismantling and site

reconditioning to the original condition at the completion of works.

3.5 General Field Expense.

General field expenses are deemed to include all Subcontractor's field expenses (excluding those

related to the camp) such as but not limited to:

1) Stationery, forms, documentation, photos, cleaning products, pharmaceutical products,

communications (telephone, telex, telefax, mail, courier),

3) Consumption of utilities (electricity, water, air, fuel, lubricants),

4) Site and offices cleaning,

5) Site security,

6) Administrative permits, medical examinations,

7) Agency and/or local representation,

8) Safety challenge schemes.
