THIS RELEASE OF MORTGAGED PREMISES (this “Release”) is made as of March 22, 2019, by BROOKLYN ARENA INFRASTRUCTURE AND TRANSPORTATION IMPROVEMENT FUND, LLC, a New York limited liability company, having an office at 99 Hudson Street, 15® Floor, New York, New York 10013, as lender and mortgagee (“Mortgagee”) to AYDC REGIONAL DEVELOPMENT COMPANY, LLC, a Delaware limited liability company, having an address 1 Metrotech Center, Brooklyn, New York 11201-3875, as mortgagor (“Mortgagor”). WHEREAS, Mortgagee made a loan to Mortgagor pursuant to that certain Loan Agreement, dated as of October 5, 2010 between Mortgagor, as borrower and Mortgage, as lender, as amended by that certain Amendment to Loan Agreement, dated as of May 27, 2011 (as amended, the “Loan Agreement”); WHEREAS, Mortgage is the holder of that certain Leasehold Mortgage, Security Agreement and Fixture Filing, dated as of April 23, 2012, which is more particularly described on Schedule A attached hereto (the “Mortgage”), granting to Mortgage, inter alia, a lien on the Mortgagor’s leasehold estate in the real property and improvements described in the Mortgage; and WHEREAS, the Mortgagee, at the request of the Mortgagor, has agreed to give up, release and surrender the real property described in Exhibit A attached hereto (together with any fixtures and improvements thereon, collectively, the “Property”).. NOW THEREFORE, Mortgage, in pursuance of said agreement, and in consideration of Ten and 00/100 Dollars ($10.00), lawful money of the United States of America, paid by the Mortgagor, and other good and valuable consideration paid, the receipt and adequacy of which is hereby acknowledged, does hereby grant, release and quitclaim unto the Mortgagor the Property, TOGETHER WITH, all right, title and interest, if any, of the Mortgagee in and to the streets and roads abutting the Property to the center lines thereof. TO HAVE AND TO HOLD the lands and premises hereby released and quitclaimed to the Mortgagor, and to the heirs, successors and assigns of the Mortgagor forever, free, clear and discharged of and from all lien and claim under and by virtue of said Mortgage aforesaid. FURTHER, Mortgagee hereby consents and agrees that the Mortgage is released of record and of no further force and effect. It being fully understood that, notwithstanding anything contained herein to the contrary, portion of the Debt (as defined in the Loan Agreement) in the principal sum of $60,322,442.00, is released, and the remainder of the outstanding portion of the Debt as of the date hereof shall not be deemed to be released, pursuant to this Release.
