It has come to my attention that you have contacted Mr. Mohammad Habib and Mrs.
Wesam Al Shareef to demand that they transfer to Tameer Real Estate International (“Tameer
Jordan”) the following land plots currently held by them:

I understand that you have demanded that Mr. Habib and Mrs. Al Shareef execute these
land transfers in accordance with Article 3 of the Agreement for the Sale and Purchase of
Shares and Land Portions and Assignment and Novation of Projects, signed between myself,
Mr. Ahmad Suleiman Al Rajhi, and Mr. Waleed Abdullah Ali Ibraheem Al Marzooqi in
December 2007 (“2007 SPA”). I note in this respect that seven of the above-mentioned land
plots are listed in Schedule 1, Table 3 of the 2007 SPA.

As I do not approve this transaction, and as you have not fulfilled your obligations under
the 2007 SPA, I have informed Mr. Habib and Mrs. Al Shareef to refrain from transferring the
above-mentioned land plots.

I have previously informed you that I am willing, and remain willing, to perform my
obligations under the 2007 SPA, including to transfer, or facilitate the transfer of the shares
and specific parcels of land identified in that agreement, to assign or novate, or facilitate the

assignation or novation, of the specific projects identified in that agreement, and to repay any
difference between my shareholder current account balance and the relevant Reconciled
Amount to the corresponding Tameer Group entity (as those terms are defined under the 2007
SPA). I have requested confirmation that you will perform your own obligations under the
2007 SPA, however, you have unjustifiably refused to do so and have, in fact, gone a step
further by denying me my due rights under the 2007 SPA.

I again confirm my willingness to perform my obligations under the 2007 SPA. In return I
ask you to provide me by 15/11/2016 with written confirmation of your agreement to fulfill
your obligations under the 2007 SPA. Once this confirmation has been received, I will instruct
my lawyers to agree with your lawyers on an execution plan that will grant each party their
due rights as provided under the 2007 SPA. This will include the performance of all
obligations set out in Articles 3 and 5 of the 2007 SPA.

Alternatively, if you remain unwilling to perform your obligations under the 2007 SPA, or
are no longer able to perform those obligations, please confirm this to me in writing by no
later than 15/11/2016.

Failure to abide by this notice or failure in any way to fulfil your obligations under the
2007 SPA will regrettably compel me to hold you liable for all damages caused to me as a
result of your refusal to fulfil your contractual obligations under the 2007 SPA. Those
damages may include loss of profit suffered by me due to your failure to fulfil those
obligations, and any consequent damage to my commercial reputation. I reserve all of my
rights in this regard.
