CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this ____ day of _________, 20__ by and between:

XXX married to YYY, represented by its co-owner/heir and Attorney-In-Fact, SSS,


married/single, of legal ages, Filipino citizens with postal address at _________________________,
_____________________ City, Philippines, herein referred to as "SELLER";

-AND-

BBB, a corporation duly organized and existing under and by virtue of the laws of the
Philippines, with office address at ________ ______________________________________________,
represented herein by its ________ ___________, _____________________, duly and legally
authorized by its Board to enter into this transaction, hereinafter referred to as the "BUYER".

WITNESSETH;

WHEREAS, the SELLER are the absolute owners of a house and lot thereon located at

_______________________ (BBB) square meters covered by Transfer Certificate of Title No.
_________ and ___________________________________ (DDD) square meters covered by Transfer
Certificate of Title No.___________, or a total of ___________________________________ (GGG)

WHEREAS, the BUYER has offered to buy and the SELLER agreed to sell the above
mentioned property under the terms and conditions herein below set forth;

NOW, THEREFORE, for and in consideration of the sum of

the covenants herein after set forth the SELLERS agree to sell and the BUYER agrees to buy
the aforesaid property subject to the following terms and conditions:

1. That property is sold on “as is, where is” basis or state of property. SELLERS however
warrant the BUYER subject property free from liens, encumbrances & adverse claims
from other parties;

2. The total consideration is in the amount of _______________________________________

a) That upon SELLER’S acceptance and signing of Letter of Intent to purchase the
property, BUYER shall pay the Earnest Money amounting to

forfeiture as liquidated damages in favor to the SELLER should the BUYER fail to

an Escrow Account in a bank mutually nominated by both parties with payment

4. Documentary Stamps Tax, Registration Fee, Notarial and all other miscellaneous fees and
expenses related to the transfer of title name to new owner shall be for the account of
the BUYER;

5. The SELLERS shall likewise execute and/or deliver any and all documents, including but
not limited to the original copy of Transfer Certificate of Title, Tax Declaration and all
other documents necessary for the transfer of ownership from SELLER to the BUYER;

6. That except for the Earnest Money, as stated in the terms and conditions number 2.a of
this agreement, SELLER shall return the amount of _____________________________________

BUYER should there be failure to transfer the title to the latter’s name;
