SPECIAL POWER OF ATTORNEY

(e) To take other actions, as they may deem necessary or appropriate in

the exercise of the powers hereby granted, the necessity or
appropriateness thereof being conclusively established by the actions
taken.

HEREBY GIVING AND GRANTING unto said attorneys-in-fact, full power and
authority to do and perform all and every act, requisite and necessary to carry into effect
the foregoing authority as fully to all intents and purposes as I might or could lawfully
do if personally present with power of substitution and hereby ratifying confirming all
that said attorneys-in-fact shall lawfully do or cause to be done by virtue hereof.
