ANNEX “A”

L O A N A G R E E M E N T

KNOW ALL MEN BY THESE PRESENTS:

This Agreement entered into by and between:

PROF E. SSOR, a Filipino citizen, of legal age, single and a resident of #01 Unang St., First
Village, Baguio City (hereinafter referred to as the "FIRST PARTY",
- and -
DO C. TOR, a Filipino citizen, of legal age, single and a resident of #02 Pangalawang St.,
Second Village, Baguio City (hereinafter referred to as the "SECOND PARTY").

WITNESSETH; That –

1. At the request of the SECOND PARTY, the FIRST PARTY had extended a
loan to the SECOND PARTY in the principal sum of PESOS: FIVE MILLION (P5,000,000), the
full amount of which is acknowledged to have been received by the SECOND PARTY. The
SECOND PARTY promises to repay the LOAN to the FIRST PARTY within TWELVE (12)
MONTHS from date hereof, together with interest at TEN (10%) PERCENT per annum on
said amount from date hereof until full payment thereof.

2. In the event the DEBTOR shall fail to pay the LOAN as it falls due, the
unpaid principal and accrued interest thereon shall, in addition to the stipulated interest,
be subject to penalty interest at FIVE (5%) PERCENT commencing on the date immediately
following the due date of the LOAN until full payment of the entire outstanding amount of
the LOAN.

3. The parties agree that all actions under this Agreement shall be brought
before the proper courts of Baguio City ONLY, each party hereby waiving any other venue.

& DEMAND LETTER

Amount Due: P5,000,000 (excluding penalties and interest)

Dear Sir:

This is to advise you that BDO Check No. 123456 dated May 30, 2019 in the amount
of FIVE MILLION EIGHT HUNDRED THOUSAND PESOS (P5,800,000.00) you
issued in my favor has been dishonored for insufficiency of funds.

When you issued said check, you assured me that there are more than sufficient
funds in your bank account to cover the said amount. However, the check was
returned dishonored. This letter shall serve as the 3rd formal written demand for
immediate payment in full of the above captioned past due amount.

Our client PRO F. SSOR had referred to us his case as regards to your indebtedness
amounting to FIVE MILLION PESOS (P5,000,000.00) plus interest thereon at the
rate of 12% per annum from January 1, 2017, and a 5% penalty for delay.

Please be reminded that your loan obligation has become due on January 01, 2018
and demand letters were sent last January 2, 2018, and January 1, 2019. Kindly
make necessary payments to our client on or before 5pm on August 10, 2019. The
refusal to accede to this third and final demand letter will prompt the undersigned
to seek recourse before the courts of law.

Please give this matter your utmost and preferable attention.
