i2, Inc. Files Suit Against Palantir Technologies, Inc. Alleging Misappropriation of Trade Secrets
McLean, Va., (August 9, 2010) - i2, Inc., a leading provider of intelligence and investigation software solutions for defense, national security, law enforcement and commercial security sectors, today filed a complaint alleging that Palantir Technologies, Inc. schemed to misappropriate i2 trade secrets including software programs and related confidential information. In addition to claims for trade secret misappropriation, the complaint asserts claims for copyright infringement and fraud, among others. The lawsuit, filed in the United States District Court, Eastern District of Virginia, seeks damages and injunctive relief. The suit alleges that Palantir built its business in part upon fraudulent conduct and the misappropriation of i2's confidential software and other trade secrets. As detailed in i2's complaint, i2 only recently discovered the scheme to misappropriate i2's confidential software and other trade secrets which began in early 2006 and continues to this day. The complaint asserts that in early 2006, Shyam Sankar, while he was a Palantir employee, approached i2 posing as a representative of a Florida company called SRS Enterprises, LLC to obtain a license to i2's Analyst's Notebook, Analyst's Notebook SDK and other software for the purported purpose of conducting fraud investigations. i2's Analyst's Notebook SDK is a proprietary software development kit that provides software tools and support materials to enable a licensee to develop new software to enhance and extend the functionality of Analyst's Notebook. i2 software products are only made available pursuant to license agreements that contain strict confidentiality and use restrictions. i2's license agreements, including those that SRS entered into, contain restrictions on the use and disclosure of i2 confidential and proprietary software and other trade secrets, including a requirement that "Under no circumstances may the Receiving Party give any known competitor of the Owning Party access to the Proprietary Information of the Owning Party. . . ." As detailed in the complaint, i2 asserts that the defendants obtained the licenses through trickery and deception as a means of procuring i2's confidential intellectual property for the benefit of Palantir. The suit further alleges that Palantir, through employees such as Shyam Sankar and Dr. Asher Sinensky, used the confidential i2 software and other trade secrets to assist them in the development of new Palantir software products, utilities and features that were specifically designed to enable Palantir to unfairly, but more effectively, compete with i2. "We regret that we have had to take this action. It is a decision that we didn't take lightly; however, protecting our Intellectual Property is a core tenet of our company," said Anthony Carty, chief financial officer, i2. "As always, it is our company's goal to serve the law enforcement, intelligence, defense and commercial security communities through the delivery of best of breed technology and service." In addition to damages, the complaint seeks the return and cessation of use of its trade secrets and confidential and proprietary information. Others named in the suit include Shyam Sankar (Director of Forward Deployed Engineering at Palantir), Dr. Asher Sinensky (a Forward Deployed Engineer at Palantir), SRS Enterprises, LLC and Nochur Sankar, a principal of SRS.
