OFFICIAL RULES and TERMS AND CONDITIONS Nokia N8 Direct and Project runner up online Contest 1.

The next best ten films that did not win the overall prize at the Direct and Project event at the Vancouver Art Gallery (Screening Event) on January 19th2011 will be uploaded to youtube.com/nokiacanada and entered to compete to win a runner¶s up contest (Online Contest). These ten films will include two µwild card¶ entries. These will be chosen based on which two films receive the best quality online reaction during Screening Event (i.e. are considered by the judging panel to ha ve been most genuinely well received on the Nokia Canada Facebook Direct and Project event page and on Twitter at hashtag #N8DirectandProject). Nokia reserves the right to choose which other eight films created for the Direct and Project Screening Event w ill feature in Online Contest The Online Contest judgment score will be based on µviews¶ multiplied by µrating¶ on the Nokia Canada YouTube page. The two highest scores win first and second prize (see µprizes¶ section) Films can not be changed or altered for Online Contest from the version that was submitted for Screening Event Online Contest runs from midday (PST) Friday January 21 st to midday (PST) Thursday February 3 rd. The winners will be announced after the competition closes. Contestants may upload films separately to their own personal websites, or any other websites they wish, but the views will not contribute to their score in Online Contest. Should they chose to embed a film which has been uploaded to the Nokia Canada YouTube page, the views will count towards their Online Contest total score. The winning film fromScreening Event will also be uploaded to youtube.com/nokiacanada but can not win Online Contest

3. OWNERSHIP AND SCREENING RIGHTS:

Nokia will not claim any ownership rights to the films. All ownership of films must be agreed by those involved in their production. However Nokia reserves the right to upload any film that was shown at Screening Event on to any of its owned websites with out paying any financial charge, or any cost of any other kind, or committing to any other obligations , as stipulated in the original Direct and Project Terms and Conditions. Nokia reserves the right to continue to broadcast any Direct and Project film from any of its Owned Social presences for an indefinite length of time. All films entered in Online Contest must abide by Canadian copyright laws. Nokia reserves the right to remove any film from youtube.com/nokiacanada and strike off any film as a contend er to win Online Contest at any time which it considered in violation of these terms and conditions

All personal information obtained for Online Contest will be used only for the purposes of conducting the contest.

4. PRIZES:

The main prize for the win ner of Online Contest consists of: o A brand new 46´Panasonic TCP46S2 TV o Free cinema entry for a year to an appropriate cinema for the winner. Nokia reserves the right to choose this cinema. o Permission to keep the µloan¶ Nokia N8 device used to make their Direct and Project film The contestant who finishes second in Online Contest will also be given permission to keep the µloan¶ Nokia N8 device used to make their Direct and Project film Only one prize can be awarded per film. This will be given to the individual who filled in the trial agreement form for the device that the winning film was made on. Ownership of the prize will at this individual¶s discretion. It is this individual¶s responsibility to communicate prize ownership to their team.

6. CONDITIONS OF PARTICIPATION:

By entering this contest, entrants accept and agree (a) to abide by the official contest rules and regulations and the decisions of the independent contest judging organization with respect to all aspects of the contest, which are final, binding and conclusive on all matters relative to this contest; and (b) that the Releasees will have no liability whatsoever for, are released and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this promo tion or in promotion-related activities.

7. GOVERNING LAW & ARBITRATION: This Contest is subject to all applicable federal, provincial and municipal laws and is void where prohibited. Entrant agrees that: (i) any and all disputes, claims and causes of act ion arising out of or connected with this Contest, or any prizes awarded, other than the administration of the Contest or the determination of winners, shall be resolved individually, without resort to any form of class action, and exclusively by the Courts of British Columbia, Canada; (ii) any and all claims, judgments and awards shall be limited to actual out -of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees; and (iii) under no circumstances wi ll entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out -of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation a nd enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Pro vince of British

Columbia, without giving effect to any choice of law or conflict of law rules (wh ether of the Province of British Columbia or any other jurisdiction), which would cause the application of the laws of any jurisdiction ot her than the Province of British Columbia .
