athletically-related student aid.
Any student who satisfies one or more of the criteria above is a participant, including a student on a
team the institution designates or defines as junior varsity, freshman, or novice, or a student who

THIS IS AN AGREE:MENT made and entered into by and between University of Virginia
(hereinafter "UNIVERSITY"), having its principal administrative office in Charlottesville Virginia,
and NIKE USA, Inc. (hereinafter "NIKE"), an Oregon .corporation having its principal offices at
One Bowerman Drive, Beaverton, Oregon 97005-6453.
WITNESSETH
WHEREAS, UNIVERSITY fields and maintains nationally recognized athletic teams in
football, women's basketball and women's soccer (and retains the coaches and staff in
connection therewith) and owns all right, title and interest in and to the names, nicknames,
mascots, trademarks, service marks, logographics and/or symbols, and any other recognized
reference to UNIVERSITY or its "Intercollegiate Athletic Programs" (as defined below); and
WHEREAS, NIKE is a sports and fitness company engaged in the manufacture,
distribution and sale of athletic and athleisure footwear, apparel and related accessories, and
desires to support UNIVERSITY and its intercollegiate athletic programs as described below;
NOW, THEREFORE, in consideration of the mutual promises, terms and conditions set
forth herein, it is agreed as follows:
1. DEFINITIONS.
As used in this Agreement, the terms set forth below shall be defined as follows:
(a) "NIKE Group" shall mean NIKE USA, Inc., NIKE Retail Services, Inc. (d/b/3.
NikeTown), their parent NIKE, Inc., their licensees, distributors, subsidiarie:;,
affiliates and any successor companies thereto.
(b) "UNIVERSITY Endorsement" shall mean the right to use the names, nicknames,
mascots, trademarks, service marks, logographics and/or symbols, and any otber
recognized reference to UNIVERSITY or its Intercollegiate ·Athletic Programs
(collectively, the "UNIVERSITY Marks") in connection with the manufacture,
advertisement, promotion and sale of "NIKE Products" (as defined below).
(c) "Intercollegiate Athletic Program(s)' shall mean the football, women's basketball
and women's soccer programs sponsored by UNIVERSITY.
(d) "Team" shall mean that group of athletes attending UNIVERSITY during the term
of this Agreement and comprising the roster of. each Intercollegiate Athletic
Program.
(e) "Game" shall mean game, match, meet, test or such other competition reference
as is appropriate to each Individual sport.
(f) "Coach" shall mean an individual employed during the term of this Agreement to
act as a head coach of an intercollegiate Athletic Program.
(g) "Coach Endorsement" shall mean the right to use a Coach's name, nickname,
initials, autograph, facsimile signature, voice, video or film portrayals, photographs,
likeness and image or facsimile image, and any other means of endorsement used
by such Coach, in connection with the advertisement, promotion and sale of NIKE
Products. Except as otherwise provided herein, each Coach shall retain all rights
in and to his or her name and endorsement and neither UNIVERSITY nor any
Coach shall be prevented from using, permitting or licensing others to use a
Coach's name or endorsement in connection with the advertisement, promotion or
sale of any product or service other than "Products" (as defined below).

(h) "Staff" shall mean, collectively, all assistant coaches and strength coaches,
equipment managers, trainers and any on-field/courtslde staff (e.g., ballpersons,
basketball stat crews, etc.) employed by UNIVERSITY during the term of this
Agreement to provide services to Intercollegiate Athletic Programs.
(i) "Contract Year" shall mean each consecutive twelve (12) month period from July 1
through June 30 during the term of this Agreement.
(j) "NCAA" shall mean the National Collegiate Athletic Association.
(k) "Conference" shall mean the intercollegiate athletic conference of which
UNIVERSITY is a member.
(I) "Products" shall mean:
(1) all athletic and athletically inspired or derived footwear that members of any
of Team, Coaches and/or Staff wear or may be reasonably expected to wear
while participating in their respective Intercollegiate Athletic Program;
(2) authentic competition apparel consisting of uniforms, sideline or courtside
jackets and sweaters, game-day warm-ups, basketball shooting shirts,
football player capes, wool and fitted caps, windsuits, rainsuits, sideline or
courtside pants, shorts and shirts, and similar apparel, and practicewear
(collectively, "Authentic Competition Apparel") that members of any Team,
Coaches and/or Staff wear or may be reasonably expected to wear while
participating in their respective Intercollegiate Athletic Program;
(3) all other apparel articles of an athletic or athleisure nature including but not
limited to tank-tops, T-shirts, sweatsuits, separates and other body
coverings, and accessories of an athletic or athleisure nature, including but
not limited to headwear, headbands, wristbands, bags, socks, hand-towels,
receiver's and linemen's gloves, goalie gloves, and shin guards that
members of any Team, Coaches and/or Staff wear or use or may be
reasonably expected to wear or use while participating in their respective
Intercollegiate Athletic Program;
(4) sports equipment including, but not limited to, soccer balls, basketballs,
protective eyewear, eyewear with performance attributes and sunglasses,
sports timing devices (including wristwatches, race timers, stopwatches, etc.
and devices used for competition or training that are also used in
combination with timing devices such as heart-rate monitors or calorimeters),
and such other equipment as NIKE may add to its Product lines al any time
during the term of this Agreement and subject to the provisions of Paragraph
14 below; and
(5) sports-themed instructional and entertainment home video products, and
electronic, computer, arcade, video and virtual reality games and devices.
(m) "NIKE Products" shall mean all Products In connection with which, or upon which,
the NIKE name, the Swoosh Design, the NIKE AIR Design, the Basketball Player
Silhouette ("Jumpman") Design or any other trademarks or brands (e.g., Brand
Jordan, Bauer, Sports Specialties, SPL.28) now or hereafter owned and/or
controlled by NIKE (collectively, "NIKE Marks") appear.
(n) "Internet Contenf' shall mean text, graphics, photographs, film, video, audio
and/or other data or information.
(d) The right to use in Internet Content on the Internet, in accordance with the terms of
this Agreement and subject to applicable NCAA rules and regulations with respect
to the depiction of eligible athletes, game photographs, video, audio, text,
graphics, film footage and/or any other data, materials or information (e.g.,
statistics, biographical profiles, archival materials, etc.) of any and all
Intercollegiate Athletic Programs whether created by NIKE (or its agent) or
controlled by UNIVERSITY (collectively, "UNIVERSITY Contenf'). In connection
therewith, at NIKE's request, UNIVERSITY shall permit NIKE to utilize, consistent
with this Paragraph 3, UNIVERSITY Content (owned and/or controlled by
UNIVERSITY or created by NIKE (or its agent)), without a use fee, other than
reasonable search and edit charges.
4. RETAIL LICENSING RIGHTS.
(a) UNIVERSITY hereby grants to NIKE, and NIKE hereby accepts, the (1) exclusive
worldwide right and license (but not obligation) to manufacture and sell at retail
Authentic Competition Apparel that features the UNIVERSITY Marks; and (2) non-
exclusive worldwide right and license (but not obligation) to manufacture and sell
at retail NIKE Products, other than Authentic Competition Apparel, bearing or
incorporating UNIVERSITY Marks, and/or Game Photos or Game Footage
(products described in (1) and (2) collectively, "Licensed Products"). All Licensed
Products shall be manufactured, approved and sold, and royalties paid and
reported in connection therewith, consistent with the applicable terms and
conditions of the standard retail licenses between NIKE and Collegiate Licensing
Company ("CLC"), and between NIKE and Crossland Enterprises, Inc. ("CEI")
except as modified by the terms of this Paragraph 4, and other terms of this
Agreement (e.g., termination rights, warranties, etc.), and such terms shall be
controlling to the extent inconsistent with the terms of any form license.
Throughout the Term, NIKE shall pay to CLC or CEI, as appropriate, royalties,
based on Net Sales of Licensed Product, at a rate equal to eight percent (8.0%)
(except for Licensed Product sold in Europe, to which a royalty rate of 8.5% shall
apply). Within sixty (60) days after the end of each calendar quarter during the
Term, NIKE shall provide CLC and CEI with a complete and accurate statement of
sales, and the calculation of Net Sales, for the preceding reporting period and,
simultaneously with the submission of such quarterly statements, shall pay all
royalties due on such sales. Licensed Product shall not be used for any third party
giveaway or other premium purpose without UNIVERSITY's prior approval.
UNIVERSITY agrees that royalties shall be waived for any Licensed Products
provided free of charge by NIKE to UNIVERSITY for use by any Coach, Staff
and/or Team members of any Intercollegiate Athletic Programs.
(b) NIKE shall keep and maintain accurate books and records relating to its royalty
payments on Licensed Product sales. UNIVERSITY and its duly authorized
representative shall have the right, upon thirty (30) days' prior written notice, at its
cost, to examine and audit such books and records during NIKE's business hours
and upon no less than ten (10) business days' prior notice (and not more than
once each Contract Year). Should an audit pursuant to this Paragraph establish a
deficiency of more than five percent (5%) between the amount due to
UNIVERSITY and the amount actually paid by NIKE, within forty-five (45) days of
NIKE's receipt of written notice of any such deficiency, NIKE shall pay the amount
of the deficiency together with the reasonable cost of such audit. All books and
records required to be maintained by NIKE hereunder shall be kept for at least two
(2) years after the end of the Contract Year to which they relate, and any royalties
paid with respect thereto shall be deemed incontestable after such 2-year retention
period.
5. INTERNET RIGHTS.
Each Contract Year, UNIVERSITY shall, and without limiting any other rights granted
hereunder, provide NIKE with the following benefits in connection with the Internet:
(a) Such rights or benefits with regard to the Athletics Web Site as are consistent with
those that UNIVERSITY has granted to other commercial, UNIVERSITY sponsors
or licensees, and UNIVERSITY represents and warrants that with regard to the
Athletics Web Site, it shall not treat NIKE less favorably than any other commercial
sponsor or commercial entity to which UNIVERSITY has granted any rights with
respect to the Athletics Web Site.
(b) In addition to the foregoing, if requested, NIKE will receive the opportunity to
create a link from the Athletics Web Site to a NIKE Web Site. The appearance,
location and size of the acknowledgement and the link shall be subject to final
determination by UNIVERSITY.

(3) If in any Contract Year UNIVERSITY requires additional NIKE Products for use
by any Intercollegiate Athletic Program(s), Coach-operated camp, clinic,
tournament or other athletic event which is related to any Intercollegiate
Athletic Program sport, and in amounts that exceed the specified
complimentary amounts, then UNIVERSITY shall purchase any and all such
Products directly from NIKE, or such authorized NIKE dealer as designated by
NIKE, and in no event shall UNIVERSITY purchase such Products from any
third-party.
(4) NIKE shall not be liable to UNIVERSITY, any Coach, or Staff for any injury or
damage suffered from wearing or using NIKE Products, except such injury or
damage resulting from NIKE's adjudicated negligence. As UNIVERSITY's
Athletic Department has expertise and is experienced In the purchase of
athletic goods, and has In its discretion selected NIKE to..be the supplier of the
products described in subparagraph (a) above, UNIVERSITY specifically
waives, only as against NIKE, "all express warranties, and implied warranties
of merchantability and fitness for a particular purpose''.
(b) Throughout the Term, UNIVERSITY shall make NIKE Products available on an
exclusive basis to each Intercollegiate Athletic Program, to be worn and/or used by
Team members, Coaches and Staff during practices, games, exhibitions,
tournaments and other official or UNIVERSITY sanctioned Intercollegiate Athletic
Program activities (including but not limited to photo sessions and interviews)
during Which Team members, Coaches and Stall wear and/or use Products.
UNIVERSITY shall require all such Teams, Coaches and Staff to wear and/or use
exclusively NIKE footwear or Products (as provided above) during such activities,
except as otherwise permitted under subparagraph (i) below, and not permit
Athletic Department management, Coaches or Staff (in performance of, or in
connection with, their departmental or coaching duties) to disparage the quality or
performance of NIKE Products. Notwithstanding the foregoing, (i) in the event any
Team member is unable to wear NIKE footwear due to a bona fide medical
condition, fitting or physical problem, as evidenced by a certification by the Team's
physician, then such Team member shall be permitted to wear non-NIKE footwear
provided all visible manufacturer's identification is taped over or otherwise covered
so as to completely obscure such manufacturer's identification; and (ii) NIKE
acknowledges that any Coach's wearing of non-athletic footwear and apparel in
connection with his or her official coaching duties, as appropriate, shall not
constitute a breach of this Paragraph. NIKE further agrees to work with any Team
member experiencing problems in connection with fit or performance of NI KE
footwear.
(1) UNIVERSITY shall ensure that no Team member, Coach or Staff member
shall:
(i) Alter or permit the alteration of any NIKE Product worn or used by them
to resemble a non-NIKE Product; or
(ii) Wear any non-NIKE Products which have been altered to resemble NIKE
Products.
(2) UNIVERSITY shall ensure that during all Intercollegiate Athletic Program
activities no Team member, Coach or Staff member shall wear and/or use
any athletic footwear, or other Products, manufactured by companies other
than NIKE except as permitted under Paragraph 6 above.
(3) UNIVERSITY acknowledges that "spatting" or otherwise taping NIKE athletic
shoes worn by members of the Teams during practices, games, exhibitions,
clinics, sports camps and other occasions during which Team members wear
athletic shoes, is inconsistent with the purpose of this Agreement and the
benefits to be derived from it by NIKE and is a material breach of this
Agreement.
(4) UNIVERSITY shall not permit (i) the trade name, trademark, name, logo or
any other identification of any person, company or business entity other than
NIKE, or UNIVERSITY if approved by NIKE, to appear on NIKE Products
worn or used by Coaches, Staff or Team members, or (ii) any third party to
screenprint upon, or otherwise embellish, any NIKE Product worn or used by
Coaches, Staff or Team members.
7. PROMOTIONAL APPEARANCES.
In connection with the promotion of NIKE Products and/or the NIKE brand:
(a) Each Contract Year, upon reasonable prior notice and subject to any coaching
commitment, if so requested by NIKE, UNIVERSITY shall make the Coach of each
Intercollegiate Athletic Program available for the following number personal
appearances on behalf of NIKE:

No single appearance shall exceed twenty-four (24) hours in duration, including
travel time, unless otherwise agreed upon in advance. Such appearances may
include, but· are· not limited to, photo shoots for posters, brochures or in-~tore
displays, production sessions related to filming commercials and/or video
productions and/or advertising, retail store appearances, trade shows, speaking
engagements, appearances at sports clinics, celebrity events and other public
appearances. UNIVERSITY shall receive no additional compensation for such
appearances.
(b) Upon reasonable prior notice and subject to any other playing commitments and
compliance with any applicable NCAA and/or Conference rules or regulations,
UNIVERSITY shall make its women's basketball and/or women's soccer Team
available to participate in a NIKE-sponsored tournament not more frequently than
once within any 3-year period.
(c) NIKE shall pay all reasonable and necessary travel and related expenses of each
Coach, or the Team if applicable, in connection with any appearance hereunder.
8. NIKE SPONSOR BENEFITS.
(a) As the exclusive Product supplier of UNIVERSITY's Intercollegiate Athletic
Programs, each Contract Year, UNIVERSITY shall provide NIKE with the following
promotional benefits at no additional cost to NI KE except as otherwise indicated:
(1) NIKE shall receive tickets to home games (and neutral site games as
indicated below) for each Intercollegiate Athletic Program in accordance with
the following:
(3) A hospitality event for women's basketball NIKE Game-day ticket holders
(which may include, for example, a welcome reception and/or tour of
facilities).
(4) At each home game of each Intercollegiate Athletic Program, subject to
subparagraph 8{b) below, NIKE shall receive: (i) a mutually determined
number of temporary (unless otherwise indicated below), camera-visible,
signs which prominently displays the NIKE logo and/or other NIKE trademark
or message as NIKE may designate from time-to-time; and (ii) a suitable,
high-traffic, location within or at each venue at which NIKE may, at its option
and expense, set-up a merchandise display and sell NIKE Product.
(5) At each home game of the women's basketball and women's soccer
Programs at which a public address system and/or electronic message
board (or other electronic messaging systems) is used, as applicable,
suitable in-game P.A. announcements and/or board messages recognizing
NIKE as the exclusive Products supplier and sponsor of the Program.
(6) A NIKE Sports Page in the UNIVERSITY's daily student newspaper as well
as a full-page, 4-color NIKE advertisement (if available) (camera-ready ad to
be produced and provided by NIKE at its cost) therein.
(7) Full-page, 4-color NIKE advertisements (camera-ready ad to be produced
and provided by NIKE at its cost) in every women's basketball and women's
soccer game Program published.
(8) Prominent NIKE name and/or logo recognition in the media guides, schedule
cards, posters, newsletters and other sports related publications or collateral
materials for the women's basketball and women's soccer Programs as well
as in all related athletic brochures and collateral and promotional materials,
including videos, generated or commissioned by UNIVERSITY.
(9) The opportunity to stage promotional events and/or contests around
designated women's basketball and women's soccer home
games/competitions, which events or contests may occur pre-game, during
half-time or post-game.
(10) Reasonable access to women's basketball and women's soccer Program
activities, where appropriate, for the purpose of shooting Game Photos or
Game Footage and/or conducting and taping post-game interviews.
(11) NIKE Product placement in campus stores (e.g., UNIVERSITY bookstores)
system-wide and the right to display and sell NIKE Products at
UNIVERSITY's football stadium and/or stores during all games held therein.
(12) The NIKE name or logo identification shall comply with the requirements of
26 USC 513 to qualify the payment to UNIVERSITY as a "qualified
sponsorship paymenf' and as such NIKE shall not have the right to display a
message that contains a comparative or qualitative description of NIKE
Product, price information or other indications of savings or value, an
endorsement, or an inducement to purchase, sell or use NIKE Product. All
copy and graphics proposed for display by NIKE are subject to approval by
UNIVERSITY.
(b) In addition to the foregoing, UNIVERSITY shall provide NIKE with the following
promotional benefits in connection with the women's basketball Program at no
additional cost to NIKE:
(i) Identification as the exclusive Products supplier and sponsor of the
UNIVERSITY's women's basketball Program during each coach's show
telecasts, through a minimum of one 30-second spot per telecast; and
(ii) Prominent, camera-visible, courtside signage in UNIVERSITY's
women's basketball arena (including at least one permanent sign at the
scorer's table or press row), with the placement and size of such
signage to be mutually agreed upon.
9. DESIGN & MARKETING CONSULTATION.
UNIVERSITY acknowledges NIKE's industry leadership in the design of performance
product and its expertise and innovation in the area of sports marketing and that such
leadership, expertise and innovation is a material inducement to UNIVERSITY's
entrance into this Agreement. NIKE shall continue its efforts to produce high quality
Products through consultation with coaches and staff of successful athletic programs
such as UNIVERSITY and whose full cooperation is important to NIKE, as such
individuals have knowledge that can be useful in the research, development and
production of NIKE Products, and is of the essence of this Agreement. Upon request by
NIKE, UNIVERSITY shall require designated Coaches and Staff to provide NIKE with
written or oral reports concerning the NIKE Products supplied to each through NIKE's
product development and testing program. Such reports shall address the fit, wear
characteristics, materials and construction techniques of such Products.
10. CASH COMPENSATION.
(a) Each Contract Year NIKE shall pay UNIVERSITY the following amounts of Base
Compensation in support of the women's basketball Program to be paid in two (2)
equal semi-annual installments to be made on July 1 and January 1 of each
Contract Year (and subject to Paragraphs 15 and 17 below), except the first
installment in the first Contract Year shall be due within 30 days of full execution of
this Agreement:
above and "NIKE Products" as defined in Paragraph 1(m) above and covered In all
pertinent respects by the terms hereof and supplied to UNIVERSITY in such
quantities as mutually agreed, it being understood that no additional compensation
shall be payable to UNIVERSITY in connection therewith. To the extent NIKE is
unable to supply a competition ball that is approved for use under this Paragraph,
UNIVERSITY agrees to limit any third-party ball supply arrangement to a (i)
company that is, as of the date hereof, principally known in the sporting goods
· industry as a ball manufacturer (e.g., Wilson, Rawlings and Spalding), and (ii) term
of n<;> longer than one playing season so that NIKE will have the opportunity, on an
annual basis, to submit its ball product for consideration. UNIVERSITY
acknowledges that a significant number of "Top 25" intercollegiate football and
basketball programs with which NIKE is associated currently use, and have done
so for a number of seasons, NIKE balls as their official competition ball and that
the contemplated adoption of NIKE balls by the UNIVERSITY for competition use
Is a material inducement to NIKE's entrance into this Agreement and an expected
benefit of this Agreement.
(b) From time-to-time during the term of this Agreement, NIKE may add to its
Products line one or more items of sports equipment. If at any time during the
Term NIKE shall have a bona fide intention to expand its Products line by adding
any such item(s), then NIKE shall give UNIVERSITY six (6) months' advance
written notice of the particular item(s) then in development by NIKE. NIKE shall
provide UNIVERSITY with adequate opportunity to sample and field test the new
item(s). UNIVERSITY agrees subject to the Athletic Director's and Coach's
satisfaction as to quality and suitability and subject to mutually acceptable
additional compensation that if UNIVERSITY has not already entered into or
substantially negotiated a product supply or endorsement agreement with respect
to such item(s) for an Intercollegiate Athletic Program, it will not do so during the
one hundred eighty (180) day period next following the date on which
UNIVERSITY receives such written notice from NIKE. If during such one hundred
eighty (180) day period, NIKE shall notify UNIVERSITY that an item is
commercially available, then (subject to the Athletic Director's and Coach's
satisfaction as to quality and suitability and subject to mutually acceptable
additional compensation) such item(s) shall thereafter be deemed to be Included in
"Products" as defined in Paragraph 1(I) above and "NIKE Products" as defined in
Paragraph 1(m) above and covered in all pertinent respects by the terms hereof
and for the balance of the Term UNIVERSITY shall no longer be permitted to
source such Products from a manufacturer other than NIKE. Thereafter,
UNIVERSITY shall make such new Product item(s) available to Team members,
Coaches and/or Staff members, NIKE shall supply UNIVERSITY, free of charge,
with sufficient quantities for such purpose to be mutually agreed upon by the
parties, including quantities equal to or greater than the quantities of any
comparable item(s) which UNIVERSITY, Team members, Coaches and/or Staff
members are then receiving from a third-party. UNIVERSITY shall thereupon
distribute, as is appropriate, such new item(s) to Team members, Coaches and/or
Staff members for use pursuant to the terms of this Agreement.
15. RIGHT OF REDUCTION, SET-OFF
UNIVERSITY acknowledges that the principal inducements for NIKE's entrance into this
Agreement are: (i) the wide-spread national television and other media exposure that
the Intercollegiate Athletic Programs annually receive, and (ii) the accompanying
prominent brand exposure NIKE receives through the placement of the NIKE logo, as it
currently appears (in terms of size, location placement, color prominence and/or number
of placements), on Authentic Competition Apparel and that such continued exposure Is
of the essence of this Agreement. Accordingly, if in any Contract Year the women's
basketball Team is banned from television appearances or if, for any reason, NIKE's
logo placement rights on Products are diminished (in terms of size, location placement,
color prominence and/or number of placements), in lieu of NIKE's exercise of its
termination right under Paragraph 17 below, then for such Contract Year NIKE shall
have the right to reduce UNIVERSITY's scheduled Base Compensation in accordance
with the following:

If NIKE logo placement rights are diminished in a manner other than as enumerated
above, NIKE shall have the right to in good faith equitably reduce scheduled Base
Compensation to be paid UNIVERSITY prospectively taking Into account the nature and
extent of the diminution of rights.
16. RIGHT OF TERMINATION BY UNIVERSITY.
UNIVERSITY shall have the right to terminate this Agreement immediately upon written
notice to NIKE if:
(a) NIKE is adjudicated insolvent or declares bankruptcy;
(b) NIKE fails to make payment to UNIVERSITY of any sum due pursuant to this
Agreement within thirty (30) days following NIKE's receipt of written notice from
UNIVERSITY that such payment is past due; or
(c) NIKE shall be in material breach of this Agreement, which breach NIKE fails to
cure within thirty (30) days of NIKE's receipt of written notice from UNIVERSITY
specifying such breach.
17. RIGHT OF TERMINATION BY NIKE.
(a) NIKE shall have the right to terminate this Agreement immediately upon written
notice to UNIVERSITY if:
(1) Any Intercollegiate Athletic Program is placed on NCAA probation or
UNIVERSITY ceases for any reason to field a Division I team in any of the
Intercollegiate Athletic Programs;
(2) Members of any Team fail to wear or use NIKE Products during practices,
games, exhibitions, tournaments, clinics, sports camps or other occasions
during which Team members wear or use Products (including but not limited
to photo sessions and interviews), or wear NIKE Products altered, spatted or
taped in violation of Paragraph 6 above; provided, however, that NIKE shall
have first provided written notice to UNIVERSITY of any such violation and
such violation shall then recur during the same Contract Year;
(3) Any Coach, Staff or Team member fails to perform any material obligations
provided for in this Agreement;
(4) UNIVERSITY, the NCAA, the Conference or any assignee thereof (including
any licensing agent or broadcast partner of the foregoing) enacts, adopts or
accedes to any regulation, restriction, prohibition or practice that materially

elect to (1) discontinue its Product Supply and any Compensation, including
Performance Bonuses) of the particular Intercollegiate Athletic Program affected
by or responsible for the termination event and (2) continue the parties'
performance, rights and benefits under the Agreement with respect to the
remaining Intercollegiate Athletic Program(s).

historical, educational or commemorative purposes.
19. INSURANCE.
NIKE and any subcontractor shall, at its expense, obtain and maintain (throughout the
Term) the following insurance coverage and shall name "The Commonwealth of
Virginia, and the Rector and Visitors of the University of Virginia, its officers, employees
and agents" as additional insureds: (a) a minimum limit of liability for bodily injury and
property damage of $500,000 per person/occurrence, with coverage for premises-
operations and product-completed operations, and (b) a minimum limit of liability for
bodily injury of $100,000/$300,000 per person/occurrence and property damage of
$100,000 per occurrence for vehicles operated by their employees.
20. REMEDIES.
UNIVERSITY and NIKE agree that, in the event that either party breaches any material
term or condition of this Agreement, in addition to any and all other remedies available
to the other party at law or in equity, such other party shall be entitled to injunctive relief
from such further violation of this Agreement, pending litigation as well as on final
determination of such litigation, without prejudice to any other right of such other party.
21. NOTICES.
Ail notices, statements and payments provided for herein shall be in writing and deemed
given if sent postage prepaid via registered or certified mail, or by express courier
service or facsimile with confirmed delivery, to the parties at the addresses given below,
or such other addresses as either party may designate to the other. Any written notice
shall be deemed to have been given at the time it is sent addressed to the parties as set
forth below. It is UNIVERSITY's obligation to notify NIKE of any address change.

22. RELATIONSHIP OF PARTIES.
The performance of services for NIKE by UNIVERSITY is in the capacity of independent
contractors. Accordingly, nothing contained in this Agreement shall be construed as
establishing an employer/employee, partnership, agency or joint venture relationship
between UNIVERSITY and NIKE. Each party is responsible for all withholding, social
security, unemployment compensation and other taxes attributable to its performance of
this Agreement.
23. ASSIGNMENT/DELEGATION/PASSTHROUGH.
(a) This Agreement and the rights and obligations of UNIVERSITY hereunder are
personal lo UNIVERSITY and shall not be assigned or delegated by UNIVERSITY.
Any funding for this Agreement Is dependent at all times upon the appropriation of funds
by the Virginia General Assembly and/or any other organization of the Commonwealth

I. Introduction: The Collegiate Licensing Company ("CLC") and the collegiate institutions
represented by CLC ("Member Institutions") are each committed to conducting their business
affairs in a socially responsible and ethical manner consistent with their respective educational,
research and/or service missions, and to protecting and preserving the global environment.
While CLC and the Member Institutions believe that Licensees share this commitment, CLC and
certain Member Institutions have adopted the following Labor Code Standards (the "Code") which
requires that all Licensees, at a minimum adhere to the principles set forth in the Code.
Throughout the Code the term "Licensee" shall include all persons or entities which have entered
into a written "License Agreemenf' with CLC to manufacture. "Licensed Articles" (as that term is
defined in the License Agreement) bearing the names, trademarks and/or images of one or more
Member Institutions. The term "Licensee" shall for purposes of the Code, and unless otherwise
specified in the Code, encompass all of Licensee' contractors, subcontractors or manufacturers
which produce, assemble or package finished Licensed Articles for the consumer.
II. Standards. Licensees agree to operate work places and contract with companies whose work
places adhere to the standards and practices described below. CLC and the Member Institutions
prefer that Licensees exceed these standards.
A. Legal Compliance: Licensees must comply with all applicable legal requirements of the
country(ies) of manufacture in conducting business related to or involving the production or
sale of Licensed Articles. Where there are differences or conflicts with the Code and the
laws of the country(ies) of manufacture, the higher standard shall prevail, subject to the
following considerations. In countries where law or practice conflicts with these labor
standards, Licensees agree to consult with governmental, human rights, labor and business
organizations and to take effective actions as evaluated by CLC, the applicable Member
lnstitution(s) or their deslgnee, and the applicable Licensee(s) to achieve the maximum
possible compliance with each of these standards. Licensee further agree to refrain from
any actions that would diminish the protections of these labor standards.
1, Wages and Benefits: Licensees recognize that wages are essential to meeting
employees basic needs. Licensees shall pay employees, as a floor, at least the
minimum wage required by local law or the local prevailing industry wage, whichever
is higher, and shall provide legally mandated beneflts. 1

factors related to minimum and prevailing wages and employees' basic needs.

do not limit the hours of work, the regular work week in such country plus 12 hours
overtime; and (ii) be entitled to at least one day off in every seven day period.
4. Child Labor: Licensees shall not employ any person at an age younger than 15 (or
14, where, consistent with International Labor Organization practices for developing
countries, the law of the country of manufacture allows such exception). Where the
age for completing compulsory education is higher than the standard for the minimum
age of employment stated above, the higher age for completing compulsory education
shall apply to this section. Licensees agree to consult with governmental, human
rights and nongovernmental organizations, and to take reasonable steps as evaluated
by CLC, the applicable Member lnstitution(s) or their designee, and the applicable
Licensee(s) to minimize the negative impact on children released from employment as
a result of implementation or enforcement of the Code.
5. Forced Labor: There shall not be any use of forced prison labor, indentured labor,
bonded labor or other forced labor.
6. Health and Safety: Licensees shall provide a safe and healthy working environment
to prevent accidents injury to health arising out of, linked with, or occurring in the
course of work as a result of the operation of Licensee facilities.
8. Harassment or Abuse: Every employee shall be treated with dignity and respect. No

Each Licensee shall disclose to the Member Institution or its deslgnee the location (including
factory name, contact name, address, phone number, e-mail address, products produced, and
nature of business association) of each factory used in the production of all items which bear
Licensed lndicia. Such information shall be updated upon change of any factory site location.
The Member Institution reserves the right to disclose this information to third parties, without
restriction as to its further distribution.
Rider 2
Women's Rights:
1. Women workers will receive equal remuneration, including benefits, equal treatment,
equal evaluation of the quality of their work, and equal opportunity to fill all positions as
male workers. ·
2. Pregnancy tests will not be a condition of employment, nor will they be demanded of
employees.
3. Workers who take maternity leave will not face dismissal nor threat of dismissal, loss of

THIRD AMENDMENT TO
UNIVERSITY OF VIRGINIA MULTl·SPORT AGREEMENT
"Each Contract Year, UNIVERSITY shall be entitled to order directly from NIKE,
and receive, the below-indicated amounts of mutually determined sport-
approprlate NIKE Product for use by (or in connection with) the Intercollegiate
Athletic Programs: The aggregate retail value of supplied product that Athletic
Department may order for each Contract Year shall be as set forth In the table
below (each, an "Annual Product Allotment").
The exact styles, sizes and delivery dates and, where appropriate, quanlities of
such NIKE Products shall be mutually determined by NIKE and UNIVERSITY
{and subject to subparagraph (1) below) for each Contract Year. UNIVERSITY
may order and purchase additional quantities of the foregoing merchandise, or
.components thereof, from NIKE, or such local authorized team dealer as NIKE
may designate, at NIKE's dealers' price for those or comparable Products. In no
event shall UNIVERSITY purchase such Products from any other third party. In
addition, UNIVERSITY shall be permitted to order from NIKE other NIKE
Products for use by any Intercollegiate Athletic Program(s) at NIKE's published
wholesale price, subject to availability. All Product to be supplied by NIKE
hereunder shall be delivered F.O.B. to UNIVERSITY. Only properly submitted
orders from Associate Athletic Director Keith Vanderbeek or another
representative of UNIVERSITY who has been authorized in writing .by
UNIVERSITY's Diiector of Procurement Seivlces shall be filled by NIKE. No
carry-over Of unordered annual allotments of merchandise from one Contract
Year to another shall be allowed. If an order (or orders) for any entire annual
allotment of merchandise for any designated Intercollegiate Athletlc Program is
(or are) not received by NIKE prior to the conclusl_on of any Contract Year, then
such Program shall be deemed to have waived any right to tho unordered portion
thereof."
c. Subparagraph 6(a)(2) shall be replaced In Its entirety with the following:
"Each Contract Year {except as otherwise specified), Coaches and Staff
members of the Intercollegiate Athletic Progn;ims, and select members ·of the
Athletic Department (to be designated by UNIVERSITY), shall be entitled to order
NIKE Product for personal use (or promotional use, as indicated} through the
NIKE Elite program. The aggregate maximum amount (in terms of retail value} of
product that may be ordered each Contract Year (in terms of retail value} shall be
$75,000, All such NIKE Product must be ordered through the Nike Elite program
subject to procedures established by NIKE for such purpose. No carry--0ver of
unordered annual allotments of merchandise from one Contract Year to another
shall be allowed."
D. Paragraph 1O shall be replaced In its entirety with the followlng:
(b) Each summer during the Term, NIKE shall fund a paid internship,
to be served at NIKE's World Headquarters, for one
undergraduate to be selected by NIKE from a pool of candidates
to be developed and presented by UNIVERSITY:
(c) NIKE also shall pay UNIVERSITY cash and product bonuses as
set forth on Exhibit A for each of the indicated performance
bonus(es) achieved by the Indicated Team for any Contract Year,
such bonus(es) to be paid within thirty (30) days of NIKE's receipt
of written notification from UNIVERSITY that such bonus(es) has
been earned.

* "Tier 1 Bowl Game" shall mean any non-CFP game with a team pay-out of not Jess than $3 million.
Except as modified by this Amendment, all defined terms used within this Amendment shall
have the same meaning ascribed to them under the Agreement, all other terms and conditions
of the Agreement shall remain in full force and effect, and all rights and obligations under this
Amendment shall be exercised consistent with the Agreement.
If UNIVERSITY is in agreement with the terms of this Amendment, please so indicate by due
