AGREEMENT THIS AGREEMENT, is made and entered into on the 9th day of April, 2020, by and between Michigan State University (hereinafter called MSU), and Florida Atlantic University, Boca Raton, FL. WITNESSETH In consideration of the mutual promises herein contained, it is agreed as follows between the parties hereto: FIRST. Varsity football teams representing MSU and Florida Atlantic University will play each other on the following date: August 31, 2024 in East Lansing, MI The football games shall be governed in all respects, including the eligibility of players, by the rules of the National Collegiate Athletic Association, the rules of the conferences of whi MSU and Florida Atlantic University are members, and the rules of MSU and Florida Atlantic University. SECOND. The home team shall pay a One Million, Four Hundred Thousand Dollar (S1,400,000.00) guarantee to the visitor for the game. Said guarantee is to be paid on or before February 15" of the year following the game. THIRD. Radio broadcasts of the games shall be under the control of the home team, however, the visitor shall have a rights free outlet for the live radio broadcast of the game by one (1) radio station or network situated in its home area, such station to be designated by the visitor. Any receipts from the sale of such live radio broadcasts shall be vested in the respective team, FOURTH. Florida Atlantic University acknowledges and agrees that (a) all rights to telecast or distribute (live or delayed, whole or condensed, including highlights, throughout the universe, in any and all markets, in any and all languages and via any and all forms of media and methods of distribution and distribution technology) MSU home football games and certain games played at a neutral site have been assigned by MSU to The Big Ten Conference, Inc. (“The Big Ten”), which in turn has entered into agreements with certain third parties for the telecast or distribution of such games, (b) MSU has no ability to grant to Florida Atlantic University any rights for the telecast or distribution of games played pursuant to this Agreement in which MSU is the home football team or of games played pursuant to this Agreement at certain neutral sites and (c) the Big Ten shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement in which MSU is the home team or of games played pursuant to this Agreement at certain neutral sites. MSU acknowledges and agrees that Florida Atlantic University shall have the exclusive right to center into agreements with respect to the telecast or distribution of games played pursuant to this Agreement in which Florida Atlantic University is the home football team and to retain all revenues derived therefrom. Notwithstanding the foregoing, the respective rights, if any, of MSU and Florida Atlantic University with respect to the telecast or distribution of games played pursuant to this Agreement in which they are the visiting football team (and the revenues derived therefrom) shall be governed by a separate agreement between The Big Ten and Florida Atlantic University which separate agreement shall govern certain aspects of any football games played between the member institutions of The Big Ten and Florida Atlantic University, provided, that in the absence of any such separate agreement, the terms of this Agreement shall control. FIFTH. The home team agrees to grant, or cause to be granted, to the visiting team and the Big Ten Conference access to a clean television production feed of each game. Florida Atlantic University acknowledges that the Big Ten’s media agreements prohibit access to television production feeds by third parties, but Florida Atlantic University may seck access to ‘game footage from the Big Ten Conference through a separate agreement between the Big Ten Conference and Florida Atlantic University. SIXTH. The visiting team shall have the right to produce films and/or videotapes of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches’ show only and for no other purpose. Such films and/or videotapes may not be replayed, used or otherwise distributed by the visiting team to any person other than the incorporation of up to eight minutes (8:00) of highlights of the game as part of a weekly coaches’ show and to its football team coaches and players. ‘The host institution agrees to provide reasonable facilities for such cameras as may be reasonably required by the visiting team to produce such films and/or videotapes. Any other usage by the visiting team of footage of games played pursuant to this ‘Agreement shall be governed by a separate agreement between the Big Ten Conference and Florida Atlantic University. SEVENTH. The officials for the game shall be a solid crew from the Big Ten Conference. EIGHTH. The bands and cheerleaders of the visiting team shall be admitted in uniform. In addition, the visiting team shall receive 500 complimentary tickets. In addition, the visiting team shall have the option of purchasing 3,000 tickets. ‘The visiting team shall retum all unsold tickets to the home team in sufficient time to reasonably allow for their sale prior to the game. In no case, however, shall more than five hundred (500) tickets be returned later than one month prior to the game and no more than one hundred (100) tickets be returned later than forty-cight (48) hours prior to game time. In addition, no more than fifty (50) tickets shall be returned on the day of the game. NINTH. Except for an event pursuant to the tenth paragraph, if either party fails to comply with the terms and conditions of this contract by unilaterally canceling the agrcement to play the game, that party shall pay to the other the sum of Five Hundred Thousand Dollars ($500,000) as liquidated damages and not a penalty. If cancellation is by mutual consent, this contract shall be null and void. TENTH. MSU and Florida Atlantic University recognize that exigencies beyond the control of either party, such as Acts of God, Acts of Common Enemy, civil disorders, or orders of military or public authority, may render it impossible or highly undesirable to play the game agreed to hereunder, in which event or events the game shall be cancelled or rescheduled as such exigencies may dictate or permit. ELEVENTH. The person executing this Agreement on behalf of the respective parties hereby warrants that they are duly authorized and empowered by the parties to s0 execute. IN WITNESS WHEREOF, the parties have hereunto set their hands as of the day and ‘yeat first above written.
