Pardue University Football Game Contract ‘This Football Game Contract ("Contract is made as of the 15th day of June, 2017 by ad between Purdve University und Indiana Stale University. In consideration of the following mutual undertakings and commitments, the parties agree as follows: Game Schedule, ‘The varsity foothall teams of Purdue University and Indiana Se Universi al ply foal game (he "Cane ag cach othr at Prd University ‘on Sepiember 10, 2022 ata time to be determined. The party on whose field the Game will be played is refered to in this Contract as the "Host Team” and the other party i referred to asthe "Visiting Team." 2. Applicable Rules. In pesforming this Contract, each party shall be governed by the applicable rues o (i) the athletic conference to whic it belongs and (i) the National Collegiate Athletic Association 3. Game Officits, ‘The commissioner of the athletic conference to which the Host ‘Team belongs shall appoint the officials forthe Game. ‘The Host Team shall be responsible for the oficial expenses. 4. Management, The Host Team will, at its own expense, be responsible for ‘managing the Game, including ticket sales, advertising, security, and all other matters customarily handled by the host of a Division | intercollegiate football game, 5. Tickets, (8) Prices. ‘The Host Team will establish ticket prices (including any applicable taxes) forthe Game. (b)_ ickets For‘The Visiting Team. In addition to the Game Fee provided le 7a, the Host Team will provide tthe Visiting Team 400 complimentary game tickets. By no later than four (4) weeks before the Game, the Visiting Team will tll the Host ‘Team how many additional Game tickets the Visiting Team would like o purchase. ‘The Host ‘Team will allow the Visiting Team to purchase upto 1,500 Game tickets, or more if there are additional tickets which the Host Team is willing to make available when the Visiting Team requests tickets. By no later than one week before the Game, the Visiting Team will return to the Host Team atleast 90% of any Game tickets then remaining unused. Ifthe Game is not sold out, the Visiting Team may also return up to 100 Game tickets upon arrival at the Host Team's Tocation for the Game, Within 60 days following the Game, the Visiting Team will pay to the Host Team the ticket price for all Game tickets which the Visiting Team received and did not return pursuant tothe foregoing. forint age tof Bands shall be admitted free of charge, but stall not count against the 400 complimentary tickets allocated for the visiting team. The band wil be located within ‘the 3,000 seats allocated tothe visiting team with specific location to be determined by ‘the home team. Limitation onthe size of band is 350, (One cheerleading squad (12 members) anda single mascot willbe admitted in uniform, 6 Media (2) TELEVISION: Indiana State University acknowledges and agrees that (a) all ight to telesastor distribute (ive or delayed, whole or condensed (inehui highlights, throughout the universe, in any and all markets, any and all languages and via any and all forms of media and methods of distribution and distribution technology) Purdue Univesity home games and certain games played ata neutral site have been sssigned by Purdue University to The Big Tea Conference, In. (“The Big Ten”), which in turn has entered into sgreements with certain third partis forthe telecast or distibution of such games, (b) Purdue University has no ability to grant to Indiana State University any rights forthe telecast or distribution of games played pursuant to this ‘Agreement ia which Purdue University isthe home team or of games played pursuant to this Agreement a certain neutral sites and (&) The Big Ten shall have the exclusive right, to retain all revenues derived from the telecast or dstibuton of games played pursuant to this Agreement in which Purdue University isthe home team. ‘Notwithstanding the foregoing, the respective rights, ifany, of Purdue ‘University and Indiana State University with espect othe telecast or distribution of ‘umes played pursuant to this Agreement in which they are the visiting team (and the revenues derived therftom) shall be governed by separate agreentent between The Big ‘Ten and Indiana State University which separate agreement shall gover certain aspects ‘of any games played between the member institutions of The Big Ten and Indiana State University, provide, that nthe absence of any such separate agreement, te tems ofthis ‘Agreement shall conta (b) USE OF GAME VIDEO: The visiting team shal hae the right to produce fils and/or videotapes of the games played pursuant to this Agreement for coaching purposes and for use ina weekly coaches” show only and for no other purpose, Such films andlor videotapes may not be replayed, used or otherwise distributed by the visitng team to any pers other than the incorporation of up to eight minutes (8:0) of. highlights of the game as part ofa weekly coaches’ show and tis team coaches and playess, The host institution agres to provide reasonable fails for sich cameras as ‘may be reasonably required by the visiting team to produce such films andor videotapes. ‘Any other usage by the visting team of footage of games played pursuact to this ‘Agreement shal be governed by a separate agreement between the Big Ten and Indiana State University Page 2015 (© _ RADIO: The Host Team will, without adtional charge, provide the Visiting Team with one radio outlet for use in broadcasting the game by one 1 station in the immediate vicinity ofthe Visiting Team's home locality (he "Visitor's ‘Radio Station"). Any other radio station which brondcasts the Game using a feed from the Visitors Radio Staion will be require to pay the Host Team's standard radio rights ee for broadcesting a Men's Football game. ‘The Visiting Team wil be responsible for ‘ordering and paying for any telephone and broadcast lines needed for such radio broadcast, 7 Bess. (@) Game Fos, By no later than February 15th ofthe year following ‘the year in which the Game is played, the Host Team shall pay the Visiting Team the sum ‘of five hundred thousand dollars ($500,000) for participating inthe Game, less any ‘amount which the Visiting Team owes and has not paid for Game tickets under Section S(t) above. All other revenue generated in connection wih the Game, including but not limited to revenve ftom ticket and program sales, parking and concessions shall be retained by the Host Teatn. The Visiting Team shall be responsible for its own expenses. Therefore, unless excused unde Section 8() below, iether team fil to participate i the Game as agreed, a cancellation fee of $1,000, 000.00 (one ‘milion dollars) wil be owed. “The canceling team will make any such payment by the earlier of () 60 days after notifying the other team of cancellation, or (ji) 30 days aftr the date on which the Game ‘was scheduled. Payment ofthe cancellation fe will be in lieu of eny claim for damages ‘based an a filare to participate inthe Game as scheduled. 8. General Provisions, (8) Forge Majeure. Failure to perform an obligation inthis Contract (other than an obligation to pay money) is nota breach or default to the extent thatthe ‘onperforning party is prevented from performing by fir; explosion; earthquake; flood, Page 3.8 _ar; terrorism; rots or evil unrest; cout order; or anyother cause beyond its reasonable control () Entire Agreement, ‘This Contract constitutes the entre agreement ‘between the paties and supersedes all previous negotiations and agreements, written or ‘oral, between the parties with respect to the subject matter hereof. (0 Disputes, All disputes arising under this Contract wich the parties cannot resolve amicably through negotiations shall be fled exclusively inthe state for fedetal courts in Tippecanoe County Indiana. The parties hereby i) submit to the ‘exclusive jurisdiction of said courts with respect to any such dispute and (i) waive any defense of claim that sud cours do not represent the prefered ven, lack personel jurisdietion over ether party, or are inconvenient forthe partes or witnesses, 9, NCAA Football Championship Sub-Division (“FCS”) Requirements Inthe event thatthe Visiting Team does not moot the cetera established by the [NCAA for Football Championship Subdivision (FCS) membership by July 1, 2022, (previously erred to as Division I-AA football), this Agreement may, atthe option of the Host Team be cancelled, In such event, neither team shall have any obligation tothe other. 10, Sponsorship Agreement, The parties hereby acknowledge that Purdue University has entered into an ‘exclusive Sponsorship Agreement with the Gatorade Company, the exclusive ‘manufacturer and distibutor of GATORADE products, pursuant to which Purdue University has agreed to requiee that GATORADE- identified cups, cole, ice chests, squeeze bottles, sideline carts and towel (hereinafter “Gatorade Merchandise”) be ‘placed, exclusively, on all Purdue University team benches and sidelines at athletic ‘vents, subject fo NCAA legislation, guidelines and regulations (including those ‘regarding individual player endorsements), subject to aplicable Conference and NCAA. ipidelines with respec to pre-season, postseason and exhibition games, and subject to the legal and contratoal rights of third paties, If for any reason Gatorade Merchandise ‘eannot be placed on any Purdue University team benches or sidelines at any athletic ‘contest played pursue to this Agreement, then the parties agree that generic (non Page dot branded) cups, coolers, ce chests, squeeze bottles, sideline carts ad fowels shall placed, exclusively, on sud Purdue University team benches or sidelines.
