FOOTBALL GAME AGREEMENT BETWEEN ‘THE BOARD OF REGENTS OF ‘THE UNIVERSITY OF MICHIGAN AND ‘THE STATE OF OKLAHOMA, ex rel ‘THE BOARD OF REGENTS OF ‘THE UNIVERSITY OF OKLAHOMA THIS AGREEMENT is made and entered into on this ‘day of July, 2014, by and between THE BOARD OF REGENTS OF THE UNIVERSITY OF MICHIGAN (MICHIGAN), and THE STATE OF OKLAHOMA, ex rel THE BOARD OF REGENTS OF THE UNIVERSITY OF OKLAHOMA (OKLAHOMA). WITNESSETH: For and in consideration of the promises and agreements of the respective parties hereto, each with the other as herein after set forth, the parties hereto agree as follows: 1. ‘Two games of football shall be played between the institutions party hereto. One game shall be played on September 6, 2025, at OKLAHOMA in Norman, Oklahoma, at Memorial ‘Stadium (for which OKLAHOMA shall be the HOME TEAM), and one game shall be played ‘on September 12, 2026, at MICHIGAN in Ann Arbor, Michigan at Michigan Stadium (for which MICHIGAN shall be the HOME TEAM). The football games shall be governed in all respects, including the eligibility of players, by the rules and regulations of the respective athletics conference(s) of which the parti members and the NCAA, which are in effect at the time of the contest. The VISITING TEAM shall be paid a flat dollar guarantee of $750,000.00 to be paid by the HOME TEAM on or before March 1, following each scheduled game. The VISITING TEAM shall be responsible for its own travel expenses. Guaranteed payment may be by electronic transfer of funds or other means reasonably requested by the VISITING TEAM. The rights to any revenue derived from all associated game activities including without limitation ticket sales, concessions, programs, souvenirs, soft goods, parking, etc., shall belong to the HOME TEAM. The VISITING TEAM will be allotted one hundred (100) complimentary programs, if produced, to be delivered to the team’s dressing room before the game. Ticket prices shall be set by the HOME TEAM. The VISITING TEAM shall be issued 350 ‘complimentary game tickets and 3,650 game tickets for sale, with the option to release and return all or any portion of such tickets by notifying the HOME TEAM'’s ticket manager in writing by not later than August 1 (of the year the game is to be played) of the number of tickets to be released and returned. Notwithstanding the foregoing, up to two hundred (200) unsold tickets may be returned seventy-two (72) hours prior to the game. Payment for VISITING TEAM tickets will be deducted from the guarantee specified in paragraph 3. Any band seating must come from the above ticket allotment. Spirit Groups (eg., cheer and dance squads, mascot, up to 30 people total) will be admitted without a ticket, if in uniform, Game workers shall be admitted free of charge by credential or pass and such admissions shall not be regarded as complimentary under this paragraph. Game workers shall be defined as those who have a specific and necessary duty to perform at the game and who do not occupy saleable seats. The HOME TEAM shall furnish to the VISITING ‘TEAM up to a total of sixty (60) bench passes or tickets/passes, as needed, for necessary coaches, team support personnel and game workers, and eight (8) coaches boothipress box passes. The HOME TEAM shall provide parking for the VISITING TEAM for one (1) equipment truck, four (4) busses, and eight (8) automobiles. The officials, including replay officials and the replay system to be utilized, for the game on September 6, 2025, shall be appointed by the athletics conference ‘of which the University of Michigan is a member, and the officials, including replay officials and the replay system to be utilized, for the game on September 12, 2026, shall be appointed by the athletics conference of which the University of Oklahoma is a member. ‘The HOME TEAM shall assume full responsibility for the management of the game and will retain all rights and controls to program, merchandise, parking, concession sales and other game related activities and revenues. ‘The HOME TEAM shall reserve one radio broadcast booth for a station designated by t VISITING TEAM for the purpose of broadcasting the game over the VISITING TEAM'S radi station or radio network. Contracting for the sale of radio broadcasting rights shall be the right of the HOME TEAM and the HOME TEAM shall receive all receipts that accrue therefrom. Notwithstanding the foregoing, however, the VISITING TEAM shall have the right to designate a single radio station or radio network to carry a live broadcast of the games played pursuant to this agreement without incurring an obligation to pay rights fees or other charges or fees to the HOME TEAM. The VISITING TEAM may retain revenues from its own broadcast permitted under this paragraph. A single station or radio network may be designated pursuant to this paragraph only if it and all of the stations within the networks are carrying fifty percent (50%) or more of the varsity men’s football ‘games being played by the VISITING TEAM during the season in which the game is to be played. A radio network, for the purpose of this Agreement, is defined as an alignment of one or more radio stations. Neither party shall grant or permit its licensees or rights holders to grant play-by-play broadcast rights for any of the aforementioned games to an entity which does not normally broadcast fifty percent (50%) or more of its varsity men’s football games during the regular season. Notwithstanding any of the foregoing, however, the VISITING TEAM, in its discretion, shall have the right to allow a non-commercial student operated radio station affiliated with the VISITING TEAM to broadcast within its ‘customary broadcast area any games played pursuant to this agreement without charges or fees charged by the HOME TEAM. ‘The parties hereto mutually desire that the game(s) to be played hereunder should have maximum media exposure. Each party may enter into agreements for radio cov (inclu with the provisions set forth herei TELEVISION: The University of Oklahoma acknowledges and agrees that (a) all rights to telecast or distribute (ive or delayed, whole or condensed (including highlights), throughout the universe, in any and all markets, in any and all languages and via any and all forms of media and methods of distribution and distribution technology) University of Michigan home football games have been assigned by University of Michigan to The Big Ten Conference, Inc. (“The Big Ten”), which in turn has entered into agreements with certain third parties for the telecast or distribution of such games, (b) University of Michigan has no ability to grant to The University of Oklahoma any rights for the telecast. or distribution of games played pursuant to this Agreement in which University of Michigan is the home football team, (c) the Big Ton shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement in which University of Michigan is the home team. The University of Michigan acknowledges and agrees that (a) the University of Oklahoma has entered into agreements with The Big Xil Conference and other third parties regarding all rights to telecast or distribute (live or delayed, whole or condensed (including highlights), throughout the universe, in any and all markets, in any and all languages and via any and all forms of media and methods of distribution and distribution technology) University of Oklahoma home football games, and The Big Xil Conference has, in turn, entered into agreements with certain third parties for the telecast or distribution of such games, (b) University of Oklahoma has no ability to grant to The University of Michigan any rights for the telecast or distribution of games played pursuant to this Agreement in which University of Okiahoma is the home football team, (c) the University of Oklahoma andior the Big Xil Conference shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement in which University of Oklahoma is the home team. Notwithstanding the foregoing, the respective rights, if any, of MICHIGAN and OKLAHOMA with respect to the telecast or distribution of games played pursuant to this Agreement in which they are the visiting football team may, as required or requested by their respective conference agreements, be governed by a separate agreement between the VISITING TEAM’s conference and the HOME TEAM, provided, that in the absence of any such ‘separate agreement, the terms of this Agreement shall control. USE OF GAME VIDEO: The VISITING TEAM shall have the right to produce films and/or videotapes of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches’ show only and for no other purpose. Such films andlor videotapes may not be replayed, used or otherwise distributed by the visiting team to any person other than the incorporation of up to eight minutes (8:00) of highlights of the game as part of a weekly coaches’ show and to its football team coaches and players. The HOME TEAM agrees to provide reasonable facilities for such cameras as may be reasonably required by the visiting team to produce such films and/or videotapes. Any other usage by the VISITING TEAM of game footage played pursuant to this Agreement shall be governed by a separate agreement between the BIG TEN and The University of Oklahoma. All costs involved in producing the video shall be the responsibility of the VISITING TEAM. Placement and coordination of the cameras will be subject to the rules, regulations and control of the Sports Information Office of the HOME TEAM. In no event shall the VISITING TEAM interfere with the filming of the game by the television network. ‘camera crew or the HOME TEAM. This Agreement shall be void in the event it becomes impossible to play the game by reason of disaster, fire, hurricane, tropical storm, flood, earthquake, war, act of terrorism, invasion, hostilities, rebellion, insurrection, confiscation by order of government, military Public authority, or prohibitory or injunctive orders of any competent judicial or other governmental authority. In such event, neither party shall be considered in default of this agreement. 10. 1". Either party failing to produce its team to play either or both of the scheduled game for reasons other than those stipulated in paragraph 9, shall pay the party not at fault the sum ‘of $1,000,000.00 per game for which it fails to produce its team as liquidated damages plus ‘any expenses Incurred in pursuance of this Agreement by the party not at fault, which sum shall be payable on or before December 1 following the scheduled game. The parties ‘agree that it is difficult to predict attendance, revenues, costs and expenditures for any event, so this sum reasonably represents the damages caused as a result of failure to appear. If a game is cancelled under this paragraph, the VISITING TEAM shall not receive the guarantee amount set forth in paragraph 3 above and may only be entitled to receive the cancellation fee as set forth in this paragraph. No cancellation fee shall be paid if the Parties mutually agree in writing to cancel a scheduled game. ‘The persons executing this Agreement on behalf of the respective parties hereto hereby that they are duly authorized and empowered to execute this Agreement. This Agreement is the total agreement between the two parties and supersedes all other agreements on the subject matter.
