FOOTBALL GAME CONTRACT ‘This AGREEMENT is made and entered into this Ist day of September, 2017, by and between the University of Louisiana at Lafayette (“UL Lafayette”) and Liberty University, Inc, (*Liberty’). UL. Lafayette and Liberty may be referred to individually as a “Party” or collectively asthe “Parties.” WITNESSETH that: 1, DATES AND LOCATIONS ‘The said parties mutually agree to cause their respective varsity teams to meet inthe city of Lafayette in the state of Louisiana on the 7th day of September, 2019 (where UL Lafayetie will be the “Home Team” and Liberty will ieand then in the city of Lynchburg in the state of Virginia on th (where Liberty will be the “Home Team” and UL Lafayette will be the “Visiting Team”) and there engagein a game of football (the game). Times TBD. 2 ELIGIBILITY The football game shal! be govemed in all aspects, including the eligibility of all players to participate, by the rules and regulations of its conference and the National Collegiate Athletic Association. 3. TICKET PRICES Ticket prices for each game shal be set by the Home Team, 4, GAME GUARANTEE ‘The Home Team agrees to pay the Visiting Team, as full and complete compensation, a flat dollar guarantee of $200,000 on or before the Ist day of February following each game. 5. BAND, CHEERLEADERS, AN! ‘The Band, Cheerleaders, and Mascot of each team shall be admitted free of charge provided they are in uniform, 6 TICKETS ‘The Visiting Team shall be allotted 500 tickets for sale (on consignment) to its followers. The Home Team will Provide visiting institution with 400 complimentary tickets. The Visiting Team shall also Tective 60 sideline passes at no charge, The passes are for the use by coaches, trainers, and ‘ther working personnel only. Sideline passes must be worn by all beuch personnel excep: for players in Full uniform, Al .GEMENT, The Home Team shall assume full responsibilty for the management ofthe game and will ‘elain all rights and controls to parking, program sales, and concession sales, OFFICIALS Officials forthe game shall be assigned by the Visiting Team's athletic conference, and the expenses of such officials will be paid by the Home Team for the game, RADIO, TELEVISION, AND OTHER BROADCAST RIGHTS (® Radio Rights. The Home Team (or its conference) for each Game covered by this Agreement owns and retains, nd is enitled to retain all zevezues derived therefrom, all tights to ereate and distribute live or delayed audio-only coverage of such Game, ‘provided that the Visiting Team may create and distribute, on anon-exclusive basi and retain the revenues derived thereffom, its own audio-only fill-game account ofthe Game for distribution by the Visiting Team’s regular season radio broadcasting necwork via terrestrial radio, satellite radio, intemet and other digitally distributed means. The Home Team for each Game shall provide to the visting team one radio ‘outlet location for the aforementioned broadcast. (b) Television and Other Distribution Rights. Except for the radio rights described in clause (a) above, the Home Team (orits conference) exclusively owns and retains, and is entitiod to retin all revenues derived therefrom, all rights to televise or otherwise \listribute audio, video or eudiovisual coverage of such Game and any and all portions (of such Game (whether live or delayed and including re airs and highlights) throughout the universe by any and all means, uses, and media now known or hereafter developed, Hand to the extent the Visiting Team has or will have any such rights, the Visiting ‘Team ircevocably assigns, conveys, and transfers all of such rights to the Home Team (and/or its conference) in perpetity. Notwithstanding the foregoing, (i) the Visiting ‘Team and its couference shall have the non-exclusive rights to crete end disrbute couch’s films of each Gare for use solely by the Visiting Team, professional spors leagues, and other colleges and universities solely for coaching and scouting purposes (and for no other purpose, including for general distribution oa any linear or digital networt), and (li) if the respective conferences of the Parties enter into a separate agreement deseribing the rights ofa Visiting Team (and/or its conference) to distribute audiovisual coverage of a game played between institutions fram such respective conferences, and such agreement remains in full foree and effect when any Game covered by tis Agreement occurs, the Visiting Team (and/or its conference) for such Page 2 of « 10, a Game shall have the rights as described in such agreement. (©) Other Rights. The Visiting Team for each Game covered by this Agreement hereby authorizes the Home Team (end its conference) to use (and to authorize each entity effecting or facilitating the telecast or other distribution of such Game to use) the trademarks and logos of the Visiting Team and the names and likenesses of the Visiting Team's individual players and coaches to promote and publicize such Game ‘and the participating teams aad institutions, provided that such trademarks, logos, ‘ames, and likenesses must not be used as an endorsement of any product or sewvies 07 jn connection with any politcal cause or candidate or in any manner prohibited by applicable NCAA rules and regulations. The Visiting Team for each Game warrants to the Home Team and its conference thatthe Visiting Team bas obtained the right to ticense the use of the names and likenesses of individual players and coaches for the ‘Purposes set forth in this clause (c), Notwithstanding the foregoing, in the event that {he Visiting Team notifies the Home Team (or its conference) no later than seven days Prior to the applicable Game that it was unable to secure the rights to use the names and likenesses of any ofthe Visiting Team’s individual players or coaches to promote and publicize such Game as provided above, the Home Team (and its conference) will refrain from using such name or likeness in a manner thet would inftinge any such ‘ecessary rights, and the Visiting Team will not be deemed to have granted any such rigbts hereunder, DEFAULT This Agreement may be terminated by either the Home Team or the Visiting Team in the event it becomes impossible or impractical to play the game by reason of fire, flood, hurricane, fomedo, earthquake, war, invasion, hostilities, rebellion, insurrection, athletic program termination, confiscation by order of the government, military or public authority o: prohibitory or governmental authority, including that of either Party's Conference of the National Collegiate Athletic Association, The football game will be cancelled and neither team ‘will be responsible to the other for any loss or damage as a result of said cancellation, No such cancellation will affect the parties’ obligations as to subsequent games covered by this Agreement DEFAULT PAYMENT Either Party failing to produce its team to play the scheduled game for reasons other then those stipulated in Article 1 shall pay the Party not at fault tae sum of $750,000 as reasonable and contemplated liquidated damages, which sum shall be payable within one week of the scheduled game. The terminating Party wll be responsible to make effort to find a comparable ‘opponent for the other Party. [Remainder of page intentionally left blank.
