FOOTBALL GAME AGREEMENT THIS FOOTBALL GAME AGREEMENT (‘‘Agreement”) is made and entered into by and between RICE UNIVERSITY (“Rice”) and UNIVERSITY OF LOUISIANA AT LAFAYETTE. CUL Lafayette”). Rice and UL Lafayette may be referred to herein individually as “Party” or “Team” and collectively as “Parties” or “Teams”. This Agreement is effective as of the last date of signature below. WHEREAS, the purpose of this Agreement is to formalize arrangements for varsity football games between Rice and UL Lafayette. THEREFORE, in consideration of the foregoing, the provisions and benefits outlined below, and for other good and valuable consideration, Rice and UL Lafayette agree as follows: 1 Event Rice and UL Lafayette mutually agree to cause theit varsity football Teams to play one another in games in accordance with the terms of the Agreement (“Game” or "Games". ‘The Games shall be held as follows: DATE LOCATION TIME September 10,2022 _ Rice Stadium, Houston, Texas TBD (Where Rice will be the “Home Team" and UL Lafayette will be the “Visiting Team”) CREAT cajun Field, Lafayette, Louisiana TBD (Where UL Lafayette will be the “Home Team” and Rice will be the “Visiting Team”) 2. Rules and Regulations The Games shall be yoverned by the rules of the National Collegiie Athletic Association (NCAA) as in effect al the time of the Games, 3. Eligibility of Team Members ‘The athletics eligibility of each Team member to Participate in each Game shall be governed by the rules and reguietions of his institution, the rules of his institution's athletics conference, and by the NCAA. 4. Officials ‘The Home Team's conference shall assign officials for the Game. The Home Team shall be responsible for any and all expenses of the officials. 5. Compensation ‘The Home Team shall provide the Visiting Team a Two Hundred Thousand Dollars and NO/100 ($200,000.00) fixed sum, cash guarantee on or before the Ist day of February foliowing each game. Tickets and Programs . a, Ticket prices shall be set by the Home Team. b. The Visiting Team shall be allowed up to four hundred (400) complimentary tickets. Any tickets not used by the Visiting Team shall be returned to the Home Team no later than thirty (30) days prior to the Game. ©. The Visiting Team's band, cheerleaders, and mascots in uniform will be admitted free of charge and are not considered part of the complimentary ticket allotment. Radio, Television, and Other Broadcast Rights a, Radio Rights. The Home Team (or its conference) for each Game covered by this Agreement owns and retains, and is entitled to retain all revenues derived thereftom, all rights to create and distribute live or delayed audio-only coverage of such Game, provided that the Visiting Team may create and distribute, on a non-exclusive basis, and retain the revenues derived therefrom, its own audio-only full-game account of the Game for distribution by the Visiting Team's regular season radio broadcasting network via terrestrial radio, satellite radio, intemet and other digitally distributed ‘means. The Home Team for each Game shall provide to the Visiting Team one radio outlet location for the aforementioned broadcast, b. ‘Television and Other Distribution Rights. Except for the radio rights deseribed in clause 7.a. above, the Home Team (or its conference) exclusively owns and retains, and is entitled to retain all revenues derived therefrom, all rights to televise or otherwise distribute audio, video, or audiovisual coverage of such Game and any and all portions ‘of such Game (whether live or delayed and including re-airs and highlights) throughout the universe by any and all means, uses, and media now known or hereafter developed. If and to the extent the Visiting Team has or will have any such rights, the Visiting Team irrevocably assigns, conveys, and transfers all of such rights to the Home Team (and/or its conference) in perpetuity. Notwithstanding the foregoing, (i) the Visiting Team and its conference shall have the non-exclusive rights (o create and distribute coach's films of each Game for use solely by the Visiting Team, professional sports leagues, and other colleges and universities solely for coaching and scouting purposes (and for no other purpose, including for general distribution on any linear or digital network), and (ji) if the respective conferences of the Parties enter into @ separate agreement describing the rights of a Visiting Team (and/or its conference) to distribute audiovisual coverage of a game played between institutions from such respective conferences, and such agreement remains in full force and effect when any Game covered by this Agreement occurs, the Visiting Team (and/or its conference) for such Game shall have the rights as described in such agreement, Parties acknowledge that the scheduled start time for the Game may be subject to change for the purpose of accommodating live television opportunities. © Other Rights. The Visiting Team for each Game covered by this Agreement hereby authorizes the Home Team (and itz conference) to ase (and to authorize each entity effecting or facilitating the telecast or other distribution of suck Game to use) the trademarks and logos of the Visiting Team and the names and likenesses of the Visiting 2 ‘Team's individual players and coaches to promote and publicize such Game and the participating Teams and institutions, provided that such trademarks, iogos, names, and likenesses must not be used as an endorsement of any product or service or in connection with any political cause or candidate, or in any manner prohitited by applicable NCAA rules and regulations. The Visiting Team for cach Game warrants 10 the Home Team and its conference that the Visiting Team has obtained the right to license the use of the names and likenesses of individual players and coaches for the purposes set forth in this clause 7.c, Notwithstanding the foregoing, in the event that the Visiting Team notifies the Home Team (or its conference) no later than seven (7) days prior to the applicable Game that it was unable to secure the rights to use the names and likenesses of any of the Visiting Team's individual players or coaches to promote and publicize such Game as provided above, the Home Team (and its conference) will refrain from using such name or likeness in a manner that would infringe any such necessary rights, and the Visiting Team will not be deemed to have ‘granted any such rights hereunder. 4. Rice and ULL acknowledge and agree that all television rights for the Game are subject to television agreements entered into by Conference USA and the Sunbelt (or any other conference in which Rice or ULL is a member) on behalf of their members. Tan unforeseen catastrophe beyond the control of either Home Team or Visiting Team (including, without limitation, acts of God, fires, floods, hurricanes, tornados, unusually severe weather, epidemics, earthquakes, war, invesions, quarantine restrictions, terrorist acts, strikes, failure of public utilities, athletic program termination, or confiscation by ‘order of the government, military or public authority or prohibitory or governmental authority, including that of Conference USA, the Sun Belt Conference, or the National Collegiate Athletic Association) makes it impossible or impractical to play the Game, this Agreement may be terminated. The Game will be cancelled and neither Team will be responsible to the other for any loss or damage as a result of said cancellation. No stich cancellation will affect the Parties’ obligations as to subsequent games covered! by this Agreement b. Cancellation of the Game under this Section shall not be deemed a breach of this Agreement. €. Notice of such catastrophe or disaster shall be given as soon as reasonably practicable. 10, Counterparts This Agreement may be executed in counterparts, each of which shall be deemed an original, but ail of which taken together shall constitute one and the same instrument, 11, Severability 1 any verm or condition of this Agreement or the application thereof js held invalid, such invalidity shall not affect other terms, conditions, or applications which can be given effect without the invalid term, condition, or application: to this end the terms and conditions of this Agreement are deciared severable. 12, Integration This Agreement contains the entire agreement between the Rice and UL Lafayette with respect to the subject of this Agreement and contains all of the terms and conditions agreed upon with respect to the subject of this Agreement, and no other agreements, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to exist or 10 bind the Parties; it being the intent of the Parties that neither shall be bound by any term, condition, or representations not herein written, Any alteration, variation, modification, ox waiver of provisions of this Agreement shall be valid only when it has been redueed to writing and executed by all Parties IN WITNESS WHEREOF, Rice and UL Lafayette have duly executed and delivered this Agreement as of the date first written above.
