Concessions, Parking, and Other income, ‘The Home Team shall have the exclusive right to sell programs and operate concessions and parking. All money derived from these and other similar activities shall be the sole property of the Home Team, 7. Attivalof Teams, ‘The Home Team and Visiting Team shall present themselves atthe site of the game atleast __18_ hours before the scheduled starting time of a game. On the day of the game, each team shal be present atthe site of the game atleast two hours before the start time. a tt et, ‘The Visiting Institution shall be provided space for one radio broadcast outtet for the non-exclusive regional terrestrial radio broadcast by the Visiting Insttution’s flagship station and additional terrestrial distribution on the Visiting Institution’s regional network of terrestrial radio stations, ‘The Host institution shall have unfettered regional terrestrial, national terrestrial and satelite radio rights, anc any other audio distribution method now know, existing or hereafter developed. Agreement to Telecast. Each game covered hereunder shall be available for telecasting by the Host Institution, The Host Institution shall have al rights of telecast, including, but not limited to, national ‘network television, national cable, Conference networks, Internet streaming, delayed telecasting, Uuniimited highlights, institutionally syndicated packages, and telecasting by any and all other means, ‘The Visiting Institution agrees to the following: |. The Visiting Institution may not telecast the game in any way or use any video from the Host {nsttution’s telecast of the game without the written permission of the Host Institution's conference; provided, however, that the Visiting Institutions shall be allowed the use of highlights of the games(s), not to exceed elght (8) minutes in length, forthe sole purpose of producing coach's shows and season highlight presentations. This permission, if granted, must be within any limits set by the Hast institution's conference or telecast rights holder regarding amount of video {time elapsed), where the video may be seen or accessed (i, national vs. local TV, website, mobile device) end any other restrictions. Notwithstanding the above, Immediately following the ‘conclusion of each game hereunder, the Visiting institution shall have the right to telecast audio ‘and visual highlights not to exceed elght (8) minutes in length on the Visiting institution's or the Visiting institution's conference's controlled and operated Network (e.g, Pac-12 network, Texas Longhorn Network, Big Ten Network, Mtn., etc.) 8. Contact ‘Questions dealing with interpretations of the Pac-12 Football Television Agreements should be addressed to the Pac-12 Associate Commissioner, Television, Questions dealing with interpretations of the Visiting Institution's conference Football Television Agreements should be addressed to the Visiting Institution's ‘conference Associate Commissioner, Television. 10, Expenses, Each party shall be solely responsible for its travel arrangements and shall be solely responsible for all costs and expenses associated with this Agreement, 11, Force Maleure, ‘A.game shall be canceled if it becomes impossible to play the game by reason of bad weather, an unforeseen catastrophe or disaster such as fire, flood, earthquake, terrorist act, or act of politcal sabotage, war, or confiscation; any order of government, miltary or public authority; or any prohibitary or injunctive order of any competent judicial or other governmental authority, civil or military. in such case, neither party shall be responsible to the other for any loss or damage. Cancellation of a game under this section shall not be deemed a breach of this Contract, Notice of the need to cancel a game shal be given as soon as possible, and the parties shall proceed to discuss any possible resolutions, Except as agreed by the parties, no such cancellation shall affect the parties' obligations regarding subsequent games covered by this Agreement. 12, Failure to Perform, ‘Should the Visiting Team fail to participate in a game other than for a cause described in Section 11, the Visiting Team shall not be entitled to any payment whatsoever from the Home Team. The Visiting Team shall also be responsible for all cancellation damages as specified in Section 13 of this Agreement. 13, Tetminath and (A) This Agreement may be terminated under the following conditions: 1. By mutual written consent of both parties signed by an authorized individual, li, Pursuant to NCAA Bylaws 28,7.2.1.1 and 20,9.9.2., IF Visiting Team at any point in time prior to September 3,2022 falls to maintain an average of 90 percent ofthe permissible maximum number of grants- inald per year In football over a rolling two-year period, then Visiting Team shall be considered in breach of this contract and subject to Damages as noted In (8) below. (8) __Hfeither party breaches this Contract or terminates this Contract for other than a reason set forth in Section 13, (i) or (i) above, that party shall pay to the other party no later than 90 days after the date of the breach the sum of One Million Dollars ($1,000,000), Oregon and Opponent have bargained for and agreed to the foregoing liquidated damages provisions, giving consideration to the fact that breach of this Agreement will cause the other party to suffer damages in the form of the loss of income and other economic and non- economic benefits, which damages are extremely difficult to determine fairly, adequately, or with certainty. ‘The partes further agree that the payment of such liuldated damages by shall constitute suficlent, adequate and reasonable compensation for any loss, damages or Injury suffered as a result of the breach. The foregoing shall not be and shall not be construed to be, 8 penalty. 14, Miscellaneous, ‘The rights and responsibilities granted hereunder are not assignable or transferable. If any clause or provision of this Agreement shall be deemed or held to be illegal, invalld or unenforceable, then such clause or provision shall be modified to the minimum extent necessary in order to make such clause or provision legel, valid and enforceable, There are no third party beneficiaries of this Agreement. This Agreement shall be binding upon and inure to the exclusive benefit ofthe parties hereto and thelr respective legal representatives, successors ‘and assigns where expressly permitted by this Agreement. This Agreement may be executed in multiple ‘counterparts, each of which shall have the full force and effect of an original, but all of which together shall constitute one instrument. This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes any and al prior understandings and agreements, written or oral. Oregon has a pre-existing agreement that contractually binds Oregon to exclusive use of Gatorade products 15, Grants-in-aid Certification Visiting Team hereby certifies that it currently, as of the date of its signature below, meets the requirements of NCAA Bylaws 18.7.2.1.1 and 20.9.9.2.1 which specifies that It has averaged 90 percent of the permissible ‘maximum number of grants-in-aid per year in football over a rolling two-year period. Visiting Team also agrees that If at any point prior to September 3, 2022 pursuant to NCAA Bylaws 18,7.2.1.1 and 20,9.9.2.3, Visiting Team falls to maintain an average of 90 percent of the permissible maximum number of grants-in-aid per year in football over a rolling two-year period, Visiting Team will be considered in breach of this contract and shall notify the University of Oregon in writing ofthis fact within five (S) business days of its first knowledge of this breach. Visiting Team shall be subject to Oamages as specified In 13(8) as noted above. ‘This Agreement may be amencled only ina writing signed by an authorized representative of each party. GAME TO BE PLAYED, The said parties mutually agree to play a college football game In Gainesville, Florida on the 1% day of October _2022 (the Game). The game time will be determined by the UAA. 2, PAYMENTTO VISITING TEAM. ‘The UAA agrees to pay the Visiting Team, as sole financial compensation for participation in the Game, the fixed sum of _$750,000_on or before _February 1 following the ame_, No other compensation will be due or owed the Visiting Team under this Agreement in connection with the Game. 3. VISITING TEAM TICKETS. The Visiting Team shall be provided 2,000 tickets to offer for sale to its fans and supporters (including Visiting Team band). All proceeds from ticket sales are to be paid to the UAA 30 days after receipt of the ticket invoice. 4, UNSOLD TICKETS. Any tickets that have been delivered to the Visiting Team, but not sold, shall be returned to the UAA no later than 30 days prior to each Game. Payment for any tickets not returned by this date will become the sole responsibilty of the Visiting Team. 5, SIDELINE PASSES. The Visiting Team shall be allotted a maximum of sixty (60) sideline passes for the use ‘of Coaches, Athletic Trainers, and working team personnel only. These passes shall be in addition to the tickets provided for sale and game admission for cheerleaders and mascot(s). Sideline passes must be worn at all times by all personnel with the exception of players in uniform. All Visiting Team sideline passes will be restricted to the visiting team area (between the 25-yard lines). Additional institutional credentials for Visiting Team working staff will be distributed the week of the Game provided a detalled Ust is submitted to and approved by the UAA in advance. 6, CHEERLEADERS AND MASCOTS. The cheerleaders and mascot{s) of each team shall be admitted free of charge provided they are in uniform and thelr attendance shall not be included in the game report, ‘unless otherwise agreed upon by both institutions, 7. VISITING INSTITUTION BOOTH. The Visiting Team will be provided access to one pressslevel suite on game day and allotted 12 passes for working team personnel and guests to use for entrance into the booth. 8 RADIO, TELEVISION, AND OTHER BROADCAST RIGHTS. ‘A. RADIO RIGHTS, The UAA (or its conference) owns and retains, and Is entitled to retain all revenues derived therefrom, all rights to create and distribute live or delayed audio-only coverage of the Game, provided that the visiting team may create and distribute, on a non- exclusive basis, and retain the revenues derived therefrom, Its own audlo-only full-game ‘account of the Game for distribution by the visiting team’s regular season radio broadcasting network via terrestrial radio, satellite radio, internet and other digitally distributed means. The UAA shall provide to the visting team one radio outlet location for the aforementioned broadcast, B. TVAND OTHER DISTRIBUTION RIGHTS, Except for the radio rights described In clause (a) ‘above, the conference of the UAA exclusively owns and retains, and Is entitled to retain all revenues derived therefrom, all rights to televise or otherwise distribute audio, video or audiovisual coverage of the Game and any and all portions of the Game (whether live or delayed and Including re-alrs and highlights) throughout the universe by any and all means, uses, and media now known or hereafter developed. If and to the extent the visiting team has or wll have any such rights, the visiting team irrevocably assigns, conveys, and transfers | allof such rights to the conference of the UAA in perpetuity. Notwithstanding the foregoing, (0) the visiting team and its conference shall have the non-exclusive rights to create and distribute coach's films of each Game for use solely by the visiting tearm, professional sports leagues and other colleges and universities solely for coaching and scouting purposes (and for no other purpose, Including for general distribution on any linear or digital network], and {ifthe respective conferences of the institutions party to this Agreement enter into a separate Agreement describing the rights of the visiting team (and/or Its conference) to distribute audiovisual coverage of a game played between Institutions from such respective ‘conferences, and such Agreement remains In full force and effect when the Game covered by this Agreement occurs, the visiting team (and/or Its conference) for such Game shall have the rights as described in such Agreement. ‘OTHER RIGHTS. The visiting team hereby authorizes the UAA (and Its conference) to use (and to authorize each entity effecting or facilitating the telecast or other distribution of such Garne to use) the trademarks and logos of the visiting team and the names and likenesses of the visiting team’s individual players and coaches to promote and publicize the Game and the participating teams and institutions, provided that such trademarks, logos, names and likenesses must not be used as an endorsement of any product or service or in connection. with any political cause or candidate, or in any manner prohibited by applicable NCAA rules ‘and regulations. The visiting team for the Game warrants to the UAA and Its conference that the visiting team has obtained or will obtain prior to the Game the right to license the use of the names and likenesses of individual players and coaches for the purposes set forth In this clause (c). Notwithstanding the foregoing, In the event that the visiting team notifies the UUAA (orits conference) no later than seven days prlor to the applicable Game that It was ‘unable to secure the rights to use the names and likenesses of any of the visiting team's Individual players or coaches to promote and publicize such Game as provided above, the UAA (and its conference) will refrain from using such name or likeness in a manner that ‘would infringe any such necessary rights, and the visting team will not be deemed to have ‘granted any such rights hereunder. D, CONTROLLING LANGUAGE, To the extent that this Section conflicts or Is Inconsistent with any ‘other language or provision in this Agreement, the terms and content of this Section shall control and supersede any other such language or provision. ‘BREACH OF CONTRACT. The Home Team will make every effort to find a suitable opponent given this notice, but if they are unable to, the Visiting Team will be in breach of contract and shall pay the Home Team $250,000.00 as reasonable and contemplated liquidated damages, 10. FORCE MAJEURE. In the event of fire, flood, hurricane, tornado, or other weather-related occurrences such as flooded field, lightning, earthquake, war, Invasion, hostilities, labor dispute, rebellion, insurrection, confiscation by order of the government, milltary or public authority or prohibltory or governmental authority, Including that of the Southeastern Conference or the National Collegiate ‘Athletic Association, or any circurnstance making it impossible or impractical to play the game, both parties shall be relieved of any and all obligations of this Agreement. The varsity football teams representing the respective Parties will play each other in the game in Seattle, WA, hereinafter called "game site," on Saturday, September 5, 2026, Saturday, September 12, 2026 or Saturday, September 19, 2026 final date to be determined bby the Host Institution, 2. For and in consideration of the participation by the Visiting Institution in the game, Host Institution agrees to pay to the Visiting Institution the sum of $575,000 no later than 90 days following the date of the game, In the event the game is held without ticket purchasing fans present, the participation fee will be reduced by fifty percent to $287,500. 3. Except as otherwise provided in section 17 of this agreement, each Party agrees to pay a forfeiture fee of $750,000 to the other Party should it cancel the agyeed upon game. A forfeiture fee will not be owed if the game is cancelled by either Party's respective Conference as that ‘would not be considered a cancellation by a “Party”. 4. Bach Party shall be governed by the eligibility rules of the National Collegiate Athletic ‘Association (NCAA) and the conference to which the institution belongs, and by its own institutional eligibility rules. 5, The game played pursuant to this Agreement shall be managed by the Host Institution 6. Visiting Institution shall receive 1000 com reniary tickets for said game. Visiting Institotion shail have the option of purchasing 4000 additional tickets for said game. Fifty (50) tickets may be setumed to the host institution four (4) hours prior fo game time, All other unsold tickets must be returned to the Host Institution by the Monday preceding said game. Visiting Institution will pay the Host Institution face value of any tickets not retuned in accordance with this schedule. 7. TELECASTS, GENERALLY. The Parties mutually desire that a game(s), to be played in accordance with this Agreement, should have maximum media exposure, including exposure via television and Radio if possible. Each Party may enter inio agreements for Telecasts so long as stid agreements are in compliance withthe provisions set forth herein. Each game covered hereunder shall be available for Telecasting by the Host Institution. Regarding such Telecast, the Visiting Institution shal agree tothe following: (a) The scheduled start time for the game is subject to change for the purpose of accommodating live Telecasting opportunities. (b) Any change in the date of the game shall require the consent of the Visiting Institution, which consent shall not be unreasonably withheld (©) The game shall not be available for Telecasting by the Visiting Institation CONFERENCE/HOST INSTITUTION'S TELECAST RIGHTS. For all references to the Host lastitution and Visiting Institution the involve a Pac-I2 Conference institution, all media rights ‘and any other grant of rights referenced herein shall be retained by the Pac-12 Conference, ‘except for local radio rights, which are retained by the participating institutions. For all references 10 the Host Institution or Visiting Institution that involve non-Pac-12 Conference Institutions, the media rights and other grant of rights referenced herein shall be controlled in- line with such institution's and affiliated conference's media agreements and other media rights policies. Visiting institution must obtain rights for any delayed telecasts from both the Pac-I2 Conference and the Host Institution, ‘The Host Institution agrees to provide adequate facilites at its home stadium for the filming of @ game by Visiting Institution for internal use only. These facilites will be provided without charge tothe Visiting Institution and without cost tothe Host Institution, RADIO. The Host Institution agrees to provide the Visiting Institution, no cost to it, adequate facilities atthe game site to originate, a non-exclusive regional terrestrial radio broadcast by the Visiting Institution's Magship station and additional terestril distribution on the Visiting Institution's regional network of terrestrial radio stalions. The Host institution shall ave unfettered regional terrestrial, national terrestrial and satelite radio rights, and any other audio {istibution method now known, existing or hereafter developed. The Host Institution also shall hhave exclusive rights to sell national terestral radio rights DISTRIBUTION OF REVENUE. All of the rights fee for a Telecast, if any, shall be retained by the Host Institution and its conference. There shall be no rights fee exchanged between the participating institutions for any Radio or audio webcast presentation ofa game. “The Host Institution shall have a medical doctor present and a standby ambulance atthe game site throughout the period of a game, Officials for he game shall be appointed by the Pas-12 Conference. ‘A game(s) shall be governed inal respects, including te eligibility of payers, bythe rues of the National Collegiate Athletic Association and the Conference and the institutional rules of, each Party.
