Swiftlet Ranching Share Farming Interest Scheme

The Edible-Bird's Nest (EBN) Swiftlet Ranching Interest Scheme (the "ESRIS Scheme/the Scheme") is the first swiftlet ranching business licensed by the Malaysian government and an investment scheme approved by Companies Commission of Malaysia (CCM). It is considered a low risk investment with expected high returns.

Swiftlet ranching activities are only viable in the South-East Asia region. As such, the ESRIS Scheme introduced by Swiftlet Eco Park Berhad is not only the first in Malaysia, but probably the only one in the world. Swiftlet Eco Park Berhad (SEPB), the promoter of the Scheme endeavours to employ professionals and adopt a systematic approach to developing swiftlet ranching and edible bird's nest industries on a large scale by pooling the resources generated underthe ESRIS Scheme.

Swiftlet Eco Park Group's core activities involve the planning, developing, marketing, construction and management of swiftlet ranches, in addition to collecting, processing, research & development, branding, and providing wholesale and retail (direct or otherwise) outlets of edible bird's nests and other related products. In view of the great speed of development of swiftlet ranching and bird's nest industries, SEPB aims to ensure that the growth of these industries is sustainable.

In line with Prime Minister Dato Seri Najib Razak's concept of I Malaysia, the launch of this Scheme will enable all Malaysians to participate in the thriving swiftlet ranching business and edible bird's nest industry.

History of Swiftlet Ranching

The "Bird House" phenomenon is not confined only to Malaysia's old houses. It started fortuitously a few hundred years ago in Indonesia. Legend has It that in the 1880s, a penniless farmer called Sukarnoma left his village for several years to seek his fortune. Upon his return, he was surprised to find that swiftlets that produce edible nests had made his dilapidated house their home.

Sukarnoma was well aware of the value ofthe birds' nests. Since swiftlets that normally dwell in caves had decided to settle in his old house, he believed that God must have bestowed upon him the good fortune. He thus decided to leave the house to the birds and stay elsewhere. That was how the f rst "Bird House" came about.

Presently, edible bird's nest-producing countries are in South-East Asia, with Indonesia, Malaysia and Thailand producing more than 95% of the world's production.

In Indonesia, custom-built ranching farms have been around for more than 100 years. However the haze caused by forest clearing in Indonesia 20 years ago drove away the swiftlets and they found new homes on Malaysian soil. Since then, custom-built swiftlet farms have begun to mushroom and bird's nest production started increasing steadily.

The Promising Future

With an improving economy comes better lifestyles and this in turn leads to an increased demand for health and nutntional supplements . The current demand for edible bird's nests from China, Hong Kong, Taiwan, Japan, South Korea, India and the Middle Eastern countries is rising. Moreover, as more bird's nest products surface in the market, namely beauty and skincare products, supplements, traditional Chinese medicine as well as health products, the future of the bird's nest industry looks more than promising with a surge of interest in its related products.

Malaysia is one of the major producers of edible bird's nests, with swiftlet ranching fiourishing and the number of bird houses increasing. With the pnce of edible bird's nests continuing to nse, the export prospects are great. If Malaysia seizes this opportunity and efficiently develops this Industry, edible bird's nest will surely bring huge foreign exchange into the country.

Currently, bird's nest production has reached 375 tonnes with a retail value surpassing the RM 1.5 billion mark. As there is still room for further expansion, the government has plans to develop this industry in a systematic manner. According to Minister of Agriculture & Agro Based Industry, Datuk Sen Noh bin Omar, the government, under the 10th Malaysia Plan, hopes to achieve a target of 100,000 bird houses by 2015 with a total production ofRM5 billion worth of edible bird's nests. This endeavour will be headed by both the private and public sectors.

Swiftlet Eco Park Berhad is a Malaysian Public Limited company and a member of the Swiftlet Eco Part Group of Companies. Its principal activities involve the management of the ESRIS Scheme, conducting research as well as ensuring developmentforthe Group.

The Group has a paid-up capital of over RM 10 million and its subsidiaries are involved in the planning, development, marketing, construction and management of the Group's customed-built and licensed swiftletfarms. They are Malaysia's first developer to build purposed-built swiftlet ranching farms with proper approval from relevant authorities, It first project in ManJung, Perak was developed in collaboration with the Perak State Development Corporation. Its success has become the model for future licensed custom-built farms and attracted other state authorities who have expressed Interest. Following inspections ofthe project, these states have started to initiate similar collaborations with the Group.

Commercially, the Manjung project is seen as the future direction for sustainable development of the swiftlet ranching industry. Its launch attracted much interestfrom existing players who have been operating without a license. Each phase of the launch was sold out due to strategic planning. The plan is to avoid overbuilding in only one area, forthis will affect the production ofbird's nest.

To date, the Group is developing 14 other similar projects allover Malaysia; it targets to complete 25 projects with I ,000 licensed buildings overthe next 3 years at a gross development value of RM500 million.

Other than upstream activities of swiftlet ranching, the Group is also involved in downstream businesses such as the collection and buying of raw bird's nest and its processing. It has also branched out into manufacturing, branding, wholesale, retail, directselling, setting up chain stores in addition to research and development.

What is Edible-Birdnest Swiftlet Ranching Share Farming Interest Scheme?

The booming swiftlet ranching and bird's nest industry has attracted many newcomers interested in the business. However, success stories are few and far between. The Group noted that smallholders often have limited resources and lack growth potential. To be successful in such an industry one needs huge capital, vast knowledge and time as well as practise risk spreading.

With smallholders facing such constraints, investors tend to be wary. However such fears will be allayed with the Scheme aiming to provide the near-perfect solution. By pooling together resources of smallholders and using an investment approach that is both professional and systematic, the ESRIS Scheme would be able to share the benefits of economies of scale with all involved. Much effort has been put in by the Group to obtain all the necessary approvals and licenses - under close scrutiny of the authorities - to launch this first ever licensed Swiftlet Ranching Interest Scheme.

According to projections by independent consultants, each unit ofthe Scheme would be able to earn RM270,000 in 35 years, an average annual return of over 75%! It is hard to find any investment scheme in the market now with similar projections.

There will be no return during the initial Investment period when the Scheme commences with the purchasing of farms and ranching activities start to pick up, waiting for the next generation of swiftlets to settle in the farms. Nevertheless, the Scheme has sufficient capital to provide for returns during the initial years in the form of vouchers. Investors will be given RM800 worth of vouchers to redeem quality bird's nest products in the first 6 years of investment. These vouchers

form part of the Guaranteed Return of the Scheme policy. Based on a RM 10,000# investment, an RM800 voucher represents 8% return per annum, much higher than the fixed deposit rates of 3% to 4% offered by banks or some unittrust companies.

From year 4to year 35, a yearly return will be derived from the bird's nest harvest. It is projected that for every one unit of investment, the return will be RM270,000. This projection has been verified by established independent swiftlet ranching consultants and the figures given are considered to be conservative estimates.

2. Trustee

One ofthe conditions imposed by CCM is the appointment of a trustee as custodian of the investment to safeguard the interest ofinvestors.

An established trustee approved by the Minister of Domestic Trade, Cooperative and Consumerism has been appointed forthe ESRIS Scheme to ensure that investment proceeds are employed in accordance to the trust deed and held by the trustee in a trust account, and not in the company's bank account.

Under the trust deed, the trustee is responsible for conducting due diligence on the company as well as holding and managing the trust account. The auditing and updating of accounts, which will be shown in the prospectus to be renewed every six months, monitoring of investors register for inspection by trustee and investors, and ensuringthattotal investment does not exceed the maximum number oflSU available for sale. It is also required to ensure that assets are sufficiently insured forthe duration of the Scheme.

In addition, the trustee has to see that the management company obtains prior approval before placing any advertisement. Italso has the rightto call for an extraordinary meeting (EGM) of investors should there be a winding up of the management company ortermination of the Scheme. Besides that, it will have regular meetings with independent consultants to discuss and monitor the progress of projects, visit sites of ranching farms for inspection of conditions and seek remedial action if necessary. It is also responsible forfollowing up on complaints by investors and conduct investigations thereon, and report to CCM should there be any non-compliance by the Management Company or default of the trust deed.

Swiftlet Eco Park Berhad is part of a group of companies with a paid up capital of over RM I 0 million. It is a pioneer in regularising swiftlet ranching activities, having worked relentlessly with authorities to make swiftlet ranching licensing in Malaysia a reality. The Group has also funded several research initiatives with local universities and medical institutions. The aim of these researches is to extract, analyse, process and preserve edible bird's nest in its most natural state without the addition of bleaching compounds or preservatives, and at the same time retain the nutritional and therapeutic properties ofbird's nest. 5. Proven Track Record

The Group's first project, Swiftlet Eco Park in Manjung, Perak is the first licensed custom-built ranching farm project in Malaysia. The project was conceptualised, developed and constructed, completed and handed overto the owners 10 months ahead of schedule.
