Public M&A experience: Successfully acted and advised on a wide range of public
company transactions including takeovers, acquisitions, corporate reconstructio
ns and equity capital markets transactions (e.g. institutional placements, right
s issues, share purchase plans and dividend reinvestment plans).
Private M&A experience: Advised clients on, and negotiated, private treaty sale
s, acquisitions and joint ventures. Advised on general corporate matters, includ
ing corporate governance, confidentiality agreements, directors' duties and comp
liance with laws and regulations.

* advised Mitchell Communication Group, REA Group and AXA APH on implementation
of their dividend reinvestment plans and preparation of shareholder documents (2

* acted for Transurban Group on its rights issue (2010) and SP AusNet Limited on
its proposed rights issue (2007)
* advised, and negotiated on behalf of, private investment groups on an asset ac
quisition from City Pacific Limited (2009) and attempted sale of businesses (200

Summary and achievements: Served as in-house counsel for two short-term assignm
ents with Transurban Group, the ASX listed toll road owner, operator and develop
er. Achievements included advising on the successful takeover defense (includin
g engagement with external counsel, due diligence and overall project management
) and assisting with the successful implementation of the security holder annual
general meeting.
