The basic purpose of the Sarbanes-Oxley Act is to protect both the investors in U.S.

securities markets and the integrity of those markets by protecting the whistleblowers. The whistleblowers are employees who report (blow the whistle on) securities violation by their employers from being fired or in any way discriminated against by their employers. The whistleblower protection is intended to encourage, support, promote honest and ethical behavior amongst employees by reporting wrongdoing in their organizations. In Collins v. Beazer Homes USA Inc., the court judgment applied the Sarbanes-Oxley Act by protecting Collins who reported securities violation in her company. Therefore, this case does not frustrate the basic purpose of the Sarbanes-Oxley Act. On the other hand, Carnero v. Boston Scientific Corp. is the case which would frustrate the basic purpose of the Sarbanes-Oxley Act. Although BSC is a Delaware corporation with headquarters in Natick, Massachusetts. It has operations in many countries throughout the world. Carnero accepted employment with a BSC subsidiary in Argentina, Boston Scientific Argentina S.A. (BSA), an Argentinian company. His employment agreement, entered into in Argentina although negotiated in various countries including the United States, provided that his place of work was BSA's headquarters (which is in Buenos Aires), that he would be paid in pesos, and that the employment agreement was governed by the laws of Argentina. Consequently, the court judgment did not apply the Sarbanes-Oxley Act in this case because he worked in foreign countries that the whistleblowing protections of the Sarbanes-Oxley Act (SOX) do not extend to foreign citizens working outside the United States for foreign subsidiaries of companies covered by SOX. In conclusion, Collins v. Beazer Homes USA Inc. is the case that is to protect investors in the U.S. securities markets and the integrity of those markets. The Whistleblower Protection Policy provides an avenue for ANZ's employees, contractors and consultants to report or escalate serious issues in a confidential way, without fear of reprisal, dismissal or discriminatory treatment. All disclosures made under the policy will be treated in a confidential, sensitive and secure manner, protecting the identity (where we are allowed by law) of employees who make a report.
