AGREEMENT FOR LEAVE & LICENSE This Agreement of LEAVE & LICENCE is made and entered into Mumbai

on this ___ Day of ______ 2009, Between MR. _____________________, aged about ____ years an adult Indian inhabitant, and having address ____________________; hereinafter called the LICENSOR (which expression shall unless it be repugnant to the context or meaning thereof shall be deemed to mean and include his heirs, executors, administrators and assigns) of the FIRST PART AND MR. ____________ ____________, aged about ____ years, an adult Indian inhabitant, and having address _______________________; hereinafter called and referred to as the LICENSEE (which expression shall unless it be repugnant to the context or meaning thereof mean and include his heirs, executors, administrators and assigns) of the OTHER PART.

2 Whereas the Licensor is the exclusive owner and is well possessed of a Shop/Office, being _______, ______________________, ___________________, ______________, ______________ Mumbai - ________ hereinafter referred to as the SAID PREMISES for the sake of brevity, more particularly described in schedule hereunder. AND WHEREAS the Licensee being in need of the said premises has approached the Licensor with a request to give him the said Shop/Office on Leave and License basis to carry on his business of in the said Shop/Office. The Licensors having agreed to the request of the Licensee to give the said Shop/Office for the period of _____ (__________) months. Commencing from _____ 200__ and ending on _________ 20___. NOW THIS INDENTURE WITNESSTH AS UNDER: 1. The Licensee have deposited a sum of Rs._____________/- (Rupees _______________ only) with the Licensor as security deposit for the due and proper performance of the said agreement. (The receipt whereof Licensor doth acknowledges at the foot of these Agreement - subject to realization of cheque).The said Deposit amount will not bear any interest and it will be refunded by the Licensor to the Licensee at the time of the Licensee handling over quiet vacant and peaceful possession of the said Shop/Office to the Licensor. 2. The Licensee shall pay to the Licensor a sum of Rs. ____________/- (Rupees _________________________ only) towards licensee fees, compensation every month to be paid regularly on or before the _____ day of month in advance. The society charges and monthly maintenance of the Shop/Office will be paid by the Licensor only. 3. That there shall be escalation of ____% in the monthly compensation after completion of each term period of 12 months, i.e. 4. Rs. __________________/- per month from 1st month till 12th month, 5. Rs. __________________/- per month from 13th month till 24th month, 6. Rs. __________________/- per month from 25th month till 36th month, 7. It is an obligation of the licensee to pay the said licensee fees on the said due date without any obligations on the part of the licensor to demand the same. 8. The Licensor doth hereby grant permission to the Licensee to use and occupy the said Shop/Office for Business Purpose only. The Licensee shall carry on the business under the Name and style of their choice and this license is strictly personal and Non Transferable. 9. The duration of this agreement will for a period of ___ (_____) months commencing from __________ and ending on ________. (Both days inclusive). 10. The Licensee hereby covenants and declares that: 11. It shall not claim any estate or interest in the licensed premises except its rights under this Agreement; In the event of any protection is granted to the Licensee under any law then also the Licensee shall not be entitliled to claim any such right or protection. 12. it shall not transfer, assign, sub-let, mortgage or create any charge, lien or encumbrance or grant license or part with possession of the Licensed Premises or any part thereof in favour of any person whomsoever. Provided however nothing contained herein shall be construed as preventing the Licensee from permitting the employees, and the family members servants an access to the Licensed Premises at all times, 13. It shall not conduct any illegal or immoral activities in the Licensed Premises; and shall obtain all the Licenses from the appropriate authorities at his own costs. 14. it shall not cause any nuisance, damage, disturbance, annoyance, inconvenience or interference to the owners, occupiers or users of any neighboring premises; 15. It shall use the Licensed Premises with proper care and caution as an ordinary men of prudence would do; and 16. It shall use the amenities, facilities and utilities provided in Licensed premises with proper care and caution as a prudent man would do and shall not cause any damages to the same and in the event of any damages caused to any of the aforesaid amenities, facilities and utilizes the same will be made good as the cost of the Licensee and in the event the

3 Licensee failed to make good of the same the expenses thereof shall be deducted by the Licensors from the security deposit and the balance amount of security deposit will be refunded back to the licensee by Cheque on termination of this agreement and handing over quiet vacant and peaceful possession of the licensed premises. 17. To pay all electricity charges on actual basis as per the Bills raised by the electricity supply undertaking, for the usage of electricity in the said premises. 18. To pay all bills raised by Telecom Services Providers and/or any other service provider for use of telephone, Mobile/ Internet Connection and/ or any other telecom facilities as may be installed in the said premises. 19. The Licensee shall not be liable for any loss, suffered by the Licensor by flood, Fire, Earthquake, Riot, strike, Malicious Damage, Acts of God or of authorities and/or any such similar act or eventually over which the licensee has no direct control. 20. The Licensee is hereby permitted to put up certain Furniture Fixture and Electrical; fittings, which are required for, better conduct of his business. The licensee is entitled to remove and take away the same at the expiry of this agreement and give possession of the Shop/Office/Office to the Licensor in the same condition in which he took it on the date of the commencement of this agreement, normal wear and tear accepted. 21. The Licensee shall conduct the business personally with the help of his employees and shall not introduce any other person in the said Shop/Office as his Partner/s; however his family members are permitted. 22. The Licensee shall not introduce any Sub-Tenant and shall not mortgage or create any charge, lien or in any way encumber the said Shop/Office or part thereof and shall always keep the same free from such encumbrances and shall not the give the business on conducting basis to any one. 23. The Licensee shall not change or make any alteration of any structural kind or nature in the said Premises or any portion thereof without the prior written consent of the Licensor. Further the Licensee shall ensure to obtain all the requisite approvals including but not limited to the statutory and municipal approvals for this purpose. 24. The Licensee shall conduct the said business lawfully and shall abide by the rules and regulations laws and by-laws of the central state Government and Local Bodies, and or other competent department/authority and shall keep the licensor indemnified from the same. 25. The Licensee shall obtain the necessary permission licenses etc., from the local Bodies of the Central/State Government and pay the necessary taxes like Income Tax, Sales Tax, Central Excise, Service Tax, Professional Tax or any other Taxes/levies etc of the Government/ and the local Self Government/Bodies and licensee shall keep the licensors indemnified from the same. The Licensee shall solely be responsible for all unpaid arrears of all such dues. 26. In case of future increase by the BMC/ and or any other Government Authorities by Virtue of this Agreement leave & license the same shall be borne & paid by the licensee. 27. Any Service Tax and or any other Tax by whatever name be called, which may be levied by the Government and or competent authorities due to this Agreement shall be paid and borne by the Licensee only and the Licensors shall not be responsible for the same. 28. The Licensee has undertaken to obtain all necessary requisite permission / order / sanctions are required under the law for the time being in force, from all the competent authorities, in respect of running said business activity and shall indemnify and shall keep always indemnified licensor against any claim, demand, etc. against the same. 29. It Is hereby specifically recorded that the licensee Is not and will not be deemed to be In full and exclusive possession of the said premises and the use and occupation of the Licensee will be permissive as a bare Licensee only and this Agreement shall not In any manner be considered as any lease, sub-lease, Joint or Co-tenant, sub-tenancy or confer any right, title or Interest, whether legal or equitable or beneficial or of whatsoever nature to the licensee in the said premises and the said premises shall always remain and be deemed to remain in full and absolute ownership of the Licensor. 30. The Licensee shall carry on the business in his name of their choice, and shall be responsible for all liabilities of the said business from the date of this agreement. The licensee shall carry on the business in the said Shop/Office at his own risk and shall be

4 liable personally for any act or deed that contrivance the provisions of law and shall keep the licensors indemnified from the same. 31. The Licensor has kept his Table space in the said premises and shall be entitled to use the same at his convenience. 32. The licensee shall pay the Electricity bill and Telephone Bills regularly and if there are any arrears the licensor will have the right to recover the same with penalty if any, from the licensee. 33. The License may be terminable under all or any of the following circumstances, namely: i) By efflux of time; ii) In the event of non-payment of compensation by the Licensee for a period of __ (___) months; iii) In the event of any government/regulatory agency (local, state or central) refusing to permit operation by the Licensee or permits the operation requiring major changes in the premises unacceptable to the Licensor; iv) In default of the faithful performance of any of the above conditions; v) That if the property or any part of it is severely damaged or destroyed due to any unforeseen circumstances or civil commotion, act of God, etc., and these damages be not restored to by the Licensor within the reasonable time or any Government authority altering or demolishing any portion of the building making it not suitable for the operation of the Licensee or if the property is acquired compulsorily by an authority. vi) If either party becomes subject to insolvency, bankruptcy, liquidation or dissolution. 34. The Licensee hereby covenants that this agreement is and shall always be deemed to be an agreement of leave and license and that the Licensee has been given the possession of the said Shop/Office to conduct and carry the business as a licensee only and there is no intention of the parties hereto create the relationship of a landlord and a tenant or Sub-tenant or irrevocable License by execution of this agreement of LEAVE AND LICENCE. The permission granted herein is strictly for the period set out herein. 35. The Licensee shall allow the licensor or their agents or servants to enter the said Shop/Office at all reasonable times for the purpose of taking inspection whenever as deemed necessary by the licensor. 36. That the LICENSOR shall remain at liberty during the term of the Leave & license, to sell or transfer its right in the said premises as a whole or in part or parts thereof to any person or more than one person. In such an event, the LICENSOR shall send a written intimation to the LICENSEE who shall inform to such transferee(s) on same terms and conditions as are contained herein. The LICENSOR shall ensure that the transferee issues a letter in favor of the LICENSEE confirming same terms and conditions which shall be binding on and the transferee acknowledges the security deposit paid by the LICENSEE to the LICENSOR. In other words, the transferee would stand substituted in place of the LICENSOR in respect of all covenants as agreed herein in this Leave & license. 37. In the event the entire building is required to be demolished for redevelopment, the Licensee shall cooperate with the Licensor and shall vacate the said Shop/Office forthwith and the agreement will stand terminated and the Licensor shall refund the security Deposit amount to the Licensee at the time of handing over the possession by the Licensee to the Licensor. 38. Upon termination of this license for any reason whatsoever, the Licensee shall vacate the Licensed Premises and hand over vacant, quiet and peaceful possession of the Licensed Premises to the Licensor, simultaneously against the Licensor refunding the security deposit after deducting the unpaid amounts payable by the Licensee and all other amounts due by the Licensor to the Licensee under this Agreement. 39. The Licensee has undertaken to obtain all necessary requisite permission / order / sanctions are required under the law for the time being in force, from all the competent authorities, in respect of running said Shop/Office and shall indemnify and shall keep always indemnified licensor against any claim, demand, etc. against the same. 40. The Licensee shall be allowed exclusive use of the said premises, as per the Trade License rules and incase the Licensee, under any circumstances, does not abide by the

5 above said rules then if any legal action is taken, or any penalty applied by the authorities then It shall be binding on the Licensee only. 41. The Licensee shall carry on his business at his own risk and responsibilities and shall pay and discharge his debts and liabilities or any taxes or any Government Statutory liability or any contingent liability of whatsoever nature, pertaining to said business and keep the Licensor indemnified against the same. The Licensee shall abide by the Rules Regulations and provisions of Law pertaining to his Employees and shall be liable for any breach thereof. The Licensee shall see that all his suppliers are duly paid the amount due to them, however in no event the premises or the right of the Licensor be jeopardized in any manner. 42. It has been mutually agreed between the parties hereto that due to any reason such as lock-out, strikes, etc. the licensee shall have to pay the deiced compensation regularly every month for whole period of leave and license agreement irrespective of the fact that the Licensee has used the premises or not. 43. That on expiry of the terms of the agreement or its earlier revocations as the case may be, the Licensee shall handover peaceful and vacant possession of the licensed premises forthwith. The parties expressly agree that only the Competent Courts of Jurisdiction at Mumbai shall have exclusive jurisdiction in all matters arising hereunder. In the event the Licensee fails to vacate the premises after termination period the Licensor shall be entitled to claim liquidated damages at the rate of Rs.______/- per day till the Licensee hands over the vacant and peaceful possession of the said Shop/Office. It shall be adjusted from the Deposit amount and then shall be recovered from the Licensee. 44. Either party shall have the right to terminate this agreement without assigning any reason by giving other party a _______ month written notice. 45. That both the Parties shall bear expenses of Stamp Duty and Registration equally. 46. That the Original Agreement will remain with the Licensor and Xerox copy of said Agreement shall be given to the Licensee. 47.
