1. (a)

PARTIES This document shall constitute the agreement between the [NAME OF VENUE] (hereafter “Sponsor”), and [NAME OF ARTIST OR COMPANY FURNISHING SERVICES OF ARTIST] (hereafter “Artist”) with respect to the presentation of a show (hereafter “Show”) The American Foundation of Foundations (hereafter “Sponsor”) has authorized the services of Mr. A. B. Meetingplanner (hereafter “Event Planner”) to be the Executive Producer of a Show featuring the Artist (hereafter “Artist”). The Event Planner shall work cooperatively with the Artist and Sponsor concerning the production of the Show and the fulfillment of the parties’ mutual obligations set forth herein. This agreement shall be deemed to have been entered into in [CITY, STATE] as of [DATE]. CONCERTS Sponsor wishes to engage Artist, and Artist hereby accepts Sponsor’s invitation to participate as artist in the show. and during any intermission(s) at the Concert.3. (a) (b) CONCERT OBLIGATIONS The Artist shall present a professional. high-quality venues for the Artist and for the public. BMI. and shall (i) make all appropriate arrangements to secure any and all necessary rights from ASCAP. no person other than Artist or any other artist specifically engaged to perform as part of that concert. COMMEMORATIVE RECORDING OF SHOW It is understood and agreed that the Show may be. The Sponsor shall remit to Artist the proceeds from the sale of Artist’s recordings. 8. (a) LIVE CONCERT AND ARCHIVAL RECORDINGS Except as provided in § 10. or any portion thereof. Artist shall furnish to the Sponsor biographical material relating to Artist as well as publicity photographs of the Artist at its earliest convenience.1 below. less the Sponsor’s commission as provided above. However. BIOGRAPHICAL MATERIALS AND PUBLICITY PHOTOGRAPHS 7. the Sponsor agrees to take reasonable steps to ensure that no person in attendance at the Concerts shall make a recording of the Concerts. REHEARSAL TIME The Sponsor agrees to provide the Artist with reasonable access to the performance instruments to practice prior to the Concert. 9.upon completion of the Concert. or any portion thereof. Artist is strongly encouraged to arrive in [CITY NAME] by [DATE] to ensure that Sponsor can reasonably accommodate Artist’s rehearsal requirements. ARTIST’S COMMERCIAL RECORDINGS The Sponsor agrees to sell the Artist’s recordings at the Concert. A copy of Artist’s portion(s) of the Commemorative Recording shall be sent to Artist as soon as practicable following the Concert.

Artist shall have the option to (i) arrange for another artist to perform the Concert. including rights in copyright and trademark. dollars and fifty cents ($7. the Sponsor shall refund to Artist any travel expenses incurred specifically in connection with the Concert. labor dispute or strike. 12. or any circumstance that is so unforeseeable in nature that the Sponsor could not have taken any measures to prevent. noncommercial demonstration. Artist authorizes the Sponsor to use any data that may be stored in the Instrument’s relays. Artist shall receive additional compensation of thirty (30) complimentary copies of the Commemorative Recording in the same final form in which the Commemorative Recording is released to the public. as the case may be. Artist’s authorization extends only to exclusively not-for-profit. earthquake. and/or record-playback systems of the performance instruments from the Concerts for demonstration. (c) The Artist shall also be entitled to purchase additional copies of the Commemorative Recordings. or (ii) terminate this agreement without penalty. loss of performance venue or instrument.S.

shall include any writing or written memorandum. should the Concert be cancelled for any reason. as well as reimburse Artist for any travel expenses incurred specifically in connection with the Concerts. without reference to the choice of law provisions thereof. oral. with respect to the subject matter of this agreement. the parties agree to maintain the confidentiality of the Confidential Material. The parties agree that the provisions of §§ 4-6 constitute confidential material (hereafter “Confidential Material”).” “in writing. Artist and the Sponsor. or implied. and shall not disclose or authorize the disclosure of any Confidential Material to any third party without the consent of the non-disclosing party. not contained within the present agreement. No party to this agreement has relied on any oral or written representation. This agreement shall be construed according to the laws of the State of California. the terms “written consent. The parties further consent to the jurisdiction of any competent state or federal court within the State of California for enforcement of the terms of this agreement. A. B.
