your resume seeking an employment with CRISIL Ltd. (CRISIL) and also the interview / discussions you had with us. We are now pleased to appoint you in CRISIL on the following terms and condition: 1. DESIGNATION, GRADE, DEPARTMENT AND LOCATION

your services are transferable to any of its establishments at the sole discretion of the Management.

2. DATE OF JOINING EffectiveDate 3. REFERENCE CHECK CRISIL shall undertake an education verification and past employers check based on the details provided by you at the time of joining. Your confirmation in employment will be subject to your being found suitable after a reference check with your previous employers and verification of your educational credentials as applicable. 4. MEDICAL FITNESS Your appointment and continuation in employment will be subject to your being certified medically fit by CRISIL's medical consultants from time to time. 5. BASIC SALARY

Rs. InWordsNewMonthlyBASIC/- (Rupees Only) per month. Your Remuneration Structure for the current financial year is detailed in the enclosed Annexure I. Increments are performance-based at the sole discretion of the Management. Salary, allowances and other benefits (together 'Compensation Information') are extremely confidential. You must not at any time before /or during your employment with CRISIL, disclose, divulge or reveal Compensation Information to any third party. Sharing Compensation Information with any third party including employees of CRISIL who do not have a need-to-know such details, will result in immediate termination of your employment without notice or payment in lieu of notice period.

6. HOUSE RENT ALLOWANCE House Rent Allowance will be given to you as per the rules of CRISIL. In case CRISIL provides accommodation, you will not be eligible for House Rent Allowance. 7. REIMBURSEMENT OF BUSINESS EXPENSES CRISIL will reimburse to you expenses incurred by you in the due and proper performance of your duties subject to your providing to CRISIL vouchers and other evidence of payment of such expenses as CRISIL may require. 8. MEDICAL BENEFITS You will be covered under the Group Mediclaim Family Floater Policy Scheme as per CRISIL rules. 9. LEAVE You will be entitled to Annual Leave and other Leave as per CRISIL's Leave rules. 10. PROVIDENT FUND Provident Fund shall be as per provisions of Employees Provident Fund Act, 1962 and as per CRISIL rules. 11. GRATUITY At the time of cessation of your employment, you will be entitled to Gratuity as per the provisions of the Payment of Gratuity Act 1972. 12. WORK TIMINGS You will be governed by the timings and hours of work applicable to the specific establishment/branch office where you are posted. CRISIL reserves the right to require you to work additional hours on weekdays / weekends / notified public and bank holidays, as determined by CRISIL for the proper performance of your duties with or without additional payment, as may be determined by CRISIL in its absolute discretion. 13. GENERAL i.) The following employee related documents are hosted on PeopleConnect - CRISIL's in-house Human Resources Information System: Performance Management System Compensation philosophy Relocation Policy Disciplinary Policy Policy on Discrimination Policy on Company provided accommodation LTA Facility for late working Travel policy Working hours Exit process ii.) The above documents in PeopleConnect form an integral part of the Employment Contract. Please therefore carefully go through these documents as they are binding on you.

iii.) It is an express condition of your employment that as you are a full-time employee of CRISIL, you will devote your whole time to CRISIL's business. You will not, undertake any other business, work or public office for consideration or otherwise. You will at all times act in the best interests of CRISIL. iv.) You will not disclose to any third party (including other employees of CRISIL who do not have a need to know such information) any Confidential Information i.e. information relating to CRISIL or any of the companies of CRISIL Group or their clients/ employees (CRISIL GROUP). You will not either directly or indirectly indulge in any unlawful or immoral acts either in the office or outside the office, including but not limited to thefts or physical abuse or cyber crimes. You will be bound by the rules and regulations as declared by the Management from time to time in relation to conduct, discipline, medical fitness, leave, holidays and all matters relating to terms and conditions of employment, designation, grade, compensation, benefits etc which may be changed by the Management in its sole discretion at any time during your employment with CRISIL. 14. CONFLICT OF INTEREST You agree that during the period of your employment with CRISIL, you will: Not directly or indirectly disclose to any person, firm or CRISIL or use other than for any legitimate purposes of CRISIL or a Group Company any Confidential Information; Not directly or indirectly receive or obtain in respect of any goods or services sold or purchased or other business transacted (whether or not by you) by or on behalf of CRISIL or a Group Company any discount, rebate, commission or other inducement (whether in cash or in kind) which is not authorized by CRISIL's rules. Not without the prior authority of CRISIL (other than in the ordinary course of your duties) remove from CRISIL premises or copy or allow others to copy the contents of any document, computer disk, tape or other tangible item which contains any Confidential Information of CRISIL GROUP; Return forthwith to CRISIL upon request and, in any event, at the date of cessation of your employment, all documents, computer disks and tapes and other tangible items (including mobile phone/s, credit card/s, vehicle/s, furniture, accommodation etc.) in your possession or under your control which belong to CRISIL GROUP or which contain or refer to any Confidential Information;

15. RESIGNATION FROM SERVICE For resignation you will have to give two months' notice to CRISIL. CRISIL may, in its sole discretion, agree to reduce the notice period and accept payment in lieu thereof, or may require you to serve your full notice period. During the notice period you are not entitled to any leave. 16. TERMINATION OF SERVICE CRISIL can terminate your services by giving you two month's notice or payment in lieu thereof. Your breach of any of the terms of this Employment Contract and in particular Sections 13, 14 and 19 hereof, shall render you liable, at the sole discretion of CRISIL, to summary dismissal without any notice or payment in lieu of notice; forfeiture by you in favour of CRISIL and

consequent non-payment by CRISIL to you all your terminal dues and to such further or other actions as may be determined by CRISIL in accordance with its staff policies or law.

17. RETIREMENT You will retire from the service of CRISIL on your attaining the age of 58 years. Your age as shown in the documents furnished by you at the time of commencement of employment shall be final and binding on you. 18. DATA PROCESSING AND PRESERVATION You consent to CRISIL holding and processing, both electronically and manually, the data it collects in relation to you and your employment with CRISIL, for the purposes of CRISIL's management and administration of its employees and its business and for compliance with applicable laws and regulations. 19. DECLARATION OF OATH OF SECRECY AND UNDERTAKING (ANNEXURE II) This Declaration is an integral part of your Employment Contract. We welcome you to the CRISIL family and look forward to having a mutually beneficial association. Additional Benefits The variable pay, upto a maximum of 18% of your Total Fixed Base Compensation (D), will be determined on the basis of evaluation of your performance under the Performance Management System and also the business performance and will be paid at the end of the appraisal cycle, provided that you are on rolls of the Company as of December 31 of the appraisal year Salary advance up to 15% of your Total Fixed Base Compensation can be availed after 45 days of joining (will attract perk value as per IT rules).
