PREAMBLE

WE,

INDIVIDUALS AND MEMBERS OF DULY REGISTERED CIVIL SOCIETY ORGANISATIONS working at National, District, and Community level in Uganda;

RECALLING our role to compliment Government programmes in order to improve the well being of the Ugandan people; AWARE that our ability and effectiveness to undertake effective advocacy to influence the policies, programmes, and practices of Government, Private Sector, for the benefit of the poor and marginalised, has hitherto been greatly hampered by the lack of a forum to debate, develop consensus and to systematically follow up on key issues of interest to us and our constituents; RECOGNIZING that the formation of Arise Foundation would greatly enhance our networking and effectiveness; RECOGNIZING further that we and partners have consistently expressed the need for Civil Society Organisations in Uganda to have a collective voice when addressing pertinent development issues of a social and/or economic nature; DETERMINED and COMMITTED to enhance our effectiveness and efficiency through creating a platform for developing consensus and a collective voice;

DO HEREBY RESOLVE TO FORM THE ARISE FOUNDATION TO BE

GOVERNED BY THE FOLLOWING CONSTITUTION.

Interpretation In this constitution: Seal shall mean the common seal of the organization. Constitution shall mean this constitution. AF shall mean the short form of Arise Foundation. Board shall mean the Board of Trustees of Arise Foundation. The Organisation shall mean the body corporate of Arise Foundation.

NAME The name of the organization shall be ARISE FOUNDATION ARTICLE 1:1 AF AF shall be the accepted short form of the name in Article 1.0 REGISTERED OFFICE The AF registered office shall be situated in the Republic of Uganda in Kampala or at any other location decided upon by the Secretariat. AF VISION To provide life skills and staff training to at-risk youth and the adults who care for them. AF GOAL To bring about Positive Youth Outcomes by the year 2020. AF MISSION ARISE's mission is to provide young men and women with the tools they need to survive, succeed, and become super-productive members of the society. OBJECTIVES 1. To provide life skills and staff training to at-risk youth and the adults who care for them. We enable youths to achieve their highest potential as law abiding citizens through ARISE group sessions conducted by well trained, caring ARISE Facilitators. 2. To provide care, financial, material, and psycho-social support to persons with disabilities(PWDs), orphans and other vulnerable children(OVCs) in the context of their families. 3. To support Education Service provision to underserved communities 4. To initiate and support sustainable livelihood initiatives focused on most at risk populations and their respective caregivers 5. To support promotion of marital fidelity among young marrieds and couple HIV counselling testing and referral. 6. To build partnerships and collaboration with other organisations with similar aspirations. 7. To recognise people who excel in various talents/professions/vocations as an inspiration to the young people. 8. To create awareness and do advocacy on various issues like health, human rights and environment. 9. To participate in both local and international meetings and forums in line with the activities of the organisation. 10. To promote business excellence and entrepreneurship especially among marginalised people groups like the young people.

AF CORE VALUES For AF to realize her vision, mission and objectives, the following carefully selected Core Values shall guide and promote work in the organization: Integrity and truthfulness; Moral and Work ethics; Transparency and Accountability; Confidentiality; discipline. THE AF ORGANS AF as an organization shall have the following organs. The Trustees The Executive Board The Secretariat/Management Team

ARTICLE 10.1: THE TRUSTEES The Trustees shall: 10.1 Be drawn from members of society/public as individuals of integrity recognized for their work and contribution to activities of goodwill. 10.1.2 Be 5 (five) and shall elect a Chairperson from among themselves at their first sitting. 10.1.3 Hold property and all other assets in trust for AF and her beneficiaries. 10.1.4 Constitute an advisory body to AF on matters of policy and to this end use their influence to promote her aims and objectives. 10.1.5 Select and appoint the Chairman of the Executive Board. 10.1.6 Have powers, in consultation with the Executive Board, to fill any vacancy falling on their number. 10.1.7 The Founder Trustees shall be: 1. Jude Nyanzi (Founder) 2. David Ssebowa (co-founder)

ARTICLE 10.2: THE EXECUTIVE BOARD 10.2.1 There shall be an Executive Board to provide day to day oversight, guidance and direction for the AF activities.

10.2.2 The Executive Board members shall hold office for 2 (two) years and shall be eligible for another term, provided that no Board member shall serve for more than two consecutive terms, but can again be eligible after resting for one term two years. 10.2.3 The provisions of 10.2.2 above notwithstanding, 2 (two) of the members of the pioneer Executive Board shall serve one third term without election, but by the decision of the Board in consultation with the Trustees to provide continuity. ARTICLE 10.3: FUNCTIONS OF THE EXECUTIVE BOARD 10.3.1 Implement the decisions and instructions passed on by the Trustees. 10.3.2 Be charged with the directing and overseeing the AF affairs as well as monitoring and evaluating her programs. 10.3.3 Ensure that all AF structures function efficiently and effectively. 10.3.4 In consultation with the Trustees raise funds and other resources for AF programs and activities. 10.3.5 Receive and consider reports from the Management Team before they are passed on to wherever they are needed. ARTICLE 10.4: POWERS OF THE EXECUTIVE BOARD The Executive Board shall have powers: 10.4.1 In consultation with the Trustees, to borrow funds on behalf of AF. 10.4.2 To institute or defend any legal action in relation to AF. 10.4.3 To arrange any settlement or adjustment of claims against or in favour of AF. 10.4.4 To set up committees or task forces composed of its members as may be deemed expedient. 10.4.5 To seek for expertise and co-opt the same to its committees or task forces. 10.4.6 To hire and fire staff in consultation with and or on the recommendation of the relevant committee(s) 10.4.7 In consultation with the Trustees to appoint external auditors. 10.4.8 To receive the Audited Accounts and Audit Statements and present the same to the Trustees.

ARTICLE 10.5: THE COMPOSITION OF THE EXECUTIVE BOARD 10.5.1 The Chairman 10.5.2 The Vice Chairman 10.5.3 Board members. 10.5.4 The Executive Director who will be secretary to the Board

ARTICLE 10.6: THE CHAIRPERSON The Chairman shall: 10.6.1 Chair and preside over all the meetings of the Executive Board. On behalf of the Board, ensure the efficient and smooth running of the AF offices and the implementation policies, decisions and programs. Work closely with the Executive Director. On behalf of the Board, provide oversight, guidance and support to the Management Team. ARTICLE 10.7: THE VICE CHAIRPERSON The Vice Chairman shall: Deputize in the absence of the Chairman. 10.7.2 Take charge of any committee(s) established by the Board. 10.7.3 Be responsible for staff welfare and other staff affairs. 10.7.4 Carry out any other duties given by the Executive Board. ARTICLE 10.8: THE BOARD MEMBERS The Board Members shall: Severally and or collectively attend all Executive Board meetings and fully and effectively participate in the deliberations. 10.8.2 Serve as members of committees and task forces as may be set up from Attend to any other activities as the Board may decide. Be atleast 3 (three) in number or any other number as decided by the Trustees.

ARTICLE 10.9: REMOVAL OF A MEMBER FROM THE EXECUTIVE BOARD OR THE TRUSTEES Two thirds of all the members of the Executive Board in consultation with the Trustees shall decide the removal of a member from the Board or the Trustees for conduct which grossly impinges on the core values of the organisation. Such a member shall be accorded a hearing before such a decision is taken. THE MANAGEMENT TEAM There shall be a Director who shall be appointed by the Executive Board in consultation with the Trustees on such terms and conditions, as the Executive Board shall agree. ARTICLE 11.1: FUNCTIONS OF THE EXECUTIVE DIRECTOR 11.1.1 Be the Executive Director (ED) of AF and shall manage the day to day affairs and programs as a full time employee. 11.1.2 Plan for the development strategies and other activities of AF. 11.1.3 Attend all meetings of the Trustees and the Executive Board as the secretary for both meetings and be responsible for recording or causing the recording of the minutes thereof. 11.1.4 Keep in safe custody the AF Seal and all the records, valuable documents, dossiers, books and files relating to her activities. Be in charge and have over-all control of the correspondences, publicity, and or the publications relating to AF. Be the Accounting Officer of AF and a principal signatory to the bank accounts. Make reports on the activities, functions, assets, finances and any other affairs of AF and present the same to the Board for consideration and forwarding. Work very closely with the Chairman and indeed the Board. ARTICLE 11.2: MEETINGS OF THE EXECUTIVE BOARD The Executive Board shall:
11.2.1 Meet as often as shall be necessary for the execution of its business

at the time and place as shall be agreed upon by the Chairman and the members. 11.2.2 Have as its quorum, for all purposes and meetings, two thirds of its members present.

11.2.3 Properly record and keep as its minutes all its deliberations and resolutions. 11.2.4 Hold extraordinary meetings as and when need arises.
ARTICLE 11.3: THE SECRETARIAT

11.1 There shall be a Secretariat consisting of all the employees of and volunteers to AF and headed by The Executive Director. 11.2 The secretariat shall, under the general supervision of the Executive Board, run the AF day-to-day affairs and perform all such other duties as the Executive Board may from time to time order through The Executive Director. VOTING Voting at all AF meetings shall be by consensus and or by show of hands as need may be and agreed upon. FUNDING The AF funds shall be raised from donations and grants by government or any other funding agencies both local and international. AF shall have powers to negotiate and receive funds including loans, if need be, from appropriate organizations and or individuals. BOOKS OF ACCOUNT All funds received by AF shall be banked in a bank or banks agreed upon by the Executive Board in consultation with the Trustees. All AF financial transactions shall be properly recorded in the Books of Account and or through a computer Accounting Package installed. SIGNATORIES The Executive Board shall decide on the signatories for the bank account(s) and any other financial transactions. AUDITORS The Executive Board in consultation with the Trustees shall appoint external auditors to audit the AF books of account annually. PROPERTY AF may acquire any movable or immovable property and or assets which shall be held on her behalf in trust by the Trustees. All such property or properties shall be marked and registered appropriately.

AMENDMENTS TO THIS CONSTITUTION Any amendment and or alteration to this Constitution shall be by two thirds majority vote of the Trustees on the recommendation of the Executive board. We, the several persons whose names and addresses are subscribed hereunder, do pledge to support and uphold this AF Constitution.
