SUMMARY OF THE CASE
Ashley Terrill is a journalist, researcher and writer. In 2015, she notified Defendantsabout a major story matter that she was researching andwriting about, and obtained Defendants'agreement to (1) maintainin strict confidencethe information that she would disclose toDefendants, and (2) provide assistance to her regarding the matter. Unbeknownst to Terrill,Defendantsconcealed that theywere working with the very subjects of Terrill's investigation andstoryandhad no intention of keeping their promises to her.Defendants then published a falseand highly defamatory hit-piece about Terrill, and in the process disclosed publiclytheconfidentialinformation that Terrill had disclosedpursuantto Defendants

2itinstrictconfidence. Terrill promptly demanded a retraction and removal of the false anddefamatory statementsabout her,andtheconfidential informationthat she had disclosed toDefendants. Defendants refused

. Defendants' wrongful acts have causedsubstantial damages to Terrill, including to her personal and professional reputation.
Defendants’
refusal to do anything to remedy theirwrongful acts have leftTerrillwith no alternative but tobring this lawsuit. Terrill seeks an award of no less than $10 million in damages.

Media, LLC (“Gawker”)
is a Delawarelimited liability company with its principal place of business located in New York City, NewYork.3.
Upon information and belief, defendant Sam Biddle (“Biddle”) is an individual,
domiciled in the State ofNew York.At all relevant times, Biddle was, and is,aSeniorWriteratGawker.4.
Upon information and belief, defendant John Cook (“Cook”) is an individual,
domiciled in the State of New York.At all relevant times, Cook was, and is, Executive Editor atGawker.5.Upon information and belief, Defendants, and each of them, were and are theagents, licensees, employees, partners, joint-venturers, co-conspirators, owners, principals, andemployers of the remaining Defendants and each of themare, and at all times mentioned hereinwere, acting within the course and scope of that agency, license, partnership, employment,

3conspiracy, ownership, or joint venture. Upon further information and belief, the acts andconduct herein alleged of each ofthe Defendants were known to, authorized by, and/or ratifiedby the other Defendants, and each of them.
JURISDICTION & VENUE
6.This Court has personal jurisdiction overDefendantsbecause theyhave minimumcontacts with the State of New York, and are domiciliaries of theState of New York.7.The Court has subject matter jurisdiction pursuant to28 U.S.C. § 1332(a)because there is complete diversity of the parties to this action and the amount in controversyexceeds $75,000.8.Venue is proper in this districtpursuant to 28 U.S.C. Section 1391(b), in thateachof the defendants reside hereanda substantial part of the events or omissions giving rise to theclaim occurred here.
FACTS RELEVANT TO ALL CAUSES OF ACTIONS
9.In or about October of 2013, Terrillpitchedtwostories to ELLE magazine aboutthe co-foundersof the billion-
dollar technology company and dating app “Tinder 
.
In
connection withher researchfor those stories,Terrill interviewed
with Tinder’s CEO, Sean Rad(“Rad”) and Vice President of Marketin
g,Whitney Wolfe
(“Wolfe”)
, among others.10.On or about October 21, 2013,
Terrill’s
interview with Wolfe was posted onElle.com.11.Inor aboutAprilof2014,Wolferesigned fromTinder.12.Two months later, onJune30, 2014,Wolfefiled a lawsuit against
Tinder, Tinder’s
parent companyMatch.com and their parent company, IAC, Inc.The lawsuit was premised on
