The Music Dealers Platform consists of two primary parts. Music Discovery: Proprietary platform which merges music terminology and agency speak. It currently supports searching a bed of 200k+ songs via a custom taxonomy of 300+ genres, 100+ moods, 200+ instruments, and 100s of additional proprietary tags. The search engine supports the building, sharing, and collaboration of playlists across users allowing the entire music search workflow to occur in the online platform. Additionally, a key aspect of the platform is the detailed granular permissions per user or group for any client to ensure that songs chosen are pre-cleared and acceptable for the planned use. The search platform functionality can be integrated via an auto-scaling API platform by customers or partners into external platforms. The search platform is built on top of Elasticsearch trumler as the core data provider with MySQL acting as the master record (both accessed via API). Music Creation: Proprietary platform to crowd source custom or pre-cleared music and artists for live performance opportunities. The platform is fully and independently scalable from the search engine for both performance and media storage across opportunities. The platform allows for minimal administration in order to collaborate with artists and clients directly through the application. Fully automated logging of song rights and agreement acceptance. It is also able to be leveraged as a platform for acquisition and vetting of new artists. In addition, the platform is built to leverage AWS resources but could be re-homed to another provider. The applications are built in PHP and Javascript, with libraries including Laravel, Drupal, and EmberJS. Music is streamed directly from low-cost cloud storage (S3) via auto-scaling custom streaming servers. A universal logging platform is integrated into all applications.

The Music Dealers catalog contains 250,000+ songs by 16,300+ global artists with 200,000 pre-cleared for sync across all media, any territory, in perpetuity. The Music Dealers majority of the catalog has been manually cleared, reviewed, and tagged for over seven years by in-house Music Dealers staff. All artists, who are on non-exclusive contracts, have been individually reviewed and all music has been “curated by ear” resulting in more than 3.6M tags applied to songs in the Music Dealers library. The curation blends the agency, creative, and music languages. The curation has proven to be of value in accelerating music discovery, directly improving the quality and speed of the creation of playlists. The curation also enables non-creatives to communicate with creatives on similar terms. Catalog metadata is also leveraged to source artists for custom music and events. Strength of proprietary metadata has been a significant differentiator for Music Dealers’ clients.
 
 
 A significant amount of time and effort has been spent to apply metadata to Music Dealerscatalog. It would take years for competitors to replicate the scale and detail of what Music Dealers has accomplished.

Having been completely rebuilt in 2015, the Music Dealers Salesforce platform has been customized for music licensing workflows and includes seven years of transaction data including 7,500 opportunities, 2,850 accounts, 9,700 contacts, and 29,000 leads.  An opportunity pipeline process drives sales, accounting, legal, and client interaction processes across distributed teams. Reporting, forecasting, and permissions based on regional sales team structure. It has been directly integrated with financial, marketing, and e-commerce platforms. Vendor & Artists and amounts due/paid are directly related to opportunities and managed on the platform. With the integration with the search platform API and financial systems, song, artist, and license data archived with every opportunity.

Music Dealers estimates that it has earned and is due to collect previously uncollected publisher share of royalties. Music Dealers, as part of its business, earns upwards of 50% of all publishing royalties on songs it has placed in broadcast media world-wide.  As an example, MTV has been a Music Dealers client since 2011 and is currently placing Music Dealers music over 1,000 times per month (note, the company collects 30-40% of publishing on these placements with Viacom). Music Dealers LLC has been working under an administration contract with the publishing arm of INgrooves to register, claim, and collect both past uncollected and ongoing royalties.
The foregoing summary is preliminary in nature and is subject to revision. Although the Assignee currently intends to offer for sale the assets in the lots described above, he reserves his rights in all respects, including his rights to withdraw certain assets from sale in whole or in part, to offer the assets for sale in other lots identified above, and to offer packages of lots in such combinations as he may determine in his discretion.
