ThisAgreementismadebyandbetweentheHartfordBoard
of
Education(hereinafterthe
 Board or HBOE )actingthroughDr.LeslieTorres-Rodriguez,itsActingSuperintendent,and
(hereinafter
 CUTLER
HODGMAN ).
Whereas,CUTLERHODGMANisemployedbytheBoardastheChiefLaborandLegal
Officer;
Whereas,CUTLERHODGMANhasbeenemployedbyHBOEsinceJuly2002;and
NOWTHEREFORE,inconsideration
of
themutualpromisesandcovenantscontained
herein,
the
Boardand
CUTLERHODGMAN
agreeasfollows:
1.CUTLERHODGMANherebyirrevocablyresignsandfullyandfinally
relinquishesanyandallclaimsandrightstoemploymentwiththeHBOE
effectiveJune30,2017.Uponexecution
of
thisAgreement,CUTLERHODGMANwilldelivertotheSuperintendentafullyexecutedletter
of
resignationintheformattachedheretoasExhibitA.2.CUTLERHODGMANwillbeonapaidleaveeffectiveMarch
13,2017
throughJune30,2017.CUTLERHODGMANagreestoconsultwiththeSuperintendent
regardingmattersrequiringherexpertiseorinstitutional/historicalknowledge
duringtheperiod
of
leave.
3.CUTLERHODGMANwillcontinuetoparticipateinHBOE'shealthbenefitplan
fornon-certifiedadministrators
onthesametermsand
conditions
as
are
applicabletoactivegroupmembers,subjecttotheinsurancecarrier'srulesuntil
August
31,2017.
4.TheBoard
shall
issueCUTLER
HODGMAN
all
thesick
leave
and
vacation
benefitsandpaymentsprovidedforintheapplicableEmploymentContractdated

theAgreement,andincluding,withoutlimitingthegenerality
of
theforegoing,anyclaimsarising
undertheTitleVII

theCivilRightsAct

orinconnectionwithCUTLERHODGMAN'semploymentwithHBOE.Thisreleasedoesnotincludeanyclaimsthatcannotbereleasedunderfederalorstate
law,includingclaimsthatfirstariseaftertheexecution
of
thisAgreement.6.ByentryintothisAgreement,HBOE,itssuperintendent,officers,agents,andoremployeesinnowayadmittoanywrongdoing,orliabilitytoCUTLERHODGMANandthisAgreementshallnotbeconstruedasanadmission
of
wrongdoing,liability,ordiscriminationbyHBOE,itssuperintendent,officers,agents,and/oremployees.Further,byentryintothisAgreement,CUTLERHODGMANinnowayadmitstoanywrongdoingorliability.
7.TheBoardunderstandsandaffirmsitsobligationtocontinuetoprovidea
vigorouslegaldefenseforalllegalmatterswhereinCUTLERHODGMANhasbeenorwillbeindividuallynamedinherofficialcapacityinaccordancewiththe
provisions
of
Conn.Gen.Stat.Section10-235.
8.CUTLER
HODGMAN
shallnotmake
any
derogatorystatementsordisparaging
remarkswhatsoevertoanyoneregardingtheActingSuperintendent.TheActingSuperintendentshallnotmakeanyderogatorystatementsordisparagingremarks
whatsoevertoanyoneregardingCUTLERHODGMAN.9.ThisSettlementAgreementshallbeinterpretedinaccordancewiththeplain
meaning
of
itstermsandnotstrictlyfororagainstany
of
thepartieshereto.
