Build,Own,Operate&MaintainPublicSafetyCommunicationsSystemAgreementMotorolaSolutions,Inc.("Motorola")andtheSayAreaRegionalInteroperableCommunicationsSystemAuthority,ajointpowersauthorityformedunderCaliforniaGovernmentCodeSections6500etseq.(the"Authority"),enterintothis"Agreernent,"pursuanttowhichMotorolawiltbuild,own,operate,andmaintaintheSystem(asdescribedbelow),andtheAuthorityandother"EligibleUsers"(asdefinedbelow)willusetheSystemandpay"UserFees"forsuchuse,andwfl!provideSites,andFacilities,andLicensedFrequencies(allasdefinedbelow)toMotorolafortheproperoperationanduseoftheSystem.MotorolaandtheAuthoritymaybereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties."ThePartiesdesiretoenterintothisAgreementwithreferencetothefollowingfactualrecitals.RecitalsA.ThisAgreementreflectsauniquepublic-privatecollaboration,pursuanttowhichtheAuthority,othergovernmentalbodieswhoareEligibleUserEntities,andMotorolawillcontributesignificantinvestmentsintermsofhuman,financialandotherresources,aswellasexpertise,timeandefforttothisimportantandcuttingedgeproject.Forexample,theAuthorityandothergovernmentalbodieswillprovideSites,Facilities,LicensedFrequencies,andtechnicalandlegalstaffandexpertise.MotorolawlllprovideSTOPGrantfundinganditsownsignificantfinancialresources,aswellasitstechnical,engineering,design,procurement,projectmanagement,andoperationalstaffandexpertise.B.ThePublicSafelySystemprojectdescribedinthisAgreementwillprovidecriticalcommunicationsnetworkinfrastructureforpublicsafetyusersintheSanFranciscoSayArearegion,representingmanydifferentcounties,citiesandagencies.TheSystemwillprovideinteroperabledatacommunicationsamongauthorizedusersespeciallyduringemergencies.ThePartiesintendtheSystemtoprovidealeve!ofSystemperformanceandreliabilitywhichissuperiortocommercialbroadbandsystemsforusebythegeneralpublic.C.Asdescribedbelow,thePartiesintendfullownershipofandresponsibilityforthisSystemtobetransferredtotheAuthorityattheendofthetermofthisAgreement.Therefore,itisbothimportantandnecessaryfortheAuthoritytounderstandtheSystemdesign,functionalityandperformanceoftheSystem,andeachofitscomponents.Finally,thePartiesintendthatallFederalCommunicationsCommission("FCC"),FCCEmergencyResponseJnteroperabilityCenter("ERIC"),PublicSafetySpectrumTrustCorporation("PSST"),NationalPublicSafetyTelecommunicationsCouncil("NPSTC"),andotherPublicSafetyBroadbandSystemorfrequencyuserequirements,includingall3rdGenerationPartnershipProject("3GPP")openstandardrequirements,areadheredtoandincludedintheresponsibflitiesdescribedinthisAgreement.AgreedStatementsRegardingTimingofDocumentsandExecution[toberemovedfromfinalexecutiondraft]ConfidentialPreliminaryDraftsforDiscussionPurposesOnlyNotForPublicDisclosure
IfthisAgreementisnotforwardedtotheMembersoftheAuthoritybyNovember18,2011,(i)MotorolareservestherightandmayadvisetheNTIAthatitwillnotpursuefurthertheSTOPGrant,and(ii)regardlessofMotorola'sactions,theNTIAmightrevokeitsapprovalofthisproject.TheAuthorityandMotorolaacknowledgethattherearecriticaltimeJineswithrespecttotheapprovalandimplementationoftheBOOMAgreement.TheAuthorityhasagreedthatitshalfdistributethefinaldraftoftheBOOMAgreementwhichisattachedtothislettertoitsmembersnolaterthanNovember18,2011.TheearliestdalethaitheAgreementcanbeformallyapprovedbytheAuthorityforexecutionunderitsgoverningdocumentsisJanuary16,2012.PriortoJanuary
