MaintainCommunicationsSystemAgreementMotorola,Inc.("Motorola")andAlamedaCounty("LeadEligibleUser"),throughitsSheriffsOfficeastheRegion2CoordinatorofmutualaidandtheexecutivesponsoroftheSayRICSinitiative(the"Sheriff),actingonbehalfoftheSayRICSPolicyGroupwhichisthegoverningbodyofthesharedSanFranciscoSayAreaRegionalInteroperabilityCommunicationsSystem("SayRICS"),enterintothis"Agreement,"
pursuanttowhichMotorolawillbuild,own,operate,andmaintaintheSystem(asdescribedbelow),andLeadEligibleUserandother"EligibleUsers"(asdefinedbelow)willusetheSystemandpay"UserFees"forsuchuse,andwillprovidetheirSites,FacilitiesandLicensedFrequencies(allasdefinedbelow)toMotorolafortheproperoperationanduseoftheSystem.MotorolaandLeadEligibleUsermaybereferredtoindividuallyasa"Party"andcollectivelyasthe"Parties."ThePartiesacknowledgethatthedeploymentoftheSystem(andthePublicAccessSubsystemasdefinedinSection3.11)willbefundedinlargepartbyAmericanRecoveryandReinvestmentActfunds,specificallyagrantfromtheDepartmentofCommerce("DOC")underitsBroadbandTechnologyOpportunitiesProgram("STOP"),AwardNumberNT10SIX5570089(the"STOPGrant').ThisSTOPGrantwillbeadministeredbytheNationalTelecommunicationsandInformationAdministration("NTIA").
ThePartiesacknowledgefurtherthatMotorolahascertainobligationsundertheSTOPGrant.Notwithstandinganyprovisionsuggestingthecontrary,thePartiesagreethattheywilleachperformtheirdutiesunderthisAgreementinamannerthatpromotescompliancewithallapplicablerequirementsoftheSTOPGrant,includingtheSpecialAwardConditions,andMotorola'sSTOPGrantobligationsand
requirementsshallsupersedeandtakeprecedenceoveranyconflictingtermsinthisAgreement.The

"Site"meansafacility,suchasatowerorbuilding,at,onorinwhichEquipmentorSoftwarewill
beinstalledaspartoftheSystem.

"Software"meanstheMotorolaSoftwareandNon-MotorolaSoftware,inobjectcodeformatthat
isfurnishedwiththeSystemorEquipment.
