Corporation (TYO: 6758, NYSE: SNE), commonly referred to as Sony, is a Japanese multinational conglomerate corporation headquartered in Knan, Minato, Tokyo, Japan. It ranked 73 on the 2011 list of Fortune Global 500 Sony is a global manufacturer of audio, video, communications and information technology products for consumer and professional markets. Sony Corporation is the electronics business unit and the parent company of the Sony Group, which is engaged in business through its six operating segments Consumer Products & Services Group (consumer electronics, game & network services), Professional, Device & Solutions Group (B2B products & services), Pictures, Music, Financial Services and Sony Ericsson.

Governance Related to the U.S. Sarbanes-Oxley Act


Sony

is subject to the Sarbanes-Oxley Act (SOX) regulations because it is a foreign private issuer of equity securities registered with the U.S. Securities and Exchange Commission (SEC) and subject to SEC reporting requirements. Sony has established "Disclosure Controls and Procedures," outlining the process through which potentially material information is reported from important business units. The "Disclosure Committee," comprised of officers and senior management of the Sony Group including those who oversee investor relations, accounting, corporate planning, legal, corporate communications, finance, internal audit, etc.

CODE OF ETHICS
Sony,

one of the world's foremost companies in the areas of consumer and industrial electronics and entertainment. Today, the corporation has a worldwide organizational infrastructure based on tried and true managerial systems to achieve environmental goals. Sony recognizes that its business decisions need to give due consideration to the interests of its various stakeholders. As part of a dialogue with its stakeholders, on June 2004, Sony invited one of the leading authorities in the CSR field, Mr. John Ellington, Chairman of Sustain Ability, to talk with Mr. Teruo Masaki, Group General Counsel of Sony Corporation.

What about CSR?


We

recognize the importance of corporations acknowledging accountability for their social responsibilities. In 2002, we published the Sony Social & Environmental Report that began to cover issues concerning our interactions with people. In 2003, we added more information about CSR and published the report under the new title CSR Report. This report refers to international standards and guidelines related to social and environmental activity reporting.

Sony Code of Conduct


The

Sony Group Code of Conduct sets the basic internal standards to be observed by all directors, officers and employees of the Sony Group in order to further strengthen the corporate governance. The Sony Group Code of Conduct refers to the Organisation for Economic Co-operation and Development (OECD) Guidelines for Multinational Enterprises. The Sony Group Code of Conduct will be conducted in stages throughout the Sony Group, to promote a thorough understanding of the meaning and importance of compliance.

Sony is committed to strong corporate governance. Sony, one of the world's foremost companies in the areas of consumer and industrial electronics and entertainment.
