is
hereby
agreed
by
and between
theBoard
of
Education
of
Regional
School
District
No.
7
(hereinaftercalled
the
"Board")
and
Dr.
Judith
A.
Palmer,
that
the
Board
in
accordance
with
its
votepursuant
to Connecticut
General
Statutes
$10-157on
the

hereby
employ the
said
Judith
A.
Palmer
as
Superintendent
of
Schools
of
Regional
School
District
No.7
and
Judith
A.
Palmer(hereinaftercalled
the
"Superintendent")hereby
accepts
employment
as
Superintendent
of
Schools
ofRegional
School
DistrictNo.
7upon theterms
and
conditionshereinafter
set
forth.Duties.
It
shall
be
the
responsibilityof the
Superintendent
to
meet
all
of
theperformancerequirements set
forth
in
her
job
description
as
well
as
thoserequirements
specifiedin
Board
policy,
in
particular,
the
Board's
policy
on
"Board-Superintendent
Relations"
(Approved
10126/76
and
Amended
ll/28189andTl20ll0).The
Superintendent
is
the chief
executive
offrcial
of
the
Board. In
harmony
with
the
policies
of
the
Board
of
Education
and
State
law, the
Superintendent
has
executive
authority overtheschool
system and
theresponsibility
forits
supervision.
Shehas
the
general
authority
to
act
at
her
discretion
subject
to
later
approval
by
theBoard
of
Education,
upon
all
emergencymatters
and
those
as
to which
her
powersandduties
are
not
expressly
limitedor
are
not
particularly
set
forth.
She advises
the
Board
on
policies
andplans
that
the
Board
takes
underconsideratioq
and
she
takes
the initiative
in
presentingto
the
Board
policy
and
planning
issues
for
the
Board'sattention.
The
Superintendent
or
her
designees as
approved
by
the
Boardshall
attend
all
meetings
of
the
Board
and
shallparticipate
in
all
Board deliberations,
except
when matters
relatingto
her
own
employment
are
under
consideration.The
Superintendent shall receive notice
of all
Boardcommitteemeetings
and
she
orher
designee
may
attend suchmeetings.
Professional Development.
In
anyyear
the
Superintendent
is
employed
by
Regional
School
District
No.
7,
the Board shallpay
for
the
Superintendent'sattendance
at
theannual
national
superintendent'sconference atthe
then current Regional
School
DistrictNo.
7
perdiemallowances.
Requests
to
attendandparticipate
in
additional
professional
development
courses
or
seminars
or
programs,
maybe
presented
to
theBoard
by
theSuperintendentand
theBoard
will
grant
suchrequests
at
its
discretion
within
availableresources.
The
Board
encouragessuchrequests.
Term.
The
term
of
employmentunder
this
Agreement
is
for
threeyears,
from July
l,
201I
to
June
30,
2014.
The
Superintendent
and
the
Board
agree
they
shall
adhere
to
the
fI.
m.
 
fv.
following
procedures
to
extend
the
Superintendent'semployment
for
an
additional
period
of
time.
Priorto
the end
of
the
first
yearof this
three-year
agreement,
the
Board,
at
therequest
of
the
Superintendent,
mayvote
for
a
new
agreement.
At
least
three
(3)
months
priorto
the
end
of
the
first
year
of
thisthree-year
agreement,
the
Superintendent
shall
notify
the
Board
of this
contractualrequirement
and shall
providetheBoard
with
a
copy
of
this
contract
clause.
Priorto
the
end
of
the
second
year
of
this three-year
agreement,
the
Board
shall vote
for
a
new
agreement.
At
least
three
(3)
months
priorto
the
end
of
the
second
year
ofthis
three-year
agreement,
the
Superintendentshall
notit/
the
Boardof this
contractual requirement
and
shall
provide
the
Board
with
a
copy
of this
contract
clause.
In
the
event
that
the
Superintendent
is
hired
fora
newterm,
a
new
contract
of
employment shall be
executed
by
the
parties
to
supercede
thisAgreement.
At
notime
shall
the
Superintendent be
under
contract
or
contracts
to
theBoard
for
a
period
greater
than
three(3)
years.
Notwithstanding anything
inthis
Section
to
the contrary, theprovisions
of
Section
VItr
shall take
precedenceand
the
Superintendent's
employment
may be terminatedunder the
provisions
of
said Section
VIII.
Salary Compensation.
The
total
base
salary compensation
shallbe
subject
to
the
State
Teacher
Retirement
Board
contribution
to
the
extent
allowed
by
law.
The
salary
compensation
for
subsequent
years
shall be
as
negotiatedbetween
the Board
and
theSuperintendent.
Any
adjustment
in
salarymade
during
the
life
of this
Agreementshall
be
in
the
formof
an
amendment
and
shall becomepart
of
theAgreementprovided,however,thatany
such
amendment shall not
be considered
to
be
the execution
of
a
new Agreement
or
an
extension
of
the term
of
this Agreement.
If
no
agreement
concerningsalary
isreached,
the
Superintendent's salaryshallcontinue
at
therate
for
theprecedingyear
until
an
agreement
is
reached.
Under
no
circumstances
shall
the
salary
compensation
for
subsequentyears
under
this
Agreementbe
less
than
the
salary compensation
for
the
prior
vear.
A.
BASESALARY
FOR
TF{E
2011-2012
SCHOOLYEAR:
An
annualized salary
of
onehundredand
fortytwo
thousand
eighthundred
dollars
($
142,800.00).
2.
As
an
additional
amount, the
Board
shallpayan amount equivalent
to
5oA
of
the
aforementioned
annual salary
on
behalf
of
theSuperintendent
to
a
Tax
Sheltered
Annuity
of
her
choice.
Salary compensation
rendered
underany
new
Agreementexecuted
as
a
result
of
an
election
of
the
Superintendent
shallbe
negotiated
by
the
Board
and
the
Superintendent

prior
to
the
commencement
of
the
new
term
of
employment.
Under
no
circumstancesshall salary compensation
for
the
subsequentyears
under
such
a
newcontract
belessthan
the salarycompensation
for
the
prior
year.
Fringe
Benefitsand
Working
Conditions.
The
following
benefits shall
be
effective
with
the commencement
of
employment:
The
Board
shallprovide
the
Superintendent
with
twenty
(20)
sick
days
in
each
year
of
the
agreement
cumulative
to
two
hundred
twenty(220)
days.
TheSuperintendentshall
not
be
paid
for
unused
sick
days
at
the
time of
termination.The
Board
agrees
that
the
Superintendent begins
this
contract
with
alltwenty
(20)
of
her
initial
allotment
of
sick
days available
for
use.
Unused
sick
days
are
notto
be
subject
to
payment
at
termination of
contract.
The Boardshallprovide
the
Superintendent
with
twenty-five
(25)vacation
days
annually,exclusive
of holidays.
Unused
vacation
days
maynot be
accumulated.
The
Superintendent
may, however,
request
that
unused
vacation
days
carry-overinto
a
subsequent
contract
year.
The
Boardshallprovide
the
Superintendent
with two
(2)
personaldays annually
in
order
to
conduct
pressing personalbusiness
that
cannot
be
conducted
at
any
other
time.
Personal
days
may notbe
accumulated.
The Board
will
provide
the
Superintendent
and
eligible
members
of
her
family
with
comprehensivehealth insurance
benefits
subject
to
apercentage
of
premium
cost sharing
as
follows:twenty
percent

The
Board
shall

the
deductible(whether

deductible).
If
there
is
any difference
between
this
document
and
the
Anthem
Contract,
the
provisionsof
theinsurancecontract
will
prevail.

CrosslBlueShield
Flexible
Dental Plan
for
the
Superintendent
and
family
members
with
$50.00
individual
and
$150.00
family
deductible
with
80/20co-insuranceup
to
$1,000.00
per person.
The Superintendent shall
be
reimbursed
for
out-of-pocket
expenses
incurred inthe
performance
of
herprofessionalduties
within
budget
limitations,including
but
