1. Definitions
MembershallrefertothemembersoftheNetwork,asoutlinedinSection3 NetworkshallrefertoTheSchoolofPublicPolicyandGovernanceAlumniNetwork. SchoolshallrefertotheTheUniversityofTorontosSchoolofPublicPolicyandGovernance

2. Objectives
TheNetworkhastwocentralObjectives: I.ToadvancetheconnectionsandskillsamongstMemberstodrivepolicydiscourseanddevelopment and, II.Toleveragetheskills,knowledgeandresourcesofMemberstosupporttotheSchoolanditsstudents, staff,facultyandalumni.

3. Membership
AllalumnioftheSchoolshallautomaticallybeMembersoftheNetwork.

4. Executive
AllExecutivesmustbeMembersoftheNetwork. TheExecutiveshallbecomprisedofaChair,aViceChair(Finance),aViceChair(Operations),ViceChair (Communications),aViceChair(Events)andaViceChair(Connections). TheExecutiveshalldevelopandpostpubliclywithintwomonthsofbeingelectedavisiondocumentto guidetheNetworksactivitiesoverthecourseoftheExecutivesmandate. ExecutivemeetingsshallbeopentoallMembers.Datesandtimesofmeetingsmustbepostedpublicly inadvance. WhenavoteisrequiredatanExecutivemeeting,theChairofthenetworkshallnotvote. 4.1TheResponsibilitiesoftheChair TheroleoftheChairshallinclude,butnotbelimitedto,theresponsibilityforscheduling,advertisingand chairingNetworkmeetingsforliaisingbetweentheNetworkandtheadministrationoftheSchool,the SchoolofPublicPolicyandGovernanceStudentUnion,theUniversityofTorontoAlumniAssociationand theUniversityofTorontoonallaffairsofinteresttoMembersforrepresentingtheNetworkatuniversity eventsforensuringthattheNetworksObjectivesareachievedandfortheoverseeingofrelatedExecutive business.TheChairshallbeacosigningofficerfortheNetwork.TheChairshallbeanonvotingmemberof theExecutive. 4.2TheResponsibilitiesoftheViceChair(Finance) TheroleoftheViceChair(Finance)shallinclude,butnotbelimitedto,theresponsibilityforfulfillingthe responsibilitiesoftheChairshouldtheChairbeunabletofulfillhis/herdesignatedresponsibilitiesforthe accountingoftheNetworksfinances,suchasbudgetdrafting,presentingayearendfinancialstatementat theAnnualGeneralMeeting,keepingallreceiptsofexpendituresauthorizedbytheNetwork,andfor reimbursinganyoutstandingfundsandchairingtheFundraisingCommittee.TheViceChair(Finance)shall

beacosigningofficerfortheNetwork. 4.3TheResponsibilitiesoftheViceChair(Operations) TheroleoftheViceChair(Operations)shallinclude,butnotbelimitedto,supportingtheChairinliaising withtheUniversityofTorontoAlumniAssociationliaisingwiththeNetworkscommitteesandtaking, approvingandpostingtotheNetworkswebsitetheminutesofExecutivemeetings. 4.4TheResponsibilitiesoftheViceChair(Communications) TheroleoftheViceChair(Communications)shallinclude,butnotbelimitedto,theresponsibilityforall aspectsoftheNetworkscommunications,includingthenewsletterandemailaddressesandshallbeanex officiomemberoftheEventsCommittee. 4.5TheResponsibilitiesoftheViceChair(Events) TheroleoftheViceChair(Events)shallinclude,butnotbelimitedto,theresponsibilityforallaspectsofthe Networksevents,includinghomecomingandchairingtheEventsCommittee. 4.6TheResponsibilityoftheViceChair(Connections) TheroleoftheViceChair(Connections)shallinclude,butnotbelimitedto,activelyfacilitatingand supportingtheongoingestablishmentandgrowthofAlumniChaptersandchairingtheMentorship Committee.

5. Meetings
5.1GeneralMeetings AnAnnualGeneralMeetingshallbeheldwithintwoweeksoftheSPPGsconvocationandatatimeand locationconvenienttoasmanyMembersaspossible.Themeetingshall,ataminimum,consistof finalizingnominationsforExecutivepositions,confirmingthedetailsoftheElectionProcedureandcalling forandvotingonamendmentstotheNetworksconstitution. Quorumshallconsistoften(10)percentofcurrentmembersoftheNetwork. ThechairoftheAnnualGeneralMeetingshallbeappointedbytheExecutiveatleastoneweekpriorto electionmeetings,andshallnotbeallowedtocastavoteforanycandidatenorstandforelectiontoan Executiveposition.ThechairdoesnotnecessarilyhavetobeaMember.ThechairoftheAnnualGeneral meetingshallberesponsibleforoverseeingtheelectionprocess.TheViceChair(Operations)shallprovide thechairoftheAnnualGeneralMeetingwithacompletevoterslistandemaillistattheAnnualGeneral Meeting. Votingmajorityshallbedefinedasasimplemajority,exceptwhenotherwisespecifiedinthisdocument. Atleasttwoweeksnoticemustbegivenpriortoameetingscommencement.Noticemust,ata minimum,bepostedclearlyontheNetworkswebsiteandcommunicatedtoMembersviaemail.Acallfor agendaitemsshallbepartofthisnotice. EffortsshouldbemadetoallowMemberparticipationthroughinternetbasedapplications,suchasSkype.

6. Elections

TheSchoolofPublicPolicyandGovernanceAlumniNetworkProposedConstitutionv7(21June2013)

6.1NominationProcedure TheNominationPeriodopenswhennoticefortheAnnualGeneralMeetingisgivenandcloses immediatelyfollowingthelastcallfornominationsattheAnnualGeneralMeeting. AllMembersareeligibletobenominatedforanExecutiveposition.Membersmaynominatethemselves ascandidates.MembersmaybenominatedbyotherMembers,butmustconfirmhis/heracceptanceof thenominationtotheViceChair(Operations)bythelastcallfornominationsattheAnnualGeneral Meetinginordertobeeligibleforelection. 6.2ElectionProcedure Electionsshallbeheldusingasecure,onlineballottoencouragebroadparticipationamongMembers. ThevotingprocedureshallbeestablishedattheAnnualGeneralMeetingwherenomineesfortheelection arefinalized.Theballotmustbeopenedwithin24hoursoftheconclusionoftheAnnualGeneralMeeting. Theballotshallremainopenfor7days.Thewinnersshallbeannouncedwithin24hoursoftheballot closing.

7. Bylaws,CommitteesandAlumniChapters
7.1Bylaws TheNetworkshallpassanybylawsdeemednecessarythatdonotconflictwiththeconstitutionsor statedpolicyoftheNetwork,theUniversityofTorontoortheUniversityofTorontoAlumniAssociation. SuchvotesshallbeheldattheAnnualGeneralMeetinganddeterminedbyashowofhands. 7.2Committees TheExecutiveshallhavetheauthoritytocreatecommitteesinaccordancewiththeNetworksPurpose. MembersmaysubmitarequestinwritingtotheExecutivewithaTermsofReferencetoestablishanew committee.TheExecutiveshallnotunreasonablyrefusearequestbyaMembertoestablishacommittee. AllcommitteesareopentoallMembers. EachcommitteeshallhaveaCommitteeChair.Amongotherthings,theCommitteeChairisresponsible forensuringthattheobjectivesofthecommitteearemetandforallcommunicationswiththeExecutive. CommitteemeetingsshallbeminutedandsubmittedtotheViceChair(Communications)inatimely fashion. TheCommitteeChairshallbeestablishedbyavoteofcommitteemembersatthefirstmeetingofthe committeefollowingtheAnnualGeneralMeeting.Thevotingprocedureshallbeestablishedinthe committeesTermsofReference. TheFundraisingCommittee,EventsCommitteeandMentorshipCommitteeshallbestandingcommittees oftheNetwork. 7.3AlumniChapters TheExecutiveshallhavetheauthoritytocreateAlumniChaptersinaccordancewiththeNetworks Purpose.AlumniChaptersshallonlybeformedaroundaspecificgeographiclocationoremployer. ToestablishanewAlumniChapter,aMembermustsubmitarequestinwritingtotheExecutivewitha

TermsofReference.TheExecutiveshallnotunreasonablyrefusearequestbyaMembertoestablishan AlumniChapter. EachAlumniChaptershallhaveaChapterChair.Amongotherthings,theChapterChairisresponsiblefor ensuringthattheobjectivesoftheAlumniChapteraremetandforallcommunicationswiththeExecutive. AlumniChaptermeetingsshallbeminutedandsubmittedtotheViceChair(Operations)inatimely fashion. TheChapterChairshallbeestablishedbyavoteofAlumniChaptermembersatthefirstmeetingofthe committeefollowingtheAnnualGeneralMeeting.ThevotingprocedureshallbeestablishedintheAlumni ChaptersTermsofReference.

8. FinancialResponsibilities
AnyfundsheldbytheNetworkshallbedepositedintoanaccountatareputablefinancialinstitution,and shallbetheresponsibilityoftheExecutive.Designatedcosignersmustcosignallcheques.Spending shallnotexceedannualrevenues.

9. Amendments
ConstitutionalamendmentsrequiresupportfromtwothirdsofMembersparticipatingattheAnnual GeneralMeetingwheresuchamendmentsareputforth.
