BYLAWS OF THE ASEAN SCOUT ASSOCIATION FOR REGIONAL

CO-OPERATION

ARTICLE 1
NAME AND DOMICILE

Section 1. Name. The name of the Association shall be the ASEAN


SCOUT ASSOCIATION FOR REGIONAL CO-OPERATION. Its principal
office shall be at the National Scout Organization of the Chairman.

ARTICLE II
PURPOSE

Section 1. Purpose. The purpose of this Association shall be to


encourage mutual co-operation and coordinate support from outside
organizations; to help in the development and promotion of Scouting in
the ASEAN and to address other Scouting issues as may be needed by
member organizations based on the principles of Scouting and the
ASEAN Charter.

ARTICLE III
PRINCIPLES AND POLICIES

Section 1. The Scout Oath and Law. All member organizations must
subscribe to the Scout Oath and Law and guided by the fundamental
principles of the Scouting movement.

Section 2. Declaration of Human Rights. The Association is open for


membership to all Scout Organizations, regardless of nationality, race,
creed and beliefs.

The activities of the Association shall be carried out under conditions


which show respect to all human rights.

Section 3. Policy Concerning Membership. Membership in the


Association is open to all member organizations that meet the
membership requirements.

Section 4. Policy Concerning Leadership. No person shall be approved


as a leader unless, in the judgment of the ASARC Conference, s/he
possesses the moral and educational qualities and emotional maturity
deemed necessary for leadership and satisfies such other leadership
qualifications it may require from time to time.

Section 5. Policy Concerning Political Questions. The Association or


any member organization shall not involve the Scout Movement in any
activity of a partisan political nature.

ARTICLE IV
MEMBERSHIP

Section 1. The Conference. In accordance with Article 2 and 4 of the


ASARC Constitution, the full-fledged member organization therein named
and all persons who are duly appointed by member NSO’s and qualified
as members of the Conference herein provided for, shall constitute the
Conference membership of the Association, to be known and designated
collectively as the Conference of the ASEAN Scout Association for
Regional Co-operation.

Section 2. Membership. The Conference of the ASEAN Scout


Association for Regional Co-operation shall consist of the a) NSO
National Chief Commissioner, b) NSO International Commissioner, c)
NSO Secretary General, and other duly appointed delegates herein
provided for.

Section 3. NSO Representatives. Each member NSO shall be


represented in the Conference by the National Chief Commissioner or
equivalent, the International Commissioner and the Secretary General or
other delegates it may designate, but not more than three (3).

Each NSO representative in the Conference shall be entitled to vote and


be voted upon in the position they are qualified for.

The members of the Conference shall each be entitled to one (1) vote.

Section 4. Eligibility for Admission. The procedure for application and


admission to ASARC shall be prescribed by the ASARC Board.
Admission shall be decided by the consensus of the Conference, upon
recommendation of the ASARC Board based on the following: That the
NSO:

a) Is located within the recognized geographical region of Southeast Asia


b) Is recognized by ASEAN Member States
c) Has agreed to abide and to be bounded by the Charter and
d) Is able and willing to carry out the obligations of a member NSO

Each NSO shall be admitted to ASARC upon signing an instrument of


accession to the Charter.

Scout Association not registered with WOSM can be affiliated to ASARC.


The procedure for affiliation and approval shall be prescribed by the
ASARC Board

In a country where there is no Scout Association, the membership can be
represented by an organization mandated by their respective government
to be an affiliate member.

ARTICLE V
ASARC MEETINGS

Section 1. ASARC Conference. The Association shall hold its


Conference once every three years at such date and venue as may be
determined by the ASARC Board for the following purposes:

a) Discuss the progress of the Association.


b) Hold appointments and elections of officers.
c) Consider recommendations and reports from WOSM and Regional
conference and make recommendations thereon.
d) Consider recommendations brought forward by members and make
decisions thereon.
e) Consider and ratify any proposed amendment to the ASARC
Constitution and transacting such other business as may properly
come before the meeting.

Section 2. Notice of Meeting. A notice of the ASARC Conference shall


be sent to each member at least sixty (60) days in advance of the
meeting, indicating the date, venue and the agenda. The date and venue
shall be decided upon by the ASARC Board.

Section 3. Special ASARC Conference. Special ASARC Conference may


be called at any time by the ASARC Board or upon a resolution by one-
fourth (1/4) of the total number of members; provided, however, that a
notice of such meeting, indicating the time, date, place and agenda
thereof shall be sent to member organization at least sixty (60) days in
advance of the meeting.

Section 6. Method of Election. With the exception of those whose


membership is otherwise provided for herein, members of the ASARC
Board shall be elected by show of hands or any means as the meeting
may decide during the ASARC Conference.

Section 7. Voting. At any Conference of the ASARC, each member in


good standing shall be entitled to one (1) vote.

Delegates representing organizations with an affiliation or observer status


shall have the right to take part in meetings, discussions and debates, but

shall not have the right to vote or be voted upon and to make or second
any nominations or resolutions.

Section 8. Quorum. The Conference shall have at least two-thirds of its


members present to constitute a quorum.

ARTICLE VI
ASARC BOARD

Section 1. Composition. The members of the ASARC Board shall consist


of:

a) The Chairman
b) Vice-Chairmen
c) The Treasurer

Section 2. Terms of Office. The terms of office of the members of the


ASARC Board shall be three (3) years.

The Chairman shall be rotated among ASARC members every three


years during the ASARC Conference from any National Chief
Commissioner or equivalent in the ASEAN NSO. The rotation will be
based on the name of the countries in alphabetical order.

All NSO National Chief Commissioners or equivalent who are not


Chairman shall be the Vice-Chairmen for a term of three years.

The Treasurer will be elected during the ASARC Conference for a term of
three years.

Section 3. Qualification for Membership. Official delegates from each


full-fledged member organizations are qualified to become members of
the ASARC Board.

Section 4. Filling of Vacancies. Any vacancy shall be filled up in a


manner provided herein and the one appointed or elected shall serve only
for the duration of the unexpired term.

Section 5. Regular Meetings. The ASARC Board shall meet at least


twice in three years in such dates and places as the Board may
designate.

Section 6. Special Meetings. Special meetings may be called by the


Chairman or upon the written request of at least two-thirds of the
members of the Board by giving two months notice.

Section 7. Notice of Meetings. A notice of all Board meetings shall be


sent to each member so as to be received whenever practicable, together

with a copy of the agenda at least two (2) weeks in advance of any
meeting.

Section 8. Quorum. At least fifty percent (50%) of the members of the


Board shall constitute a quorum.

ARTICLE VII

OFFICERS

Section 1. ASARC Officers. The officers of the Association who are


members of the Board are: the Chairman; the Vice-Chairmen; and the
Treasurer; the Secretary General and two (2) Deputy Secretaries
General, shall serve as the Secretariat of the Association.

Section 2. The Chairman. The Chairman shall chair all meetings and
conferences of the Association. S/he shall serve as ex-officio member of
all standing committees and other committees created by the ASARC
Board.

S/he shall be responsible for promoting at all times the best interests of
the Association, and shall take such measures to assure the growth and
development of the Association, and the attainment of all its objectives.

S/he shall have the power to create positions subject to the concurrence
of the ASARC Board to assist in the performance of his/her duties as the
highest ranking official in the Association.

S/he shall execute, on behalf of the ASARC, all documents, deeds or


notes duly authorized to be executed and perform such functions as
usually pertain to the Chairman and those elsewhere provided for in these
Bylaws.

In his/her absence or incapacity, the Vice-Chairman shall act on his/her


behalf.

S/he shall encourage/coordinate and support the Secretariat and member


NSO to take actions as per associations’ decisions.

S/he shall carry out any special actions as decided by the Association.

S/he shall submit timely and necessary recommendations to the ASARC


Board and shall perform such other duties that may be required by the
Board and the Association.

S/he shall submit, for the approval of the ASARC Board, a progress report
to the Conference.

S/he shall maintain close relationship with the ASEAN Secretariat.

Section 3. The Vice-Chairmen. The Vice-Chairmen shall, in the


absence or incapacity of the Chairman, act on his/her behalf. They shall
be ex-officio members of all standing and other committees created by
the ASARC Board and shall perform such other duties as may be
assigned to him/her by the Chairman and the ASARC Board. The Board
shall recommend the order of succession as to who among the Vice-
Chairmen will act on his/her behalf.

Section 4. Treasurer. The Treasurer shall be the Chief Financial Officer


of the Association. As such, S/he shall be the custodian of all funds and
financial assets of the Association and disburse the same as authorized
by the ASARC Board, and shall keep a full account of all monies received
and paid out.

Concurrently, the Treasurer shall be the Chairman of the Finance


Committee which shall have the responsibility of formulating and
enforcing the financial plans of the Association and of initiating and
supervising the preparation of the Budget, for the approval of the Board.

S/he shall render a complete report and detailed statement of assets and
liabilities and financial operations of the Association at each meeting of
the Board.

Section 5. Secretary General. The Secretary General shall be appointed


by the Chairman in consultation and approval from the NSO. S/he shall
serve as Secretary of the Conference, the ASARC Board, and all standing
and other committees created by the Board. Should the Secretary
General resign/retire, his/her NSO should recommend a replacement to
serve the unexpired term in the ASARC.

S/he shall act as Secretary of all meetings and conference of the


Association.

S/he shall keep all the documents and registry of the association.

S/he shall manage the communication and correspondence of the


Association

S/he shall implement the decisions made by the Association.

S/he shall support member NSOs in carrying out the decisions of the
Association.

S/he shall promote cooperation and mutual assistance amongst member


NSOs.

Relative to this duty, S/he shall keep himself informed of all major
developments affecting or likely to affect the Scouting Movement, and
keep himself/herself informed of conditions obtaining in the Scouting
Movement throughout the ASEAN and shall, in turn, keep the Chairman
and the ASARC Board regularly informed, of such conditions making such
recommendations as may be necessary.

S/he shall assist the Chairman, seeing to it that the Association is


performing according to the objectives, standards, rules and guidelines
set by the ASARC.

S/he shall make or cause to be made such studies and reports, for the
consideration of the Chairman and the ASARC Board, as may be proper
to promote the interests of the Association and the Scouting Movement.

S/he shall be the custodian of the seal of the Association and shall affix
the same, duly attested by his signature, to such documents, charters,
deeds and notes as may require it.

ARTICLE VIII
ASARC COMMITTEES

Section 1. Organization of Committees. Whenever the need arises, the


Chairman with the approval of the Board may create standing, special or
ad hoc committees to help carry out the objectives of the Association.

ARTICLE IX
FINANCE AND PROPERTY

Section 1. Receipts to Cover Expenses. The expenses of the


Association shall be met from grants by the government or any financial
or charitable institution and proceeds from other sources as may be
determined by the Board.

Section 2. Contributions. The contributions shall be solicited in the


name of the Association only through or by the Board.

Section 3. Funds Disbursement. The funds of the Association shall be


disbursed only upon the authority of the Board in the manner set forth in
these Bylaws.

Section 4. Depositories. All funds shall be deposited in such depository


banks or financial institutions as the Board may designate.

Section 5. Receipts for the Benefit of Scouting. All monies received by,
or for the benefit of the Association and all properties acquired by shall be

deemed to be received or acquired for the benefit of Scouting as
interpreted and promulgated by the ASARC.

Section 6. No Authority to Bind. No member NSOs shall have authority


to bind the Association to any financial or other obligations whatsoever.

Section 8. Aid and Donation. Any donation or contribution which from


time to time may be made to the Association by any public or private
entities or individuals shall be expended by the Board in pursuance of
the aims and purposes of the Association.

ARTICLE X
SEAL
Section 1. The Seal. The Seal of the Association shall be in the form of
a circle enclosed by a reef knot; at the center Fleur-de-lis with the ASEAN
logo on the foreground and the with the words "ASEAN Scout Association
for Regional Co-operation" around the circle. It shall be used only as duly
authorized.

ARTICLE XI
AMENDMENTS

Section 1. Amendments. Any provision of these Bylaws, except those


that are specifically prescribed in accordance with the ASARC
Constitutions, may be amended by an affirmative vote of two-thirds (2/3)
of all members NSOs.

ARTICLE XII
EFFECTIVITY

Section 1. Effectivity. These Bylaws of the ASEAN Scout Association for


Regional Co-operation shall become effective upon adoption and
ratification by a majority vote of member NSOs.
