SHRM IRS 2009 990 FILING

SUMMARY

The IRS Form 990 is an annual reporting return that certain federally tax-exempt organizations must file with the IRS. It provides information on the
filing organization's mission, programs, and finances. SHRM is subject to these requirements.

It is our understanding that the 2009 990 report was due five months after the close of the organization’s fiscal year. Thus, in
SHRM’s case the report was due by May 2009. However, SHRM utilized all possible extensions, and did not file the 990 report
until November 2010.

This is a brief analysis of the 2009 990 report including the SHRM reported investments in other countries, as well as the
compensation of what is considered “key” staff as well as the Board of Directors, if they are compensated, as they are in
SHRM’s case.

2. There is a requirement within the IRS 990 submission to report the compensation of Officers, Directors,
Trustees, if they are compensated. That part of SHRM’s 990 report shows the following.
