Randy Alan Weiss, Esq. Weiss LLP 1150 Connecticut Ave., N.W., Suite 900 Washington, D.C. 20036 Re: Lorenz, Inc. Dear Mr. Weiss: This responds to your letter of October 11, 2011 to the City Administrator, setting forth what you describe as a "settlement offer" and containing a set of lightly veiled threats. As you are well aware, in this matter, the District opted, in accordance with the terms of its contract, not to exercise the option in our contract with your client, Lorenz, Inc. It is well-settled law that the government has full discretion to decide whether to ,exercise its option to extend such a contract. Since the District is under no obligation to extend the contract, no settlement negotiations are warranted. Further, your client, having decided to pursue this matter initially in the press, is in no position now to propose how the District should handle press relations resulting from your client's choice to paint as improper the perfectly legitimate decision of the District not to exercise its option under the contract. Should your client insist on litigating, as implied in your letter, you may be assured that the Office of the Attorney General will vigorously, and we believe successfully, defend the District. Sincerely,

J~ili~
