PURPOSE
The purpose of this memorandum is to provide the Mayor and members of the City Council withinformation to consider entering into a Purchase of Service Agreement with Public Action toDeliver Shelter ( PADS.)
RECOMMENDATION
It is recommended that the City Council approve the Purchase of Service agreement with PADSof Elgin, Inc., providing financial support in the amount of $30,400.
BACKGROUND
PADS.has requested the City to provide financial assistance to the agency in its efforts to provideovernight shelter and meals to the homeless. Support in the amount of $30,400 is being sought.These funds would be used solely for operating expenses, including site coordinator salaryexpenses.PADS of Elgin is a seventeen year old organization that exists to support homeless men, womenand children, with the majority of them coming from the Dundee, Elgin, and Hanover Townships. PADS operates an overnight emergency shelter that is hosted by area churches.During the 2005-2006 shelter season PADS of Elgin hosted 385 different guests, including 94women and 6 children. In total, PADS provided 8,832 safe nights of shelter, which includeddaily breakfasts to the homeless residents of Elgin Township.The mission of PADS is to break the cycle of homelessness by comprehensively addressing theneeds of the local homeless population. To accomplish this, PADS not only provides emergencyshelter, but also operates a full service case management program. Case workers are available 7nights a week at the shelter site and also 5 days a week at our offices. PADS also currently partners with many organizations to increase the variety of services they offer including theEcker Center, Community Crisis Center, Renz Center and Greater Elgin Family Care Center.

There are sufficient funds budgeted ($30,400) and available ($30,400) in the Riverboat Fund,account number 275-0000-791.80-29, to enter into the Purchase of Service Agreement withPADS of Elgin, Inc. for a total of $30,400.

PURCHASE OF SERVICE AGREEMENTTHIS AGREEMENT is made and entered into this____ dayof______________, 2006, by and between the CITY OF ELGIN, Illinois,a municipal corporation (hereinafter referred to as the “City”),and PADS of Elgin, Inc., a not-for-profit corporation organized andexisting under the laws of the State of Illinois (hereinafterreferred to as the “Service Provider”).WHEREAS, the City has determined that it would serve abeneficial public purpose to enter into an agreement with theService Provider for the Service Provider to provide certaincontract services as described in this agreement; andWHEREAS, the Service Provider represents that it has thenecessary expertise and experience to furnish the Subject Servicesupon the terms and conditions set forth in this agreement.NOW, THEREFORE, in consideration of the mutual promises andcovenants contained herein, the sufficiency of which is herebyacknowledged, the parties hereto hereby agree as follows:1. The Service Provider shall provide all of the servicespursuant to the terms and conditions and on the dates and times asdescribed in the document entitled PADS of Elgin, Inc. - Scope ofServices for 2006 Purchase of Service Agreement, attached hereto asExhibit A and made a part hereof (such services including theterms, conditions, dates and times are hereinafter referred to asthe "Subject Services"). In the event of any conflict between theprovisions of this agreement and the provisions in Exhibit A, theprovisions of this agreement shall control. The Service Providerrepresents and warrants that the Service Provider has the skillsand knowledge necessary to conduct the Subject Services providedfor in Exhibit A and that the Subject Services set forth in Exhibit A are integral parts of this agreement and may not be modified,amended or altered except by a written amendment to this agreementagreed to and executed by both parties hereto.2. The Service Provider shall address all inquiries andrequests made pursuant to this agreement to the Assistant CityManager of the City or his designee.3. In connection with the Subject Services to be performedon other than City properties, the Service Provider warrants andagrees to maintain all facilities and equipment used in theperforming of the Subject Services in a clean, sanitary and safecondition and free from defects of every kind whatsoever.
