CORPORATION ORDER FORM

THIS GENERAL SERVICE AGREEMENT (the "Agreement") dated this __ day of _____, 2017

BETWEEN:

______________________________________________________________________________

Keep It Simple Product Company__________________________________________________

(the "Contractor")

Services Provided

1. The Client hereby agrees to engage the Contractor to provide the Client with services
(the "Services") consisting of:

o Keep It Simple Product Company will produce Back to School Kits that will be
made to meet some of the school supply needs for Pre-K up to 6 Grade students.
o Each Back to School Kit will have signage showing the company name and logo
and this service will be included in the price. Signage will be provided by the
Client
o Keep It Simple Product Company will place an information flyer provided by the
Client into each kit at the time of production at no extra charge.

Term of Agreement

2. The term of this Agreement (the "Term") will begin on the date of this Agreement and
will remain in full force and effect indefinitely until terminated as provided in this
Agreement.
3. In the event that either Party breaches a material provision under this Agreement, the
non-defaulting Party may terminate this Agreement and require the defaulting Party to
indemnify the non-defaulting Party against all reasonable damages.
4. This Agreement may be terminated at any time by mutual agreement of the Parties if
there is no lost to either party.
5. Except as otherwise provided in this Agreement, the obligations of the Contractor will
end upon the termination of this Agreement.

Performance

6. The Parties agree to do everything necessary to ensure that the terms of this Agreement
take effect.

Compensation

7. For the services rendered by the Contractor as required by this Agreement, the Client
will provide compensation (the "Compensation") to the Contractor of $_______for
________ Back to School Kits for the 20____ school year.
8. A 50 % deposit of $________ will be payable by the Client to start production of the
contract. (The Check should be made out to Keep It Simple Products)
9. For the remaining balance of $_______, the client will be invoiced once 50% of the
order has been produced and delivered.
10. Invoices submitted by the Contractor to the Client are due within 10 days of receipt.

Reimbursement of Expenses

11. The Contractor will be reimbursed from time to time for reasonable and necessary
expenses incurred by the Contractor in connection with providing the Services under
this Agreement.
12. All expenses must be pre-approved by the Client.

Penalties for Late Payment

13. Any late payments will trigger a fee of 6.00% per week on the amount still owing.

Confidentiality

14. The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any
purpose, any Confidential Information which the Contractor has obtained, except as
authorized by the Client or as required by law. The obligations of confidentiality will
apply during the term of this Agreement and will survive indefinitely upon termination
of this Agreement.
15. All written and oral information and material disclosed or provided by the Client to the
Contractor under this Agreement is Confidential Information regardless of whether it was
provided before or after the date of this Agreement or how it was provided to the
Contractor.

Ownership of Intellectual Property

16. Title, copyright, intellectual property rights and distribution rights of the Intellectual
Property remain exclusively with the Contractor.

Notice

17. All notices, requests, demands or other communications required or permitted by the
terms of this Agreement will be given in writing and delivered to the Parties of this
Agreement.

Additional Clauses

18. The Client is entering into a contract that will end upon the final delivery by Keep It
Simple Products Company.

Dispute Resolution

19. In the event a dispute arises out of or in connection with this Agreement, the Parties will
attempt to resolve the dispute through friendly consultation.
20. If the dispute is not resolved within a reasonable period then any or all outstanding issues
may be submitted to mediation in accordance with any statutory rules of mediation. If
mediation is unavailable or is not successful in resolving the entire dispute, any
outstanding issues will be submitted to final and binding arbitration in accordance with
the laws of the State of Texas. The arbitrator's award will be final, and judgment may be
entered upon it by any court having jurisdiction within the State of Texas.

Modification of Agreement
21. Any amendment or modification of this Agreement or additional obligation assumed by
either Party in connection with this Agreement will only be binding if evidenced in
writing signed by each Party or an authorized representative of each Party.

Assignment

22. The Contractor will not voluntarily or by operation of law assign or otherwise transfer its
obligations under this Agreement without the prior written consent of the Client.

Governing Law

23. It is the intention of the Parties to this Agreement that this Agreement and the
performance under this Agreement, and all suits and special proceedings under this
Agreement, be construed in accordance with and governed, to the exclusion of the law
of any other forum, by the laws of the State of Texas, without regard to the jurisdiction
in which any action or special proceeding may be instituted.
